Parties THIS CONTRACT, dated the 1"t ay �f Janua37 ,19
bet}^reen STANDARD GTL COMPANY OF CALIFORNIA, a corporation, herein-
after called "Seller", and CITY OF FMIAMS ,
hereinafter called "Buyer`.
71 I T N E S S E T H;
Quantity Seller hereby sells to Buyer, and Buyer buys from Seller, all
of Buyer's requirements of gasoline used or bought to be used by
Buyer at points in Galifo=ia where Seller regularly main-
tain s tank truck and/or iron barrel delivery service.� �1'
Period The period of this contract shall be for one 7_1�lr colmn
April 1 19 36, and ending Deo e b r : I, , 1
Deliveries Deliveries hereunder shall be made by tank truck, oran iron
barrels on orders of Buyer, in .fai.rly even monthly quantities., at
the prices herein specified.
Brand of It is agreed that the Iroducts to meet Buyer's requirements
Product shall be Seller's regular commercial brands of Standard Ethyl,
Standard and/or Flight Gasoline. Seller shall be obligated to
deliver Flight Gasoline hereunder only during such time or tames
as the same is being marketed by Seller generally at point of
delivery.
Estimated Buyer's requirements of said products for the period named
Requirements are estimated at 36,000 gallons.
Prices The prises which Buyer shall pay Seller for deliveries
hereunder shall be as follows

The price applicable to any other point of delivery hereunder
not listed above shall be the prase indicated for the nearest
point listed above, plus or mnus Seller;s normal delivery
differential over or below said point for delivery at such point
not listed.
If and when Seller's posted retail `price, excluding"Federal
and including S tate,Motor Vehicle,Fuel. Tax, in .,effect at time

lated above for said product thereat, Buyer shall be given the
benefit of said lower price while the same is in,,effect.

Dade ral The prions shovwn herein include the present State Motor
Tax Vehicle Fuel Tax but are exclusive of the Federal Tac on gasoline,,
Duly executed exemption certificates, in a form satisfactory to
Seller, shall e Furnished Seller by Buyer covering Federal Tac
exemption.
Maximum The maximum quantity delivered during the specifted term
Quantity shall not exceed Buyerfs estimated requ3.rements, as indicated
herein,, by morw than ten (30) per cent, without the consent of
Seller. The products to kp delivered hereunder shall be for the
use of Buyer and Ruyer agrees not to resell said products or allow
the same to be resold.
Terms Net cash at time of delivery, except at Sellers option,
If at any time Buyer shall fail to make any payment due hereunder,
such failure shall, at Seller's option, be deemed by Seller to I-e '
a treach of the entire contract and Seller may suspend deliveries
until such payment has been made or may terminate this contract.
No such suspension or termination shall, however, affect any
obligation of Buyer hereunder.
Charge or Any increase in present taxes or any new tax imposed by any
`lax governmental authority upon the production, manu:'acture, storage,
transportation, or sale of any product delivered hereunder, or up-
on any vessel or pipe Lane used therein, shall be added to the
price of said product, and shall be paid to Seller in addition
to said price.
Prevention In the event Seller is prevented from or hinderod in making
of deliveries hereunder due to fire, riot, labor disturbances, earthy
Ilerformance quakes, war, acts of any government (whether foreign or domestic,
Federal, State, County or Municipal),- accident, total or partial
failure of transportation or delivery facilities or supplies, or
any cause beyond its cont?ol, whether similar to the foregoing;
causes or not, the obligation of Seller to make deliveries during
the period of such disability or hindrance shall be suspended.
Breach of in the event of any breach of any clause of this contract,
Contract Seller, at its option, may terminate this con-craet forthwith.
The waiver by Seller of any breach of any provision hereof by
Buyer shall not be deemed to be a waiver of the breach of any
other provision or provisions hereof by Buyer or of any subsequent,
or continuing breach of such provision or provisions.
Containers Seller's iron barrels or drums used ,n making deliveries
hereunder shall be returned to Seller at point of delivery in good
condition and within ninety days from date of delivery. All such
iron barrels or drums not returned as abo-va are to )�a invoiced
and paid for by buyer at Seven Dollars ($7.00) each.
Former This contract shah., as of the comneneftme-nt date hereof,
Contracts cancel and super rsede all prior contracts between Seller and Buyer
for the purchase and sale of the products named for use at the
point or points mentioned, and shall cancel and mperaede all
other arrangements or understandings with regard to prices or
differentials or relating to credits, bonuses, or• concessions to
be paid by Seller in connection with the purchase and sale of said
products for use thereat.
