YGEN, ACETYLENE & CARBIDE AGREEMENT

(hereinafter called the "Purchaser"), agree with each other as follows:—
The Company shall sell to the Purchaser and thePFcaser ill buffy. from the Cornyrs�ad upon
the terms and conditions herein set forth, for the period from �, tom ' ti 19
and thereafter from year to year unless notice of cancellation is given b either party in writing sixty (60) days prior to
the commencement of any such year, all the Purchaser's requirements of Oxygen, Acetylene and Calcium Carbide durin
such period.
The unit prices for Oxygen, Acetylene and Calcium Carbide purchased hereunder shall be as follows:

Terms. Payment on demand without discount.
The Company, at its option, may have orders for carbide purchased hereunder executed by National Carbide
Corporation and may have orders for oxygen, acetylene and carbide purchased hereunder executed by;—
an Authorized Dealer in Airco Products.
All oxygen furnished shall be 99.5% pure in the cylinder with a tolerance of not more than one-tenth of one per-
cent. Oxygen and acetylene shall be delivered in cylinders loaned by the Company for that purpose only for a period
of thirty (30) days from date of shipment and for each cylinder not returned to the Company in good condition and
repair, complete with all fittings and cap, within said thirty (30) days, the Company reserves the right to charge de-
murrage of 2c per cylinder per day, for all time beyond said thirty (30) days the cylinder is out of the Company's
possession, which demurrage charge the Purchaser agrees to pay at the end of each month. If any of the Company's
cylinders, fittings or caps are lost, destroyed or damaged before return to the Company, or are not returned within
six (6) months from date of shipment, the Purchaser agrees to reimburse the Company for such loss, destruction or
damage. Cylinders shall not be removed from the Purchaser's premises except in the Purchaser's possession for its own
operations, for any reason other than for direct return to the Company.
Service and deliveries by the Company are subject to and contingent upon floods, strikes, differences with work-
men, fires, accidents, riots, wars, embargoes, delays of carriers, inability to obtain raw materials, failure of sources of
supply, restraints of governments, and any other causes or conditions beyond the Company's control.
The Purchaser shall pay the amount of any tax upon or payable or collectible by the Company with respect to or
which is ascertained by reference to or measured by any sales, deliveries or orders hereunder by virtue of any present
or future Federal, State, Municipal or other law applicable thereto.
If the Company's costs are increased by reason of war, or other circumstances beyond its control, the Company
may increase the prices set forth above by giving thirty days' written notice to the Purchaser. If within fifteen days after
the giving of such notice the Purchaser furnishes the Company with evidence that the Purchaser can buy the products
specified in such notice from a responsible seller at lower prices, the Company may either meet such lower prices or
cancel this agreement.
This agreement shall not be binding until it is accepted and signed by a representative of the Company thereunto
duly authorized.
It is understood that the provisions in this Agreement cover the entire Agreement between the parties hereto, and
this Agreement terminates ail other Oxygen, Acetylene and/or Carbide Agreements between the parties hereto, except
for the settlement of such rights and obligations as have arisen thereunder.
This agreement is not assignable by the Purchaser except upon the written consent of the Company from its
Home Office.
