GRANT OF EASEMENT

FOR A VALUABLE CONSIDERATION receipt of which is hereby acknowledged,
GENERAL TELEPHONE COMPANY OF CALIFORNIA (Grantor) does hereby grant to the CITY
OF REDLANDS, a municipal corporation (Grantee) , located in the County of San
Bernardino, State of California, an easement and right-of-way to construct,
maintain, repair, operate, and use for streets, highways, underground sewers,
public utility installations, and appurtenant uses, together with the right to
dedicate or declare the same for public use, in, on, over, under, and across
the following described real property situated in the City of Redlands, County
of San Bernardino, State of California, more particularly described as follows
The Westerly two (2) feet of Lot 8 and the fifteen-(15) foot
wide alley, vacated, as the said Lot 8 and the alley are shown
on the map of Park Addition, as per plat recorded in Book 15,
of Maps, Page 61, in the office of the County Recorder of said
San Bernardino County.
Said easement and right-of-way is granted upon the following conditions-
1. Grantee by acceptance of this easement and right-of-way acknowledges
that the Grantor is to construct and maintain a sidewalk and subsurface wall
within a portion of the above described easement. Grantor shall have the
right to take all reasonably necessary action to maintain said subsurface
wall. Grantee shall be responsible for the maintenance of said sidewalk
2 Nothing herein shall be construed as limiting in any way Grantor's
use of the subsurface of the easement herein described, except as may rea-
sonably be caused by Grantee during construction, repair or maintenance of
said sidewalk.
3. Grantee agrees to indemnify Grantor and save Grantor harmless from
all loss, damage and liability which may result to Grantor, directly or by
reason of the claims of others, from the granting of this easement or the
termination thereof or from the construction, operation, maintenance,
alteration, repair and/or removal of any facilities constructed, used or
maintained hereunder by the Grantee, including without limitation all loss
of or damage to Grantee's own property, unless caused by the sole negligence
of Grantor.

4. The property granted hereby is not necessary or easeful in the
performance of the duties of Grantor to the public.
