This first amendment("First Amendment')to the non-professional services agreement dated June
6, 2017, (the "Agreement"), by and between the City of Redlands, a municipal corporation ("City") and
Applied LNG Technologies, LLC ("Contractor")is made and entered into this 17th day of October, 2017
RECITALS
WHEREAS,it is the desire of City and Contractor to amend their existing Agreement,specifically
Article 5, entitled "Payments to Contractor," to change the total pace paid per RLNG gallon as of the
effective date of this First Amendment,
NOW, THEREFORE, City and Contractor hereby agree to amend the Agreement as follows
AGREEMENT
Section I Article 2 1 of the Agreement is hereby amended to include the revised Scope of
Services more particularly described in Exhibit"A,"which is attached hereto and incorporated herein by
this reference
Section 2 Article 5 1 of the Agreement is hereby amended to read as follows
"5 1 The annual compensation for Contractor's performance of the Services shall not
exceed the amount of Four Hundred Twenty Thousand Dollars ($420,000) for the Initial
Terin and total compensation shall not exceed the amount of Two Million One Hundred
Thousand Dollars ($2,100,000) throughout the Initial and Extended terms of this
Agreement City shall pay Contractor on a total price per RLNG gallon (fixed price
including commodity and taxes) calculated using the monthly adjusted Natural Gas Price
Index based upon the Southern California Border price as outlined Exhibit `A,'
commencing the 17"' day of October, 2017 "
Section 3 All other provisions of the Agreement shall remain unchanged and unaffected by this
First Amendment
IN WITNESS WHEREOF, the parties have executed tlus First Amendment to be effective as of
this 17th day of October, 2017
