C T THIS AGREEXIMT, made and entered into this 15th day of November, 1949, betvreen the City of Redlands, a municipal corporation, herein called the City and Gene Hughes doing business under the name, firm and style of Gene Hughes De Soto-Plymouth, of the City of Redlands, County of San Bernardino, State of California, herein called the Agent, WITNESSETH: a1BEREAS, the City of Redlands did issue a certain invitation for automobile agencies to subset a bid to the City Council, of the said City to provide passenger vehicles for use in police work subject to certain conditions, `and whereas the said Agent did submit the lour bid to provide such vehicles and to perform under the same, AND y�}IHERRE S the said City desires to purchase from the said Agent certain vehicles in accordance with said bid and to replace all passenger vehicles now in use by its Police Department Frith new pas- senger vehicles of Agent's representation within a period not to exceed three (3) years, and whereas the said Agent desires to sell to the said City said vehicles, NOW, THEREFORE IT IS LiUTUALLY AGREED AS FOLLOVIS: First: That the within agreement shall be in effect for a period of three (3) years from date hereof, couffaencing on the 15th day of November, 1;4,9, unless terminated at an earlier date in accordance with the procedure as hereinafter set forth. One (1) shall be delivered immediately, and two (2) shall be delivered prior to June 30th, 1950. (1) Fourth: That each neer vehicle herein purchased shall be replaced after the mileage of said vehicle registers 30,000 to 35 ,000 miles or within fourteen (14) months from date of its purchase, whichever shall come first, ati -she net unit cost per vehicle replaced of Three liundred Dollars (4300.00) to said City, that being the difference between the prase of X1471.42 allowed on each vehicle turned in and the price of such vehicle placed at the present value of X1,771.42• Fifth: That each vehicle delivered tot he said City of Redlands shall, be a standard 2lymouth Deluxe 4-door Sedan model, devoid of any and all extras and shall conform to the critical specifications submitted by the said ..gent at the time of making such bid, a copy of said critical specifications signed by said Gene Hughes, is hereto attached and made a Dart of the within Contract. Sixth: That the Agent shall provide and furnish a weekly inspec- tion of each vehicle purchased from hire by said City, and shall satisfactorily maintain and service each of the said vehicles in a. good and womanlike manner at the flat monthly rate of Thirty Dollars (11' 30.00) per vehicle. It being understood however that such maintenance and servicing is not to include dmiages to a vehicle sustained by collision, and only includes mechanical repairs and servicing. Seventh: !hat operation costs to the City of each vehicle purchased shall consist only of tires and gasoline to be provided by said City. Eighth- That the installation and removal of all emergency equip- ment, siren, lights and radio equipment shall be done by and at the expense of the said City. klinth: That either of the parties hereto, the said City of Redlands, upon vote of its City Council to do so, or the said Gene Hughes, shall have the right, in the month of December of each year of said term, to cancel this agreement by notifying the other party of such cancellation by written notice to be served and delivered to the other party on or before the last regular Council meeting; ofd�r3s- inC, that the within Contract shall terminate on the 30th day of the follo-vring June. (2) Tenth; If by reason of any law, ordinance, rule, request, or regulation of any government authority, or if by reason of war, riot, strike, civil co=mo tion, shortage of labor, coLuiodities or transportation facilities or if for any cause reasonably beyond the control of said Agent whether or not similar to the foregoing, the operation of Agent's automobile dealership, automobile, garage and repair service business is suspended and such operation of said business continues to be suspended for a period of thirty (30) consecutive days, then at the option of Agent this Contract may be terminated on thirty (30) days written notice to City. IN WITNESS WHER-2ROF, the said City of Redlands has caused its corpor<:te name to be hereunto subscribed by the Mayor of said City and attested by its City Clerk and gaused its corporate seal to be thereunto affixed this 15th day of November, 1949, and the said Gene Hughes has signed his name hereunto on said day first above written.
