This Funding Agreement for Prospect Park Beautification ("Agreement") is made this
5th day of December,2017 ("Effective Date")between Friends of Prospect Park("FOPP") and
the City of Redlands("City") for the purpose of providing funds to City for additional City work
force labor for the purpose of enhancing the maintenance of and beautifying Prospect Park
FOPP and City are sometimes individually referred to herein as a"Party" and, together, as the
"Parties "
In consideration of the mutual promises contained herein, FOPP and City agree as
follows
Section I Fundina FOPP agrees to provide funds for a part time park maintenance
employee for approximately twenty(20)hours per week at an hourly rate to be determined by
City,which includes all required direct payroll related costs, such as workers' compensation
insurance, payroll taxes, and other employment costs incurred by City,but not including
supervision or overhead expenses The park maintenance worker shall perform the tasks more
fully described in Exhibit"A," which is attached hereto and incorporated herein by reference In
addition, FOPP agrees to provide funds for landscape plantings for the landscape areas identified
in Exhibit `B,"which is attached hereto and incorporated herein by reference FOPP may provide
funds for additional landscape plantings,with the prior approval of the FOPP's representative or
his or her designee The total funding under this Agreement shall not exceed$20,000 per year
FOPP funding is provided to enhance the level of maintenance currently being provided to the
park by City, and is not intended to replace current levels of maintenance provided by City
Section 2 Term The term of this Agreement shall be for a period of three (3) years
(the "Initial Term"), commencing on its Effective Date FOPP shall have the option to extend the
Initial Term of this Lease for two(2)successive one(1)year terms(each,a"Renewal Term")on the
same terms and conditions as this Agreement FOPP may exercise such option by providing not less
than thirty(3 0)days written notice to City prior to the expiration of the Initial Team of this Agreement,
or the then-expiring Renewal Term of this Agreement The Initial term and any Renewal Terms are
collectively referred to herein as the Term of this Agreement
Section 3 Pavment FOPP will make payments monthly in arrears to City within
ten(10)days of receipt of receiving invoice Invoice documentation shall include a description of
Prospect Park landscape projects completed, labor hours worked including required direct payroll
related costs (workers comp insurance,payroll taxes, etc), and any landscape plantings or special
supplies purchased for use exclusively in Prospect Park
Section 4 Annual Meetina FOPP and City representatives shall meet to discuss
progress under this Agreement on an annual basis (dates of which to be agreed upon by the
Parties), or at the written request of either Party,to discuss any concerns related to the work to be
performed under this Agreement

Section 5 Indemnitv Being a funding source only,FOPP, and its officers,
directors,and assigns, shall not be liable for any acts, errors, or omissions of the park
maintenance worker to be hired by City
Section 6 Notices Any notice or other communication required, or which may
be given,pursuant to this Agreement, shall be in writing Any such notice shall be deemed
delivered(i) on the date of delivery in person, (n) five(5) days after deposit in first class
registered mail,with return receipt requested, (in) on the actual delivery date if deposited with,an
overnight courier, or(iv) on the date sent by facsimile, if confirmed with a copy sent
contemporaneously by first class, certified, registered or express mail, in each case properly
posted and fully prepaid to the appropriate address set forth below, or such other address as a
Party may provide notice in accordance with this section

Section 7 Termination FOPP may terminate this Agreement upon thirty(30) days
prior written notice if the quality of work performed under this Agreement does not meet the
standards of FOPP Prior to exercising the right to terminate,FOPP shall meet with City staff to
review areas of deficiency and provide City a period of thirty(30) days to correct any
deficiencies FOPP will pay in full any open invoices for completed work prior to termination
of this Agreement City may terminate this Agreement at any time upon thirty(30) days prior
written notice to FOPP
Section 8 Entire Aareement This Agreement contains the entire agreement of the
Parties with respect to the subject matter of this Agreement and supersedes all existing oral or
written agreements between the Parties relating to the same This Agreement may be amended
only by written instrument, executed by authorized representatives of the Parties

EXHIBIT "A"
Minimal Skill Level Jobs,Basic Tools and Plants Needed
1 Plant and maintain gardens and grounds A-U, as needed to keep attractive,weed free, and
mulched See Exhibit"B",map
2 Remove plants,vine etc from 10 foot radius at base of all newly planted trees in park area
3 Mulch cleaned out of tree base areas of trees
4 Remove and/or cut down overgrown vines and unwanted groundcover throughout park Haul
away or deposit into dumpster
5 Remove unwanted plant debris(bamboo, vines, ground cover)between Pavilion and Prospect
Park Carriage House Haul away or deposit into dumpster
6 Maintain road and fence along split rail fencing of unwanted parkway debris(pine needles,
etc) at Prospect Park Carriage House Road entrance
7 Mulch all newly planted trees Haul in mulch chips to park
8 Deep water newly planted trees periodically
9 Remove dead newly planted trees and re-plant as needed
10 Remove suckers off base of ornamental trees throughout park
11 Trim Cecile Brunner rose hedge Haul away or deposit into dumpster
12 Remove weeds and clean up perimeter of PP Carnage House parking lot area and orange grove
walking path
13 Trim Solanum shrubs near restrooms and Prospect Park Carriage House road entrance
14 Trim, feed and mulch roses, as needed
15 Keep park free of graffiti

1 Maintain painted garden structures and benches, signs,poles etc using standardized colors
throughout park
2 Monitor and repair erosion areas on decomposed granite(DG)pathways and roads with City
staff assistance
3 Monitor,repair and work with City staff to install new irrigation lines drips bubblers or risers
as needed to landscaped areas such as
a Lauer Overlook area trees
b newly planted Redbud trees in lower picnic area
c Japanese Raisin tree area
d Amphitheatre area trees
e Prospect Park Carriage House Road trees,
f Dr Hill's tree near restrooms,
g Carothers's Way
h Other areas agreed upon by City and FOPP
4 Check and replace irrigation risers in flowerbeds, as needed
Additional Minimal and Advanced Job Level to be considered includes
1 Thin out weed trees on lower picnic area hillside and greenbelt (work with City staff Cal-fire
contract)
2 Assisting with community volunteer work and work events in Prospect Park,as assigned
3 Work with City staff to repair or remove brick path between Pavilion and Prospect Park
