The purchaser, desiring to purchase Large Lamps, agrees to take within one (1) year from the date hereof and to pay for in accordance with the terms of payment hereinafter specified, a quantity of West- inghouse Large Lamps of the sizes, types and classes listed in the "Standard Price Schedule of Westinihouse Large Lamps,.' in effect at the date hereof and forming part hereof, which shall not exceed the purchaser s own requirements of such lamps for installation . within domestic territory (as d6fined in the Westinghouse Schedule of Transportation Allowances) during the period of this contract in lighting apparatus or devices either owned, controlled or used by the purchaser. No lamps other than said Westinghouse Large Lamps9 shall be considered in arriving at the price which the purchaser agrees to pay for lampsurchased under this contract, nor shall the requirements of any other party be Joined with those of the purchaser for the purpose of determining the discount to which the purchaser is entMed. 2. The purchaser agrees that it will pay each invoice for lamps not later than thirty (30) days from the date .of the invoice, .and Westinghouse agrees that if pailment of any invoice is made within ten (10) days from date of same; two per cent (2%) may be deducted from the net amount thereof. 4... The purchaser admits and agrees that payment of Westinghouse's invoices rendered on the billing basis provided for herein shall not be considered as payment in full should the purchases under this contract be less than the amount on which the billing discount is based, and agrees that if the amount pur. chased under this contract is less than the amount used as the basis for the billing discount it will pay, in addition to the net billing price, within thirty (30) days after demand, an amount equal to the difference between the net billing price of the lamps purchased and the price to which it is actually entitled on such lamps in accordance with said schedules. b. The purchaser agrees to pay transportation charges in accordance with the Westinghouse Sched. uIe of Transportation Charges which is subject to change without notice. 7. Westinghouse shall not be obligated to supply lamps hereunder in excess of or in addition to the purchaser's said own requirements. If the ppurchaser shall fail to payany invoice when due, Westinghouse may suspend further deliveries until all indef�tedness of the purchaser to it has been paid in full and, if such default in payment shall continue for ten clays or more, or if the purchaser shall order lamps in excess of its said own requirements, then and in any such event Westinghouse may cancel and terminate this contract forthwith. If at any time the credit of the purchaser shall, in the opinion of Wcatingghouse, become impaired then Westinghouse may suspend further deliverise except for cash in advance. Westinghouse reserves the right to terminate this contract by notice in writing to the Purchaser in the event that it shall decide to dis. continue its general practice of selling lamps under this form of contract. EFFECTIVE AUGUST 1, 1951 TERMS OF PAYMENT ,All invoices for lamps shall be paid not later than thirty (34) days from date of invoice. If payment of any invoice is made within ten (10) days from invoice date, two per cent (2%) may be deducted from the net amount of such invoice. TRANSPORTATION ALLOWANCES AND CHARGES TO PURCHASERS All lamps listed in price schedules will be sold and billed to purchasers f.o.b. point of shipment, with transportation (excluding cartage) allowed on each shipment to any point in domestic territory consisting of not less than one standard package as packed by Westinghouse or of $15 list value -whichever is of lower value. Domestic territory shall be considered to be the United States, Alaska, and the Hawaiian Islands. The rest of the world shall be regarded as foreign territory. Should any purchaser desire its lamps shipped "Charges Collect," such purchaser, in deducting transportation charges from invoices covering lamps so shipped, will not be allowed to deduct cartage. Evident loss or damage to a shipment must be indicated by a notation made by the carrier's agent on the delivery receipt before the receipt is signed. The notation must clearly specify the extent of loss, shortage or damage. Concealed damage must be reported to the carrier within 15 days after delivery. The filing of claims with carriers foz loss or damage in transportation must be executed within 9 months after date of delivery or in case of non- delivery within 9 months after a reasonable time for delivery has elapsed. Purchasers desiring the assistance of Westinghouse in filing such claims must report them to Westinghouse within a reasonable time so as to enable Westinghouse to comply with the common carrier's re- quirement.
