As a gift and for no consideration, and subject to the provisions of the Restrictions and
Reversionary Interests set forth in the attached and incorporated Exhibit"A",SMILEY HEIGHTS
CANYON PROPERTIES, LLC, a California limited liability company ("Grantor"), hereby
conveys and assigns,without warranty, to the CITY OF REDLANDS,a municipal corporation(the
"City"), all of Grantor's right, title and interest in and to real property in the City of Redlands,
County of San Bernardino, State of California(the"Property"),which Property is fully described
on the attached and incorporated Exhibit"B" The Restrictions and Reversionary Interests set forth
in Exhibit"A" shall run with the Property in perpetuity

EXHIBIT "A"
RESTRICTIONS AND REVERSIONARY INTERESTS
The City shall,at all times,make use of and maintain the Property as open space, green belt,
and developed or undeveloped pack land for the benefit of the citizens of Redlands(collectively,the
"Permitted Uses")
If at any time the City shall fail or cease fox any reason to make use of the Property for a
Permitted Use oa Uses for a period of sixty (60) days or longer, the fee sample title to the Property
shall automatically revert ("Reversion") to the Remainder Beneficiary as provided below
A Reversion shall also be deemed to occur automatically of the City shall, at any time,
mortgage the Property or pledge or create a security interest an the Property for any purpose or allow
any lien orjudgment of any kind to be levied against the Property
The reversion of the fee sample title of the Property to the Remaandea Beneficiary shall be
effected automatically without need for notice
The Remainder Beneficiary shall be such tax-exempt, non-profit public or private benefit
foundation as shall have been created by rack Dangermond and/or Laura Dangermond or by their
respective estates or by any trust established by them or either of them (the "Foundation") If no
such Foundation as in existence at the time of the Reversion,or of the Foundation,though formed, is
not an organization described an Internal Revenue Code sections 170(b)(1)(A), 170(c),2055(a),of
2522(x), then the Remainder Beneficiary shall be the University of Redlands.
