LOMA LINDA shall not commence advertising for PROJECT contract bids until DISTRICT and REDLANDS have approved, in writing, the contract plans specifications and engineer's cost estimate for the PROJECT, and obtained a permit from the DISTRICT 15 Obtain a permit from REDLANDS for all work within REDLANDS right-of-way and for facilities to be operated and maintained by REDLANDS upon completion LOMA LINDA shall not commence advertising for PROJECT contract bids until DISTRICT and REDLANDS have approved the contract plans, specifications and engineer's cost estimate for the PROJECT, and obtained a permit from REDLANDS 1 6 Pay all costs associated with the PROJECT 1 7 Provide to DISTRICT and REDLANDS, upon completion and written acceptance of the PROJECT work by the PARTIES, a final accounting of actual total PROJECT costs incurred and As-Built plans for record keeping 1 8 Upon completion of the PROJECT and acceptance of the PROJECT work by the PARTIES, LOMA LINDA shall relinquish, at no cost to DISTRICT, the right-of-way and maintenance and operation of the Mission Channel Reinforced Concrete Box 1 9 Retain or cause to be retained for audit by DISTRICT or other government auditors for a period of three (3) years from the date of final payment, all records and accounts relating to the PROJECT work 2 DISTRICT SHALL 21 Promptly review and comment on contract plans and specifications and the engineer's cost estimate prepared by LOMA LINDA 22 At no cost to LOMA LINDA, assign a representative who shall have authority to discuss and resolve with LOMA LINDA's representative, issues concerning the construction of the PROJECT except for those matters which require the approval of the governing board of DISTRICT Revised 01/10/2017 Page 3 of 13 23 Issue a permit, at no cost, to LOMA LINDA for work within DISTRICT right-of-way and for facilities to be operated and maintained by DISTRICT upon completion and written acceptance by DISTRICT 24 Grant, at no cost to LOMA LINDA and REDLANDS a road easement, over the completed improvements or as necessary to perfect the right-of-way, at the intersection of California Street and Redlands Boulevard 25 Accept the maintenance and operation of the newly constructed box culvert in the Mission Channel, from the soffit down (the "Mission Channel Reinforced Concrete Box"), upon completion and written acceptance of the PROJECT by the PARTIES 3 REDLANDS SHALL 31 Promptly review and comment on contract plans and specifications and the engineer's cost estimate prepared by LOMA LINDA 32 At no cost to LOMA LINDA, assign a representative who shall have authority to discuss and resolve with LOMA LINDA s representative, issues concerning the construction of the PROJECT 33 Issue a permit, at no cost, to LOMA LINDA for their work within REDLANDS' right-of-way and for facilities to be operated and maintained by REDLANDS upon completion 34 Upon completion and acceptance of the PROJECT by the PARTIES, continue to operate and maintain REDLANDS' facilities that lie within the PROJECT area 35 Upon its election to replace its existing facilities at the intersection of California Street and Redlands Boulevard, also remove and dispose of the proposed false bottom being constructed by LOMA LINDA as part of the PROJECT 4 IT IS FURTHER UNDERSTOOD AND AGREED. 41 The Effective Date of Acceptance of the AGREEMENT shall be the first date upon which all of the following has occurred (1) the LOMA LINDA City Council, the REDLANDS City Council and DISTRICT s Board of Supervisors have approved the AGREEMENT, and (2) the authorized Revised 01/10/2017 Page 4 of 13 representative of each has signed the AGREEMENT, and (3) a fully executed copy of the AGREEMENT has been submitted to all PARTIES 42 The PARTIES shall grant and accept all right-of-way transactions associated with the PROJECT upon completion of the PROJECT 43 All of DISTRICT's revenues as defined below, have been pledged to secure the payment of the principal and interest on certain bonds and refunding bonds ("Bonds") issued by DISTRICT in May 2007 The pledge constitutes a first lien on the revenues for the payment of the Bonds Any payments under this AGREEMENT are subject to the prior pledge of revenues described above DISTRICT payments pursuant to this AGREEMENT will be made to the extent there are sufficient funds available after payment of the Bonds For purposes of this paragraph, "revenues" shall mean all income and revenue received by DISTRICT from the operation or ownership of the flood and storm water control and conservation facilities ("Flood Control System ) of DISTRICT (including but not limited to, all real and personal property, or any interest therein, and all additions, improvements, betterments and extensions thereto), determined in accordance with Generally Accepted Accounting Principles, including all ad valorem property taxes received by DISTRICT pursuant to Article XIIIA of the Constitution of the State of California and Section 95 et seq of the California Revenue and Taxation Code, all rents, royalties and license and permit fees and charges received by DISTRICT, investment income and all other money howsoever derived by DISTRICT from the operation or ownership of the Flood Control System or arising from the Flood Control System, but excluding (a) ad valorem property taxes levied to pay any voter approved general obligation indebtedness of DISTRICT, (b) assessments levied pursuant to Section 43-7 or Section 43-26 9 of the San Bernardino County Flood Control Act(Cal Water Code App Sect 43-1 et seq ), and (c)grants, advances or contributions in aid of construction, except to the extent such grants are unrestricted and available for any expenditure of DISTRICT 44 All payments shall be made via electronic funds transfer(EFT) directly deposited into the PARTIES' designated checking or other bank account PARTIES shall promptly comply with directions and accurately complete forms provided to process EFT payments 45 Indemnification and Insurance 4 5 1 Indemnification - LOMA LINDA and REDLANDS agree to indemnify, defend (with counsel reasonably approved by DISTRICT) and hold harmless the DISTRICT, County and its authorized officers, employees, agents and volunteers from any and all claims, actions, Revised 0 1/10/2017 Page 5 of 13 losses, damages, and/or liability arising out of this AGREEMENT from any cause whatsoever, including the acts errors or omissions of any person and for any costs or expenses incurred by the DISTRICT and/or County on account of any claim except where such indemnification is prohibited by law This indemnification provision shall apply regardless of the existence or degree of fault of indemnitees LOMA LINDA's and REDLANDS' indemnification obligation applies to the DISTRICT's and/or County's "active" as well as "passive" negligence but does not apply to the DISTRICT's and/or County's "sole negligence" or"willful misconduct" within the meaning of Civil Code Section 2782 The County and DISTRICT agree to indemnify, defend (with counsel reasonably approved by LOMA LINDA and/or REDLANDS) and hold harmless LOMA LINDA, REDLANDS and its authorized officers employees agents and volunteers from any and all claims, actions, losses damages and/or liability arising out of this AGREEMENT from any cause whatsoever, including the acts, errors or omissions of any person and for any costs or expenses incurred by LOMA LINDA and/or REDLANDS on account of any claim except where such indemnification is prohibited by law This indemnification provision shall apply regardless of the existence or degree of fault of indemnitees The DISTRICT's indemnification obligation applies to LOMA LINDA's and/or REDLANDS "active" as well as "passive" negligence but does not apply to LOMA LINDA's and/or REDLANDS' "sole negligence" or"willful misconducts within the meaning of Civil Code Section 2782 LOMA LINDA agrees to indemnify, defend (with counsel reasonably approved by REDLANDS) and hold harmless REDLANDS and its authorized officers, employees, agents and volunteers from any and all claims, actions, losses, damages, and/or liability arising out of this AGREEMENT and construction of the PROJECT from any cause whatsoever, including the acts, errors or omissions of any person and for any costs or expenses incurred by REDLANDS on account of any claim except where such indemnification is prohibited by law This indemnification provision shall apply regardless of the existence or degree of fault of indemnitees LOMA LINDA's indemnification obligation applies to REDLANDS' "active" as well as "passive" negligence but does not apply to REDLANDS' "sole negligence" or "willful misconduct" within the meaning of Civil Code Section 2782 REDLANDS agrees to indemnify, defend (with counsel reasonably approved by LOMA LINDA) and hold harmless LOMA LINDA and its authorized officers, employees, agents and volunteers from any and all claims, actions, losses, damages, and/or liability arising out of this AGREEMENT and construction of the PROJECT from any cause whatsoever, Revised 01/10/2017 Page 6 of 13 including the acts, errors or omissions of any person and for any costs or expenses incurred by LOMA LINDA on account of any claim except where such indemnification is prohibited by law This indemnification provision shall apply regardless of the existence or degree of fault of indemnitees REDLANDS' indemnification obligation applies to LOMA LINDA's "active" as well as "passive" negligence but does not apply to LOMA LINDA's "sole negligence" or"willful misconduct" within the meaning of Civil Code Section 2782 452 Waiver of Subroaation Riahts — If not self-insured, LOMA LINDA and REDLANDS shall require the carriers of required coverage to waive all rights of subrogation against the DISTRICT, County, its officers, employees, agents, volunteers, contractors and subcontractors All general or auto liability insurance coverage provided shall not prohibit LOMA LINDA and/or REDLANDS and their employees or agents from waiving the right of subrogation prior to a loss or claim LOMA LINDA and REDLANDS hereby waive all rights of subrogation against the DISTRICT and/or County 463 Self-insurance — The PARTIES are authorized self-insured public entities for purposes of Professional Liability, General Liability, Automobile Liability and Workers' Compensation and warrant that, through their respective programs of self-insurance and/or excess liability coverage they have adequate coverage or resources to protect against liabilities arising out of the performance of the terms conditions or obligations of this AGREEMENT 454 Comparative Fault- In the event the County, DISTRICT, LOMA LINDA, and/or REDLANDS is found to be comparatively at fault for any claim, action, loss or damage which results from their respective obligations under this AGREEMENT, the County, DISTRICT and/or LOMA LINDA, and REDLANDS shall indemnify the other to the extent of its comparative fault 46 Default Provisions 4 6 1 LOMA LINDA and/or REDLANDS (each, individually a DEFAULTING PARTY") will be in default under this AGREEMENT if any of the following occur a Material breaches of the AGREEMENT by the DEFAULTING PARTY or any supplement or amendment to it b A DEFAULTING PARTY making any false warranty, representation or statement with respect to this AGREEMENT C. Failure by the DEFAULTING PARTY to make any remittance required by this AGREEMENT d Failure by the DEFAULTING PARTY to submit timely progress reports Revised 01110/2017 Page 7 of 13 462 Should an event of default occur, the DISTRICT shall provide written notice of default to the DEFAULTING PARTY and shall give the DEFAULTING PARTY at least thirty (30) work days to cure the default from the date the notice is sent via first-class mail to the DEFAULTING PARTY, provided, however that if the nature of the default is such that the same cannot reasonably be cured within the thirty (30) day period, the DEFAULTING PARTY shall not be deemed in default if it diligently commences such cure within such period and thereafter diligently proceed to rectify and cure said default as soon as possible If the DEFAULTING PARTY fails to cure the default within the time prescribed by the DISTRICT, the DISTRICT may do any of the following a Terminate this AGREEMENT. b Take any other action that it deems necessary to protect its interest 4 6 3 The DISTRICT will be in default under this AGREEMENT if any of the following occur by the DISTRICT a Material breaches of this AGREEMENT, or any supplement or amendment to it b Making any false warranty, representation, or statement with respect to this AGREEMENT 464 Should an event of default occur LOMA LINDA and/or REDLANDS shall provide written notice of default to DISTRICT and shall give DISTRICT at least thirty (30) work days to cure the default from the date the notice is sent via first-class mail to DISTRICT, provided, however, that if the nature of the default is such that the same cannot reasonably be cured within the thirty (30) day period, DISTRICT shall not be deemed in default if it diligently commences such cure within such period and thereafter diligently proceed to rectify and cure said default as soon as possible within any additional time period mutually approved by the PARTIES If DISTRICT fails to cure the default within the time prescribed by the PARTIES, either LOMA LINDA and/or REDLANDS, may do the following a Terminate the AGREEMENT b Take any other action that it deems necessary to protect its interest 47 Since the PARTIES or their agents have participated fully in the preparation of this AGREEMENT, the language of this AGREEMENT shall be construed simply, according to its fair meaning, and not strictly for any or against any PARTY Any term referencing time, days or period for performance shall be deemed work days The captions of the various articles and paragraphs are for Revised 01/10/2017 Page 8 of 13 convenience and ease of reference only, and do not define, limit, augment, or describe the scope, content, or intent of this AGREEMENT 48 No supplement modification or amendment of this AGREEMENT shall be binding unless executed in writing and signed by all PARTIES 49 All notices, approvals, consents or other documents required or permitted under this AGREEMENT shall be in writing and, except as otherwise provided herein, shall be effective upon personal delivery or three days after deposit in the United States mail, certified, with first class postage fully shall constitute a waiver of any other default or breach, whether of the same or other covenant or condition No waiver, benefit, privilege, or service voluntarily given or performed by a PARTY shall give the other PARTY any contractual rights by custom, estoppel, or otherwise 411 This AGREEMENT shall be governed by the laws of the State of California If a court of competent jurisdiction declares any portion of this AGREEMENT invalid, illegal, or otherwise unenforceable, the remaining provisions shall continue in full force and effect, unless the purpose of this AGREEMENT is frustrated Any dispute or action to enforce any obligation under this AGREEMENT shall be filed and resolved in the appropriate Superior Court in the County of San Bernardino, California In the event of litigation arising from this AGREEMENT, each PARTY to the AGREEMENT shall bear its own costs, including attorney's fees This provision concerning costs shall not apply to costs or attorneys fees relative to Section 4 5 of this AGREEMENT 412 Except with respect to the PARTIES' operation, maintenance, and indemnification obligations contained herein, this AGREEMENT shall terminate upon the completion of the PROJECT and DISTRICT's provision of written final acceptance by DISTRICT to LOMA LINDA and REDLANDS Revised 01/10/2017 Page 9 of 13 4 13 This AGREEMENT contains the entire AGREEMENT of the PARTIES with respect to the subject matter hereof, and supersedes all other prior negotiations, understandings or contracts regarding the same This AGREEMENT may only be modified in writing, signed by all PARTIES Time is of the essence for each and every provision of this AGREEMENT 414 This AGREEMENT may be cancelled upon thirty (30) days prior written notice of any PARTY to the other PARTIES, provided however, that no PARTY may cancel this AGREEMENT, without cause, after LOMA LINDA awards contract(s)to construct the PROJECT 415 The Recitals preceding the terms of this AGREEMENT are incorporated into the terms hereof by this reference and constitute constructive terms of this AGREEMENT 416 This AGREEMENT may be signed in counterparts, each of which shall constitute an original Revised WELCH,d'By V1 V% k V ` ITEM 8fi "-' Rev 712-16 DAT December 1 017 ��� AGREEMENT WITH THE CITIES OF LOMA LINDA AND REDLANDS FOR THE CONSTRUCTION OF MISSION CHANNEL IMPROVEMENTS AT CALIFORNIA STREET AND REDLANDS BOULEVARD DECEMBER 19, 2017 PAGE 2OF2 The County of San Bernardino through the Department of Transportation cooperated with Loma Linda and the City of Redlands (Redlands) to conduct a Planning Study and to design the Project Mission Channel is owned and operated by the District and this agreement will allow the District to participate in the construction of the Project and waive the review and inspection fees for the construction permit issued to Loma Linda On January 26, 1987, (item No 21), the Board of Supervisors (Board) approved agreement No 87-55 which allowed the County to participate with Loma Linda and Redlands in the design phase of the Project and to contribute $4,200 as its share of the cost The Agreement was subsequently amended three times January 18, 1988, (Item No 35), June 17, 1991, (item No 48) and February 1, 1993, (Item No 37) to increase the County's contribution to the design costs to a total of$13,098 The construction phase was not implemented at that time due to lack of funding Loma Linda has secured approximately $4 million in funding and is taking the lead for the construction of the Project The construction of the Project will put in place a reinforced concrete box, designed to convey the flows of a 100-year storm, which meets District criteria The Project will also facilitate the realignment of California Street at Redlands Boulevard, which will make this intersection more efficient for the traveling public Cooperating with Loma Linda and Redlands in this Agreement provides for an effective use of District resources, which is consistent with the County Vision, by pursuing the County and Chief Executive Officer's Goals and Objectives to operate in a fiscally-responsible and business-like manner by working collaboratively with other agencies As the lead agency, Loma Linda shall process any necessary environmental documents as required, including but not limited to compliance with the California Environmental Quality Act (CEQA), and obtain required environmental agencies' clearances for construction of the Project An item regarding granting a road easement for the improvements in exchange for the improvements made to the channel will be brought to the Board at a later date PROCUREMENT Not applicable REVIEW BY OTHERS This item has been reviewed by County Counsel (Sophie A Akins, Deputy County Counsel, 387- 5455) on August 2, 2017, Finance (Paloma Hernandez-Barker, Administrative Analyst, 387-5426) on November 29, 2017, and County Finance and Administration (Mary Jane Olhasso, Assistant Executive Officer, 387-5423) on November 30, 2017 i 12/19/17##86
