HomeMy WebLinkAboutContracts & Agreements_49-2018MEMORANDUM OF UNDERSTANDING Between City of Redlands and Colton -Redlands -Yucaipa Regional Occupational Program This MOU is entered into, by and between the Citv of Redlands herein after referred to as Contractor and the Colton -Redlands -Yucaipa ROP, herein after referred -to as Lead Agency, PURPOSE The purpose of the MOU is to identify the terms and conditions whereby the Lead Agency will engage the Contractor for services rendered and to define the roles and responsibilities of the Lead Agency and Contractor in regard to youth employment support of the City of Redlands Community Center/Senior Center programs. TERM OF'AGREEMENT The term of this agreement is in effect from (4/03/18) to (6/30/18). The parties may terminate this agreement at any time by mutual written consent, and such termination shall be effective upon the date stated in the consent. DESCRIPTION At the discretion of the Lead Agency, the Contractor will identify and refer youth for work experience placements under this contract to support City of Redlands Community Center/Senior Center programming. The Lead Agency will provide work experience hours authorized and scheduled in collaboration with the Contractor for each work experience placement. The Contractor will reimburse the Lead Agency within 30 days of receipt of Financial Activity report and invoice. The Lead Agency and Contractor will comply with Division of Labor Standards, Department of Industrial Relations youth employment guidelines. 1. LEAD AGENCY RESPONSIBILITY • Provide training and technical assistance to Contractor regarding monitoring participant progress; • Adhere to programmatic timelines; • Provide initial support and training to principal staff members of Contractor to ensure successful implementation of project; • Process all purchase orders, transfers or other methods of reimbursements related to expenditures as agreed; • Provide Workers Compensation insurance for employment program participants. 11. CONTRACTOR RESPONSIBILITY • Provide coordination to successfully place identified program participants in employment to support City of Redlands Community Center/Senior Center programs; • Provide technical support as necessary for Lead Agency to realize full use of contracted resources; • Provide initial support and training to principal staff members of Lead Agency to ensure successful implementation of project; • Process all purchase orders, transfers or other methods of reimbursement related to expenditures as agreed; • Provide Workers Compensation insurance for their own employees providing supervisory services under this agreement. INSURANCE The Lead Agency and the Contractor shall secure and maintain at all times during the term of agreement, at their respective sole expense, Workers' Compensation, commercial general liability insurance covering themselves and their respective agents and employees. The Lead Agency agrees that the Contractor is not to assume, nor shall it assume by this agreement, liability under any applicable Workers' Compensation Law for, by, or on behalf of any student while said students are on the premises of the Contractor performing any duty under the terms of this agreement, and the Lead Agency agrees to indemnify, defend and hold the Contractor harmless with respect thereto as provided herein. The Lead Agency agrees to maintain insurance policies or a self-insurance program in amounts sufficient to satisfy its indemnification obligations. The Lead Agency must carry professional liability insurance with combined single limits of $1,000,000 and $3,000,000 in the aggregate. The Contractor agrees that the Lead Agency is not to assume, nor shall it assume by this agreement, liability under any applicable Workers' Compensation Law for, by, or on behalf of any employee while said employee is on the premises of the Contractor performing any duty under the terms of this agreement, and the Contractor agrees to indemnify, defend and hold the Lead Agency harmless with respect thereto as provided herein. The Contractor agrees to maintain insurance policies or a self-insurance program in amounts sufficient to satisfy its indemnification obligations. The Contractor must carry professional liability insurance with combined single limits of $1,000,000 and $3,000,000 in the aggregate. INDEMNITY CLAUSE The Lead Agency agrees to indemnify, defend and hold harmless the Contractor, its officers, agents and volunteers against all claims, demands, suits, judgments, expenses, costs and/or liability of any and every kind arising out of this agreement and resulting from the negligent acts, errors or omissions of the Lead Agency, on account of the injury or death or persons, or loss or damage to equipment or property of the Contractor. The Contractor agrees to indemnify, defend and hold harmless the Lead Agency, its officers, agents and volunteers against all claims, demands, suits, judgments, expenses, costs and/or liability of any and every kind arising out of this agreement and resulting from the negligent acts, errors or omissions of the Contractor, on account of the injury or death or persons, or loss or damage to equipment or property of the Lead Agency. In the event the Lead Agency and Contractor are found to be comparatively at fault for any claim, action, loss or damage with results from their respective obligations under this agreement, the Lead Agency and/or Contractor shall indemnify the other to the extent of its comparative fault. The Agreed Service Amount between the City of Redlands and Colton -Redlands -Yucaipa Regional Occupation Program is $23,000.
