ENI, lnete rafter referred to as the "AGRELMEN P', is entered pito by and between the Southern Califointa Edison Company, a publicly regulated private utility company, (hereinafter called "SCE"), and CITY OF REDLANDS, a municipal corporation, (collectively, heremaftei called "Seller") for acquisition by SCE of certain real property rights hereinafter set forth for [lie construction, operation and use as part of the West of Devers Upgrade Project (hereinafter called the "Project") WHEREAS, SCE is in the process of acquiring the necessary real property and property rights toi the Project, and has determined that portions of Seller's property, identified as Assessor Parcel Number 0292-034-02, located in the City of Redlands County of San Bernardino, State of California (said portions hereinafter called the "Subject Property") are necessary for the construction and operation of the Project WHEREAS, SCE has extended the offer to purchase the Subject Property fol the Project as required by and consistent with Goveinnrew Code §7267 2 to the Seller, and Seller acknowledges having received the offet in propel form and content, WHEREAS, Seller acknowledges that SCE has the constitutional and statutory power to acquire the Subject Property fol a public use and purpose under its statutory right of eminent domain and that this Agreement, and the negotiated purchase and. sale made herein, is in lieu of SCE's exercise of its statutory right to employ the power of eminent domain and obtain a judicial Ordei of Immediate Possession under Coda of Civil Piocedute §§ 1255 10-1255 480 and a subsequent Final Ordei of Condemnation to acquire title to the Subject Property, and WHEREAS, SCE and Seller wish to, by this Agreement, resolve all interests, rights, claims and other issues related to the Project and SCE's acquisition of the entirety of the Subject Property including immediate possession and use of the Subject Property by SCE forthe Project, NOW THEREFORE, IN CONSIDERA TION OF ALL `i HE FOREGOING, THE PARTIES DO HEREBY AGREE AS FOLLOWS 1 AGREEMENT TO SELL AND PURCHASE Sel lei represents and warrants that they, and they alone, own tine Subject Property and Seller agrees to sell to SCE and SCE agrees to purchase from Sellei, upon the terms and for the consideration set forth in this Agreennent, certain rights to use the property as set forth in Section 7 below 2 PURCHASE PRICE The total purchase price for the Subject Property shall be the suit of TWO THOUSAND FIVE HUNDRED DOLLARS ($2,500) The purchase price, shall be payable as set forth below 3 CONVEYANCE OF TI TLE Seller agrees to convey by easement documents, substantially in the form of Exhibit A attached hereto (the "Casement Documents"), to SCE title to the Subject Property closes which shall be cleared and paid in the mannei required by Section 4956 of the Revenue and']. axation Code, if unpaid at the close of this transaction 4 TITLE INSURANCE POLICY I1 SCI: so chooses tollov�rn�g recording of said Easement Documents by SCL, to acquire a CLIA Standard Coverage Policy of i itle Insurance, SCE agrees to pay the premium charged therefore 5 TRANSACTION Seller shall execute and deliver said Eascnnent Documents as referenced in Paragraph 3 above, to SCE's title departnnent concurrently with this Agreement, of as soon as possible thereafter when said Easement Documents are available SCE's title department shall handle the process of recording the Easement Documents SCE shall send payment referenced in Paragraph 2 above within thirty (30) days of the recording of the I aserneint Documents SCE and Seller agree to cooperate and provide any additional instruments as may be reasonably necessary to complete this transaction The parties additionally agree a SCE may, upon Seller's written approval, deduct from the arnount shown in Paragraph 2 above any amount necessary to place title in the condition necessary to satisfy Paragraph 3 of this Agreement, I b All time limits within which any matter herein specified is to be perforixied may be extended by agreemlent of the parties hereto Any amendment of, or supplement to, this AGREEMENT must be in writing 6 TRANSACTION COSTS .Except for Paragraph 5(a), SCC agrees to pay all transaction costs and tees related to the recording and conveyance of the Easement Documents, including but not limited to recording and title insurance fees incurred in this transaction 7 POSSESSION AND USE SCE and Sellei acknowledge that SCE is entitled to immediate possession of the Subject Property as of the date of execution of this Agreement by SCE ("Effective Date") SCE shall provide notice of the execution of this Agreement to Seller using the information contained in Section 19 below SCE and Seller agree that frorn the Effective Date until the recordation of the Easement Documents contemplated herein, SCE shall be entitled to full possession of the Subject Property, to include the right to design, construct and operate the Project, the right to remove and/oi demolish any existing iinproverments within the easement area, and the attendant rights of ing-mess and egress over lands of the Seller adjacent to the Subject Property until the construction of the Project is complete Seller hereby waives any separate monetary claims whatsoever arisen- out of SCE's immediate possession of the Subject Property after the Eflectix-c Date Seller also acknowledges that the purchase price in Section 2 above includes all compensation related to the transfei of immediate possession of the Subject Property to SCE as contemplated herein, and no additional compensation claims may be raised 2 8 FULL AND COMPLETE SE'ITLENIENI IN LIEU OF CONDLIVINATION Selle€ and SCE acknowledge that this transaction is a negotiated settlement in lieu of SCL exercising its power of eminent domain Sellei and SCE Furthei acknowledge that SCI-: is acquiti€ng the Subject Property set forth herein under the threat of the power of eminent domain Sellei acknowledges that SCE's acquisition of the Subject Property to€ the Project is a valid public use Scllei hereby acknowledges that the compensation paid to Sellei through this Agieement constitutes the full and complete settlement of any and all clai€ns against SCE related to SCE's acquisition of the Subject Property including but not limited to full payinncnt of lust compensation in einmeint domain by reason of SCE's acquisition of the Property, specifically including, but not hinited to, any and all rights of claims that Seller has, may have of may in the future have under Article 1 Section 19 of the California COn4trtntlo.11, the Eminent Domain Law, or any othei law or regulation, except as provided herein 9 EMINENT DOMAIN PROCEEDINGS The parties acknowledge that this Agicement constitutes a voluntary acquisition of the Subject Property in lien of eminent domain, and that SCE is acquiring the Subject Property under the threat of eminent domain for the Project, a public use Sellei expressly acknowledges that the execution of this Agreement does not constitute a waiver of SCE's constitutional and statutory right to commence and €maintain an eminent domain proceeding in Superior Court to eithei (1) acquire the Subject Pioperty to address a defect in Seller's ability to convey cleat and unencumbered title to SCE, of (2) to cleat any additional recorded or unrecorded encun-ibrances that impact SCE's ability to own and possess the Subject Property free of any encumbrance, license, easement, property right and/ot ]ren foi the Project 10 RENTAL AND LEASEHOLD INTEREST Sellei warrants that there are no third parties in possession of any portion of the Subject Property as lessees, tenants at sufferance, trespassers, of invitces, and that there are no oral of written recorded of unrecorded leases or other agreements concerning all of any portion of the Subject Property Seller furthei agrees to hold SCI: harnnless and reimburse SCE foi all of its losses, costs and expenses occasioned by reason of any lease of said Subject Property lield by any tenant of Seller, including the reimbursement of any attorney s fees Propeity and has good, cleai, and rmaiketable title to the Subject Property Seller also warrants that Sel let has full le=gal authoi ity to enter into this Agreement, and in so doing is not thereby in violation of any other contract of agreement with any othe€ party, and has already secured the consent of any lender of financial institution necessary pet the Lender Consent Agreement Sellei warrants that it has not assigned any of its interests in the Subject Property to any other person of entity, and that it is tine sole party with authority to c.omproimise its c.lainns related to theSub_ject Property _ut Sellet shall maintain the Subject Property in good condition and shall perform all of its obligations under any service contracts or other contracts affecting the Subject Property until the EffectiveDate h Each of the above warranties and representations is material and is relied upon by SCE separately and collectively Each of the above representations and warranties shall be deemed to have been made as of the date of execution of this Agreement and shall survive the recording of the Easement Documents 12 COUNTLRPARTS. This Agreement may be executed in counterparts, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed gin original, and all such counterparts together shall constitute one and the same instrument 13 CONTINGENCY It is understood and agreed between the parties hereto that tine completion of this tiansac,tion iscontnngent upon the specific acceptance and approval of SCE, of its designated assignee or authorized person(s) The execution of this Agreement by SCE constitutes said acceptance and approval 14 NO BROKERS.
