between Living Stone Proper ties, LLC ("LSP"), on the one hand, and the City of
Redlands ("City" of `Redlands"), on the other hand
RECITALS
WI IEREAS
A LSP has entered into a purchase and sale agreement with Ruth Hent icks
special administrator of (lie Estate of Pham, regarding certain residential real property
known as 316 East Clailc Street, Redlands, California 92373 (the"Proper€y"),
B There is an on-going probate inatter Imown as Lstate of Thoi Van Pham
San Bernardino Superroi Coui t Case No PROPS 1400379 (the"Probate Action"),
C On November 19, 2015, the City issued a Legal Notice and Ordet to Repaii
of Abate("N&O"), a copy of which is attached hereto as E\htbrt "A "
D Redlands filed a civil recerveiship petition regarding the Piopeity (the
"Petition"), which has been consolidated into [lie Probate Action
E In order to facilitate an oideily rehabilitation of the Property to correct the
deficiencies with the Property Nvhicli are the subject ofthc N&O Petition (subject to certain
exceptions noted in this Agreement), LSP and Redlands desire to enter into this Agreement
contingent upon LSP's being able to consuinmate its purchase Of the Property with pi obate
court approval
IT IS THEREFORE AGREED, in consideration of the terms, covenants,
conditions, and provisions stated below
I Buyer acknowledges that it is responsible for abating all current violations of
the Redlands Municipal Code and other State and local laws that currently exist on the
properties pursuant to the terms of this Compliance Agreement The City acknowledges
that the Proper ty is zoned for a duplex residential use
2 Within twenty (20) calendat days of the close of escrow of LSD's purchase
of the Property, LSP agrees to submit complete applications to the City for all permits
required by the City For the rehabilitation of the Property to conformity with all applicable
building codes

3 within thn ty(30)calendai clays from the date peirnnits are issued, LSP agrees
to commence the Nvoilc necessai y to rehabilitate the Property and to bi ing it into compliance
by correcting the remaining violations identified in the N&O, Exhibit A
4 Within one hunched eighty clays from the date permits are issued, LSP
hereby agrees to completely correct all of the violations oil the Property and to bi iing it into
full compliance with the Redlands Municipal Code, and all other laws ("Compliance
Deadline")
5 Buyer acknowledges that it had notice of the Legal Notice and Orclei to
Repan or Abate dated Novernbei 19, 2015 ("N&O"), the Notice of Pendency of Action
previously recorded on the Property on Decennbez 8, 2015, and the Lis Pendens recoiled
on the Property on Match 1, 2016 Buyci agrees that it is bound by those documents even
should they later be removed to facilitate the sale of Property to Buyel
6 LSP agrees to maintain the Property in compliance with all laws thereafter,
including maintaining the exteiioi yard (front and real) and inteiioi aicas, as requir•ccl by
the Redlands Municipal Code and other laws This includes, but is not limited to, ensuring
that trash, debris of other clutter is not stored in view of the neighbors, whether in the front
of rear yards, and that all buildings and structures are properly maintained according to all
applicable Statc and local laws, including fine Redlands Municipal Code
7 if the City deteiinines that any provision of this Compliance Agreement has
been breached, the City shall provide wri aen notice of the breach to Buyei via cei titied mail
return receipt requested Upon marling of the notice, Buyei will have 30 calendai days to
address the concerns raised by the wiaten notice Should the Buyer fail to do so, as
determined by the Court, the City shall be entitled, and Buyer so stipulates, that a receiver
may be appointed to continuc the rehabilitation in the manner that the receiver best sees fit
including but not limited to overseeing repairs by Buyer Should Receiver by appointee[
pursuant to this Compliance Agreement, Buyei agrees that the receivei will be empowered
to abate all identified violations Furtheinnore,in the event of breach,Buyer agrees that the
City will be entitled to all costs and lees incurred as a result of breach of the Compliance
Agreenent and that those fees and costs shall be paid by the receiver from the receivership
estate
S LSP hereby consents to inspection of the Property by City staft during the
hours of Sam — 5prn, Monday through l;itchy, for purposes of confirming compliance by
the Compliance Deadline upon reasonable notice by the City
9 If LSP frilly complies with this Agreement and the law, the City agrees not
to take further enforcement action regarding the Property for the violations identified in
the N&O

consenting, oil behalf of each such paity, to each and all of the terms, conditions, and
provisions of this Agieenient
12 Each of the pat ties hereto iepresent and variant that they are aware of no
othei individual of entity having any interest in, and that they have not previously
assigned, transferred, pledged, of hypothecated to (oi purported to do so), any individual
or entity, any claim released of nfaived by therm through this Agreement,and fiat thei agi ee
to indemnify and hold harmless any othei paity to this Agreement against any claim,
action, demand, debt, loss, obligation, liability, cost, of expense, inclucilrig, without
]limitation, attoiney's fees, ai ising out of any breach of the iepresentations and ,variantics
set forth in this paragraph
13 This Agreement is binding upon and shall inuic to the benefit of the parties
hereto, and to their iespcetive heirs, assigns, executors, administiators, successors,
representatives, and agents
14 The validity, construction, interpretation and enfoicenlent of this
Agreement and its teiins and provisions shall be governed by the laws of the State of
California For purposes of interpreting this Agreement, each party acknowledges that
he/she/it has participated in its drafting and each party will be deemed the 'drafter' of the
Agreement
IS The Patties represent that they have had the opportunity, whether or not
they have chosen to do so, to discuss this Agreement with legal counsel The Patties
acknowledge -,in([ agree that neithel William J Ward not Wald & Ward represents either
party, but solely iepresents the Ruth Hentrcks, the admintstiatol of the Estate of Pham
Any involvement by 'William J Ward of Ward & Ward in the preparation of any portion
of this Agreement has been solely to facilitate negotiations between the patties Both
parties are advised to seek independent legal counsel
16 The parties to this Agiecment, and each of them, hereby acknowledge that
tills Agreement contains the sole and entire Agreement and understanding of the patties
with respect to the entire subject inattei hereof, and any and all pilot discussions,
negotiations, and understandings related to the entire subject nnatter of this Agreement are
hereby merged herein Each party to this Agreement hereby ackmowledges that no other
promise, inducennernt, representation, of agreement not herein expressed has been matte of
relied upon by any of the parties, and that this Agreement contains the entire agleement

unenforceable In that event, the remaining teims and provisions, and/oi such tetin and
provision so limited, shall remain in full force and effect

parties hereto and shall have the same force and effect as if an original single document
had been signed by all parties
