PURCHASE AND SALE AND ESCROW INSTRUCTIONS
This SECOND AMENDMENT TO RESTATED AGREEMENT FOR THE
PURCHASE AND SALE AND JOINT ESCROW INSTRUCTIONS("Second Amendment")
is made and entered as of December 18, 2018 ("Second Amendment Effective Date"),by and
between the City of Redlands Successor Agency to the Fonner Redevelopment Agency of the
City of Redlands ("Seller") and Redlands Food Hall, LP ("Buyei") Seller and Buyei are
sometimes individually referred to herein as a "Party" and, together, as the "Parties "
RECITALS
Whereas, Seller and Buyer have entered into that certain Restated Agreement foi the
Purchase and Sale and Escrow Instructions, dated June G, 2017 ("Agreement"), and a first
amendment to the Agreement dated June 5, 2018, and
Whereas, it is the desire of the Parties to amend the date for close of escrow presently
set forth in the Agreement,
Now, therefore, in consideration of the mutual promises contained herein, and for
such othei good and valuable consideration, the receipt of which is hereby acknowledged,
the City of Redlands Successor Agency to the Formei Redevelopment Agency of the City
of Redlands and Redlands Food Hall, LP agree as follows
AGREEMENT
Section 1 Sub-section 7 1 of the Agreement is hereby arnended to read as follows
"7 1 Escrow shall close ("Closing" of "date of Closing") on or before
March 31, 2019 "
Section 2 Except as expressly amended of modified by the provisions and conditions
of this Second Amendment, the Agreement shall and will remain in full force and effect

IN WITNESS WHEREOF, the parties have executed this Second Amendment to be
effective as of this 18"' day of December, 2018
