FOR EQUIPMENT AND SUPPLIES
This agreement for the provision of janitorial services and supplies ("Agreement") is made
and entered in this 18th day of December, 2018 ("Effective Date"), by and between the City of
Redlands, a municipal corporation ("City)" and Omni Enterprise, Inc ("Contractor") City and
Contractor are sometimes individually referred to herein as a "Party" and, together, as "Parties "
In consideration of the mutual promises contained herein, City and Contractor agree as follows
ARTICLE 1 — ENGAGEMENT OF CONTRACTOR
1 1 City hereby engages Contractor to perform janitorial services and supplies for City (the
"Services")
12 The Services shall be performed by Contractoi in a professional manner, and Contractor
represents that it has the skill and the professional expertise necessary to provide the
Services to City at a level of competency presently maintained by other practicing
professional Contractors in the industry providing like and similar types of Services
ARTICLE 2 — SERVICES OF CONTRACTOR
2 1 The Services that Contractor shall perform are more particularly described in Exhibit "A,"
entitled "Scope of Services," which is attached hereto and incorporated herein by reference
22 Contractor shall comply with applicable federal, state and local laws and regulations in the
performance of this agreement including, but not limited to, State prevailing wage laws
23 A copy of the Displaced Janitor Opportunity Act, Labor Code section 1060, et seq , is
attached hereto as Exhibit `B" and incorporated herein by this reference Contractor
understands and agrees that the Services shall be provided in accordance with the Act
ARTICLE 3 — RESPONSIBILITIES OF CITY
3 1 City shall make available to Contractoi information in its possession that may assist
Contractoi in performing the Services
32 City designates Chris Boatman, Quality of Life Director, as City's representative with
respect to performance of the Seivices, and such person shall have the authority to transmit
instructions, receive inforination, interpret and define City's policies and decisions with
respect to performance of the Services
ARTICLE 4 — PERFORMANCE OF SERVICES
41 Contractor shall perform and complete the Services in a prompt and diligent manner in
accordance with the schedule set forth in Exhibit "C," entitled "Schedule," which is
attached hereto and incorporated herein by reference The Services shall commence
immediately after the Effective Date of this Agreement

42 The term of this Agreement shall be for a period of three (3) years from the Effective Date
of this Agreement (the "Initial Term") The City shall have the option to extend the Initial
Term of this Agreement by two (2) additional one-year terms (each, an "Extended Terre"),
on the same terms and conditions, by providing written notice to Contractor at least thirty
(30) days prior to the expiration of the Initial Term or any Extended Term The Initial
Term and the Extended Terms are collectively referred to herein as the "Term" of this
Agreement
ARTICLE 5 — PAYMENTS TO CONTRACTOR
5 1 The compensation for Contractor's performance of the Services shall not exceed the
amount of one hundred seventy four thousand two hundred forty dollars ($174,240 00) for
a period of one year after the Effective Date, with two additional one-year renewal options
bringing the total to an amount not -to -exceed eight hundred seventy one thousand two
hundred dollars ($$71,200 00) City shall pay Contractor on a tune and materials basis up
to the not to exceed amount in accordance with Exhibit "D" entitled "Fee Schedule"
attached hereto and incorporated herein by reference
52 Contractor shall submit monthly invoices to City describing the Services performed during
the preceding month Contractor's invoices shall include a brief description of the Services
performed, the dates the Services were performed, the number of hours spent and by whom,
and a description of reimbursable expenses related to the Services City shall pay
Contractor no later than thirty (30) days after receipt and approval by City of Contractor's
invoice
53 Any notice or other communication required, or which may be given, pursuant to this
Agreement, shall be in writing Any such notice shall be deemed delivered (i) on the date
of delivery in person, (n) five (5) days after deposit in first class registered mail, with return
receipt requested, (in) on the actual delivery date if deposited with an overnight courier, or
(iv) on the date sent by facsimile, if confirmed with a copy sent contemporaneously by first
class, certified, registered or express mail, in each case properly posted and fully prepaid
to the appropriate address set forth below, or such other address as a Party may provide
notice in accordance with this section

ARTICLE 6 — INSURANCE AND INDEMNIFICATION
61 The following insurance coverage required by this Agreement shall be maintained by
Contractor for the duration of its performance of the Services Contractor shall not perform
any Services unless and until the required insurance listed below is obtained by Contractor
Contractor shall provide City with certificates of insurance and endorsements evidencing

such insurance prior to commencement of the Services Insurance policies shall include a
provision prohibiting cancellation or modification of the policy except upon thirty (30)
days prior written notice to City
A Workers' Compensation and Employer's Liability insurance in the amount that meets
statutory requirements with an insurance carrier acceptable to City, or certification to
City that Contractor is self-insured or exempt from the workers' compensation laws of
the State of California Contractor shall execute and provide City with Exhibit "E"
entitled "Workers' Compensation Insurance Certification," which is attached hereto
and incorporated herein by this reference prior to performance of the Services
B Comprehensive General Liability insurance with carriers acceptable to City in the
minimum amount of One Million Dollars ($1,000,000) pei occurrence and Two Million
Dollars ($2,000,000) aggregate, for public liability, property damage and personal
injury is required City shall be named as an additional insured and such insurance shall
be primary and non-contributing to any insurance of self-insurance maintained by City
C Business Auto Liability coverage, with minimum Iimits of One Million Dollars
($1,000,000) per occurrence, combined single limit bodily injury liability and property
damage liability This coverage shall include all Contractor owned vehicles used in
connection with Contractor's provision of the Services, hired and non -owned vehicles,
and employee non -ownership vehicles City shall be named as an additional insured
and such insurance shall be primary and non-contributing to any insurance or self-
insurance maintained by City
62 Contractor shall defend, indemnify and hold harmless City and its elected officials,
employees and agents from and against any and all claims, losses of liability, including
attorneys' fees, arising from injury or death to persons or damage to property occasioned
by any negligent act or omission by, or the willful misconduct of, Contractor, or its officers,
employees and agents in performing the Seivices
ARTICLE 7 ---- CONFLICTS OF INTEREST
71 Contractor covenants and represents that it does not have any investment or interest in any
real property that may be the subject of this Agreement of any other source of income,
interest in real property or investment that would be affected in any manner of degree by
the performance of Contractor's Services Contractor furthet covenants and represents that
in the performance of its duties hereunder, no person having any such interest shall perform
any Services under this Agreement
72 Contractor agrees it is not a designated employee within the meaning of the Political
Reform Act because Contractor
A Does not make a govermnental decision whether to
(r) approve a rate, rule of regulation, of adopt or enforce a City law,
(ii) issue, deny, suspend or revoke any City permit, license, application,
certification, approval, order or similar authorization or entitlement,

(iii) authorize City to enter into, modify of renew a contract,
(iv) grant City approval to a contract that requires City approval and to which
City is a party, or to the specifications for such a contract,
(v) grant City approval to a plan, design, report, study or similar item,
(vi) adopt, or grant City approval of, policies, standards of guidelines foi City
or foi any subdivision thereof
B Does not serve in a staff capacity with City and, in that capacity, participate in making
a governmental decision of otherwise perform the same or substantially the same duties
for City that would otherwise be performed by an individual holding a position
specified in City's Conflict of Interest Code under Government Code section 87302
73 In the event City determines that Contractor must disclose its financial interests, Contractor
shall complete and file a Fair Political Practices Commission Form 700, Statement of
Economic Interests, with the City Clerk's office pursuant to the written instructions
provided by the City Clerk
ARTICLE 8 — GENERAL CONSIDERATIONS
8 1 In the event any action is commenced to enforce of interpret any of the terms of conditions
of this Agreement the prevailing Party shall, in addition to any costs and other relief, be
entitled to the recovery of its reasonable attorneys' fees, including fees for the use of in-
house counsel by a Party
82 Contractor shall not assign any of the Services, except with the phot written approval of
City and in strict compliance with the terms and conditions of this Agreement Any
assignment or attempted assignment without such prior written consent may, in the sole
discretion of City, results in City's immediate tennination of this Agreement
83 Contractor is for all purposes under this Agreement an independent contractor and shall
perform the Services as an independent contractor Neither City nor of its agents shall have
control over the conduct of Contractoi or Contractor's employees, except as herein set
forth Contractor shall supply all necessary tools and instrumentalities'required to perform
the Services Assigned personnel employed by Contractor are for its account only, and in
no event shall Contractoi or personnel retained by it be deemed to have been employed by
City or engaged by City for the account of, or on behalf of City Contractor shall have no
authority, express or implied, to act on behalf of City in any capacity whatsoever as an
agent, nor shall Contractor have any authority, express or implied, to bind City to any
obligation
84 This Agreement may be terminated by City, in its sole discretion, by providing not less
than ten (10) days pnoi written notice to Contractoi of City's intent to terminate If this
Agreement is terminated by City, an adjustment to Contractor's compensation shall be
made, but (1) no amount shall be allowed for anticipated profit of unperformed Services,
and (2) any payment due Contractor at the time of termination may be adjusted to the extent
of any additional costs to City occasioned by any default by Contractor Upon receipt of a
termination notice, Contractoi shall immediately discontinue its provision of the Services
and, within five (5) days of the date of the termination notice, deliver or otherwise make

available to City, copies (in both hard copy and electronic form, where applicable) of
project related data, drawings, specifications, reports, summaries and such other
information and materials as may have been accumulated by Contractor in performing the
Services Contractor shall be compensated on a pro -rata basis for Services completed up to
the date of termination.
85 Contractor shall maintain books, ledgers, invoices, accounts and other records and
documents evidencing costs and expenses related to the Services for a period of three (3)
years, or for any longer period required by law, from the date of final payment to Contractor
pursuant to this Agreement Such books shall be available at reasonable times for
examination by City at the office of Contractor
86 This Agreement, including the Exhibits incorporated herein by reference, represents the
entire agreement and understanding between the Parties as to the matters contained herein,
and any prior negotiations, written proposals or verbal agreements relating to such matters
are superseded by this Agreement Except as otherwise provided for herein, any
amendment to this Agreement shall be in writing, approved by City and signed by City and
Contractor
87 This Agreement shall be governed by and construed in accordance with the laws of the
State of California
88 If one or more of the sentences, clauses, paragraphs or sections contained in this Agreement
is declared invalid, void or unenforceable by a court of competent jurisdiction, the same
shall be deemed severable from the remainder of this Agreement and shall not affect,
impair or invalidate the remaining sentences, clauses, paragraphs or sections contained
herein, unless to do so would deprive a Party of a material benefit of its bargain under this
Agreement

EXHIBIT "A"
SCOPE OF SERVICES
A Where work is to be performed in City facilities, Contractor shall have examined the
site of work and shall be responsible for having acquired full knowledge of the job and of
any and all problems affecting it No variations or allowance from the cost breakdown for
the Services will be made because of lack of such examination
B Damage to existing construction, equipment, planting, etc, by Contractor in the
performance of the Services shall be replaced or repaired and restored to original
condition by and at the expense of Contractor
C Contractor shall at all times, keep the facilities clean from accumulation of waste or
recyclable materials caused by employees or janitorial work and shall remove all resulting
materials from site (s) where the Services are performed
D Contractor shall appoint an experienced supervisor to be responsible for all Services
required and performed under this Agreement The Supervisor must be acceptable to City
and have the authority to receive on behalf of Contractor any order or communication
relating to the Services The Supervisor shall be readily accessible to staff of the City at all
times and have communication equipment (cell phone or pager) If a replacement
Supervisor is deemed necessary by Contractor, replacement Supervisor shall be
approved by City prior to commencement of any Supervisory duties
Contractor shall distribute to all employees assigned under this Agreement a copy of the
"Scope of Services" Contractor shall provide City with a signed distribution sheet of all
employees responsible for any Services required under this Agreement verifying that they
have received a copy of the "Scope of Services" section Contractor shall give efficient and
appropriate supervision to the Services Failure to provide supervision, adequate to
ensure conformance with the requirements of this Agreement will be considered deficient
performance Failure to correct a notice of deficient performance from City will constitute
cause for termination Supervisor shall meet with individual city Site Supervisors every two
weeks during City business hours for quality control' check in
E A Checklist will be completed by Contractor, or a designated supervisor, ensuring that
all required tasks are completed according to each time frame indicated in the scope of
services This checklist shall be turned in to City's representative as often as is necessary
to ensure efficient performance of the fob requirements Contractor will correct, within 24
hours, deficiencies for any task labeled as daily, weekly, or monthly Contractor will
correct, within 48 hours, any deficiencies for any task labeled as semi-monthly, quarterly,
or annually City reserves the right to procure services for the correction of the deficiency
from other sources and hold Contractor responsible for any costs incurred Failure to
correct a notice of deficient performance from City will constitute cause for termination of
this Agreement

F Invoices submitted must be itemized to include monthly costs for a given time period,
and include City's Purchase Order Number Any additional charges are required to be
provided in writing with detailed descriptions of work performed
G The City requires a comprehensive LIVESCAN background check clearance of all
employees accessing City property prior to their performing any work for the City
Contractor shall provide evidence that all employees engaged in providing the Services
are covered under terms of Contractor's insurance policy and have passed a thorough
background check prior to submitting employees for a LIVESCAN background check
Background checks are to be performed at the expense of the Contractor (if any) and
performed by the City of Redlands Police Department
H Contractor is responsible for supplying, at its own expense, uniforms or identifying
attire to all employees, which will be unvarying in style All employees are expected to be
in "uniform" while on duty, and the uniform is to be kept clean and in good condition An
example of uniform or identifying attire would be a same colored collared shirt with the
contractors name in clear view (logo)
I Contractor shall make available upon request the following
• Health and Safety Plan for Workers
• Accident Record from the last 5 years, including details of Contractor's
response, actions and outcomes
GENERAL REQUIREMENTS
a All keys entrusted to Contractor for the fulfillment of this Agreement must be fully
protected at all times In the event of any loss of key (s), it will be the responsibility of
Contractor to cover the cost of having the locks re -keyed All rooms/buildings are to be
secured after cleaning by ensuring all windows are closed/locked and doors that are
required to be locked are locked and that all alarms are set properly
b Upon completion and during the sequence of their duties, janitorial personnel will
turn off all lights in unoccupied areas unless otherwise directed
C Prior to leaving the building each night, Contractor shall check to see that all
outside doors are locked and that the building is secure Emergency phone numbers
will be provided to Contractor and Contractor shall notify the appropriate person in a
timely manner of any difficulties in securing the buildings If City sites ongoing issues
with Contractor staff not locking doors or setting alarms City may seek financial
compensation from Contractor
d Any conditions in the facilities that may require repair shall be reported to City in
a timely manner (i e , dripping faucets, damaged walls, burned out lights, etc )
RECYCLING
a Contractor shall coordinate recycling activities with City's representative to
minimize refuse disposal and maximize recycling from City facilities

b Contractor shall empty recyclable materials contained with designated recycling
containers throughout the facility This includes all blue, recycling desk -side containers
and larger, blue 32 -gallon recycling containers Recyclable materials shall be emptied into
the white recycling dumpster at the rear of the City Hall off of Citrus Avenue
c Recyclable materials set aside should be collected and emptied into the white
recycling dumpster This includes office materials such as paper (e g , boxes,
blueprints, plans, files, etc ) that may or not be placed inside of a recycling container
due to inadequate capacity but are clearly labeled "RECYCLE"
d Contractor shall contact City's representative if the janitorial staff or supervisor
are in doubt regarding the proper separation of materials
Contractor will contact City's representative to apprise him of improper separation of
materials by City staff Materials listed below should be separated for recycling by City
office staff Contractor shall NOT collect recyclables for personal use

EQUIPMENT and SUPPLIES
a Contractor will provide City with records to indicate the specifications, details and
any other information available concerning the supplies and equipment used at City
facilities
b Supplies and materials used in performing the scope of services contained
herein under this Agreement shall conform to the following specifications listed in the
chart below (any non -conforming specification must be provided in the blank column
for consideration and approval by City)
*For treatment of various types of flooring, carpeting, etc, only materials recommended
and approved by the flooring manufacturers shall be used It shall be the prime
responsibility of the successful bidder to protect the owner's property at all times, and to
use only materials and treatments that will enhance the appearance of the flooring, etc ,
and preserve the surface against deterioration

If for any reason, Contractor fails to provide adequate supply of the above mentioned

expense of Contractor
Contractor shall allow City's representative to inspect facilities during office hours to
assure compliance with this Agreement Upon request, Contractor shall provide City
with written certification of all services and supplies provided to City

EXHIBIT "B"
Displaced Janitor Opportunity Act, Labor Code section 1.060, et seq
1060 The following definitions shall apply throughout this chapter
(a) "Awarding authority" means any person that awards or otherwise enters into contracts for
janitorial or building maintenance services performed within the State of California, including any
subcontracts for janitonal or building maintenance services
(b) "Contractor" means any person that employs 25 or more individuals and that enters into a
service contract with the awarding authority
(c) "Employee" means any person employed as a service employee of a contractor or subcontractor
who works at least 15 hours per week and whose primary place of employment is in the State of
California under a contract to provide janitorial or building maintenance services "Employee"
does not include a person who is a managerial, supervisory, or confidential employee, including
those employees who would be so defined under the federal Farr Labor Standards Act
(d) "Person" means any individual, proprietorship, partnership, joint venture, corporation, limited
liability company, trust, association, or other entity that may employ individuals or enter into
contracts
(e) "Service contract" means any contract that has the principal purpose of providing services
through the use of service employees
(f) "Subcontractor" means any person who is not an employee who enters into a contract with a
contractor to assist the contractor in performing a service contract
(g) "Successor service contract" means a service contract for the performance of essentially the
same services as were previously performed pursuant to a different service contract at the same
facility that terminated within the previous 30 days A service contract entered into more than 30
days after the termination of a predecessor service contract shall be considered a "successor service
contract" if its execution was delayed for the purpose of avoiding application of thus chapter
1061
(a) (1) If an awarding authority notifies a contractor that the service contract between the awarding
authority and the contractor has been terminated or will be terminated, the awarding authority shall
indicate in that notification whether a successor service contract has been or will be awarded in its
place and, if so, shall identify the name and address of the successor contractor The terminated
contractor shall, within three working days after receiving that notification, provide to the
successor contractor identified by the awarding authority, the name, date of hire, and fob
classification of each employee employed at the site of sites covered by the terminated service
contract at the time of the contract termination (2) If the terminated contractor has not learned the
identity of the successor contractor, if any, the terminated contractor shall provide that information
to the awarding authority, which shall be responsible for providing that information to the
successor contractor as soon as that contractor has been selected (3) The requirements of this
section shall be equally applicable to all subcontractors of a terminated contractor
(b) (1) A successor contractor or successor subcontractor shall retain, for a 60 -day transition
employment period, employees who have been employed by the terminated contractor or its
subcontractors, if any, for the preceding four months or longer at the site or sites covered by the
successor service contract unless the successor contractor or successor subcontractor has
reasonable and substantiated cause not to hire a particular employee based on that employee's
performance or conduct while working under the terminated contract This requirement shall be
stated by awarding authorities in all initial bid packages that are governed by this chapter (2) The
successor contractor or successor subcontractor shall make a written offer of employment to each
employee, as required by this section, in the employee's primary language or another language in

which the employee is literate That offer shall state the time within which the employee must
accept that offer, but in no case may that time be less than 10 days Nothing in this section requires
the successor contractor or successor subcontractor to pay the same wages or offer the same
benefits as were provided by the prior contractor or prior subcontractor (3) If at any time the
successor contractor or successor subcontractor determines that fewer employees are needed to
perform services under the successor service contract or successor subcontract than were required
by the terminated contractor under the terminated contract of terminated subcontract, the successor
contractor or successor subcontractor shall retain employees by seniority within the fob
classification
(c) The successor contractor or successoi subcontractor, upon commencing service under the
successoi service contract, shall provide a list of its employees and a list of employees of its
subcontractors providing services at the site or sites covered under that contract to the awarding
authority These lists shall indicate which of these employees were employed at the site or sites by
the terminated contractor or terminated subcontractor The successor contractor of successoi
subcontractor shall also provide a list of any of the terminated contractor's employees who were
not retained either by the successor contractor or successoi subcontractor, stating the reason these
employees were not retained
(d) During the 60 -day transition employment period, the successor contractor or successor
subcontractor shall maintain a preferential hiring list of eligible covered employees not retained
by the successor contractor or successor subcontractor from which the successor contractor or
successor subcontractor shall hire additional employees until such time as all of the terminated
contractor's of terminated subcontractor's employees have been offered employment with the
successor contractor or successor subcontractor
(e) During the initial 60 -day transition employment period, the successor contractor or successor
subcontractor shall not discharge without cause an employee retained pursuant to this chapter
Cause shall be based only on the performance or conduct of the particular employee
(f) At the end of the 60 -day transition employment period, a successor contractor or successor
subcontractor shall provide a written perfonnance evaluation to each employee retained pursuant
to this chapter If the employee's performance during that 60 -day period is satisfactory, the
successor contractor or successor subcontractor shall offer the employee continued employment
Any employment after the 60 -day transition employment period shall be at -will employment under
which the employee may be terminated without cause

(a) An employee, who was not offered employment of who has been discharged in violation of
this chapter by a successor contractor or successor subcontractor, or an agent of the employee may
bring an action against a successor contractor or successor subcontractor in any superior court of
the State of California having jurisdiction over the successor contractor or successor subcontractor
Upon finding a violation of this chapter, the court shall award backpay, including the value of
benefits, for each day during which the violation has occurred and continues to occur The amount
of backpay shall be calculated as the greater of either of the following
(1) The average regular rate of pay received by the employee during the last three years of the
employee's employment in the same occupation classification multiplied by the average hours
worked during the last three years of the employee's employment
(2) The final regular rate of pay received by the employee at the time of termination of the
predecessor contract multiplied by the number of hours usually worked by the employee
(b) The court may order a preliminary or permanent injunction to stop the continued violation of
this chapter

(c) If the employee is the prevailing party in the legal action, the court shall award the employee
reasonable attorney's fees and costs as part of the costs recoverable
(d) In the absence of a claim by an employee that he of she was terminated in violation of this
chapter, an employee may not maintain a cause of action under this chapter solely for the failure
of an employer to provide a written performance evaluation

WORKERS' COMPENSATION INSURANCE CERTIFICATION
Every employer, except the State, shall secure the payment of compensation in one or more of
the following ways
(a) By being insured against liability to pay compensation by one or more insurers
duly authorized to write compensation insurance in this State
(b) By securing from the Director of Industrial Relations, a certificate of consent to
self -insure, either as an individual employer, or as one employer in a group of
employers, which may be given upon furnishing proof satisfactory to the Director
of Industrial Relations of ability to self -insure and to pay any compensation that
may become due to his or her employees

I am aware of the provisions of Section 3700 of the Labor Code which requires every
employer to be insured against liability for Workers' Compensation or to undertake self-
insurance in accordance with the provisions of that Code, and I will comply with such provisions
before commencing the performance of the work and activities required or permitted under this
Agreement (Labor Code § 1861)
I affirm that at all times, in performing the work and activities required or permitted under
this Agreement, I shall not employ any person in any manner such that I become subject to the
workers' compensation laws of California However, at any time, if I employ any person such
that I become subject to the workers' compensation laws of California, immediately I shall
provide the City with a certificate of consent to self -insure, or a certification of workers'
