Dear Danielle,
This letter serves as notice that Vector Engineering, Inc.,a California corporation(the 1_QgaMW.-j*),and
its sole shareholder,Ausenco Limited,a public listed corporation in Australia,plan to enter into an
Asset Purchase Agreement by and among the Company,Ausenco and Geo-Logic Associates, Inc.,a
California corporation whereby Buyer will purchase(1)the assets used in the Company's
operations at its Grass Valley facility and Arizona facility and(11)the assets used In the Company's
Derwer operations relating,solety to field services to the solid waste industry worldwide(the*A%*M
Prior to consummation of the Asset Purchase,we hereby request that The City of Redlands Quality of
Life Department grant the Company your express written consent to the assignment(the
"Assigner )of the subject contract by and between the Company and The City of Redlands Quality
of We Department(the'Aareemenr)to the Buyer.
If you consent to such Assignment please countersign In the signature block provided below. By
countersigning this letter,you hereby give your express written consent to the Assignment as required
