("ConCractor"}. City and Contractor are sametimes individually referred to herein as a "Party" and, together, as "Parties." In consideration o�tl�e mutual promises contai�led herein, City and Contractar agree as fiollows: ARTICLE ] —ENGAGEMENT OF CONTRACTOR I.I City hereby engages Contractor to p�rfann Tate Water Treatcxaent Plant security camera syste��n services for City (the"Services"}. ].2 T11e Services sha{1 be pe�•formed by Contractar in a professional manner, and Contractor represents that it has tkte skill and the pt•ofessional expertise necessary to provide the S�rvices to City at a lev�l o� competency preserttly maintained by otiaeE' practicing �rafessional Contractors in the i�ldustry providing li[ce and similar types of Services. ARTICLE 2— RESPONSIBILITIES OF CONTRACTOR 2.1 The Services tl�at Contractar shall perform at�e mo�-e particularly described in Exhibit "A," entitled "Scope of Ser�ices," which is attached hereto and incorporated herein by reference. �'2.2 Contractor shall comply with all app[icable federal, state and local laws and regu[ations in tlie perFormance of the �ervices 111CIUCIli3g, btct nof limited, to all applicable I,abor Cade and p��evailing wage laws and non-discri�ni�iatioc� [aws, including t}te Arrtericans with Dfsabifities Act. Pursuant to Labor Code section 1773.2, copies of the prevailin�; rates of per diem wages as determu�ed by the Dir�ctar of the California Department of Industria[ Relatinns for each craft, c{assificatio�l or type of worker needed to undertake the Services are on file at City's Municipa] Uti]ities and Engineering Department, located at the Civic Center, 35 Cajon Street, Suite l5A {Maifialg: P.O. Box 3005}, Redlands, California 92373. 2.3 Contractor ac�Cnawledges that if it �ioiates the Labor CocfE prnvisions re[ating to pre�ailing wages that City may enforce such provisions by withholding payments to Contractor or its subcontractars pursua�lt ta Labor Code section 1771.6. 2.4 If Cantractor executes an agreement with a subcontractor to perform any portion of the Services, Contractor shall comply with Labor Code sections 1775 and I777.7, and shall pravide �he subcontractor witl� copies of the pro�isians of Labor Code sections 1771, 1775, I 776, i 777.5, I S 13 and 1$15. Contractor acicnowledges that the sta�utory p�•ovisians establishing pe�lalties for failure to coE�,ply with state wage and hour laws and to pay pt•evailing wages may be enforced by City pttrsuant to Labor Code sectinns 1'175 and 1813. 1 L:Icald.jmlAgrce�nenlslTF31v1 5ervices Secur€ty Camcras.NPS-2.2.dac NT'5-2.2(0216/19} 2S Contractor and its stEbcontractors shall comply with the provisians oF Labor Code section I 775 regarding payroll records maintenance, certifications, retention and inspection. 2.b Co3ltractor acknowledges that eight (8) hours constitutes a legal day's work pursuant ta L.abar Code section 1 S 10. 2.7 Contractor shal[ co�nply with the provisions of Labar Code secCion 1777.5 as to a�aprenticesllips, and Labor Code sections ]771, l 775, 1776, [777.5, 1813 and 181 S. 2.S Contract�r slzall obtain, execute and de[ive�•to City a Labor and Materials Payrnent Bond, i�t the form attached l�ereto as Exllibit"C." 2.9 Pursua�lt to Public Contract Code sectioi3 7103.5(b), Contractor offers and agrees to assign to City all riglrts, title and ir�terest in and to a[I causes of ac�ion it may have under section 4 of`the Clayton Act {15 U.S.C. section 15) ar under the Cartwright Act (Chapter 2 (commencing with section 16700} af Part 2 of Division 7 of the Business and Professions Code), arising fi•o�n ptirck�ases of goods, Work or materials pu�•suant to this Agreement. ARTICLE 3 —RESPONSIBILITIES O�' CITY 3.1 City shall make a�ailable to Contractor information in its possession that may assist Contractor in perfo�•ming th� Services. 3.2 City designates Paul Toor, Municipal Utiiities and En�;ineering Depai�ment, as City's �•epresentative with respect to perfor�nance of the Services, and such person shall have the authority to tean�mit instructions, receiv� information, interpret and define City's policies and decisions with r�spect to performance of tl�e Services. ARTICLE 4— PERFORMANCE 4F SERVICES 4.l Co�ltractor shall perfor�x� and complefe t�►e S�rvices in a pra�npt and diligent manner in accaE•dance with the schedule set farth in Exhibit "A," entitled "Scope of Services." The Services sha[I commence as of t11e Effective Date of this Ag�•eeEnent. 4.2 ContractQr shall complete within thirty caiendar days (30) from and after the date af the delivery to Contractor of a wcitten Notiee to Proceed by City, unless the Services are �erminated earlier as provided for heE•ein. A-.3 Contractor sha[1 f�arnish a labor a��d material bond ir� the form attached hereto as Exhibit "C", in an arrio�ant equal to one l�undrec[ percent(100%)of the total compensat�on to be paid to Cpntractor pLirsuant to this Agreement. Contractor's invoices shall include a brieF description oF the Services perforrned, the dates the Services were perFormed, th� number of hours spent and by whom, and a description of reimbursable expenses re[ated to tE�e Services. City slta[1 pay Contractor no later than t��itrty {30) days after receipt and appraval by City of Contractar's invoice. 5.3 Any notice or other communication required, or which may be given, pursuant to th�s Agreerrient, shall be in writing. Contractor shall not perform any Services unless and until the required insurance listed belaw is obtained by Contractor. Contractor shall p�-o�ide City with cei-tificates of insurance and endorsements e�idencing such insura�lce prior to com��nenceEne�lt of the Services. I�lsurance policies shall include a provisian prohibit�ng ca�lcellation or modification of the po[icy except upon thirty (34) days prior written notice to City. A. Workers' Campensation and Employer's Liability insurance in the atnoLint that me�ts statutory requirem�nts with ar� insurance ca�-rier acceptab[e to City, or certifcation to City that Cant��actor is self-insured or exempt fra�n the workers' compensation [aws of the State of California. Contracto�• shall execute and pro�vide City with Exhibit"D" entitled "Workers' Compensatio�l instu-�nce Certificatian," which is attached hereta and incorporat�d k�erein by this reference prior to perfocmance of the Services. B. City shall be named as an a�(ditional insurecE anc! such insu�•ance shall be primary and non-contributing ta any insurance or se[f-insurance rraaintained by City. C. Business Auto Liability coverage, with �rtinimum limits of One Millian Dol[ars ($1,000,000) per accurrence, combined singie limit badi[y injury liability and property damage liability. Tllis coverage shal[ include al[ Contractor owned �ehicles used in con�lectio�i with Cont�'actor's provision of the Ser�ices, hired and non-aw�led vehicles, and employee non-ownership �ehicles. City shall be named as an additional i�lsured and such insurance shall be primary and non-contributing ta any insuranee or self-insura�lce maintained by City. 6.2 Contractar shall defend, indemnify and hold harmless City and its elected officials, employees and agents from a�td against any and all clai�ns, losses or liability, including attar�leys' fees, arising fro�t� injuiy or death to persons or damage to pt•operty accasianed by any �leglige�lt act ar nmission by, ar tfae willful misconduct of, Contractar, or its afficers, einployees and agents in perfor�ninb the Services. ARTICLE 7—CONFLICTS OF INTEREST 7.1 Contractor cov�nants and represents that it does not have any in�estment or interest in any rea[ property that �nay be the subject of this Agreement or any ather sourc� of income, interest in real property or investi�ent that would be affected in any manner or degree by the performance of Contractor's Services. Contractor fui�ther covenants and repeesents that in the performaE�c� of its duties hereunder, �lo person having any such interest sE�all pe►•form any Services under this Agreement. 7.2 Contractor agrees it is nat a desi�;nated �inployee witi�in the meaning of the Political Reform Act beca�se Contractor: A. Dnes not �nake a go�e►•nmental decision wi�ether to: (i} approve a rate, rule ar regulation, or adopt or enfo►•ce a City law; (ii) issue, deny, suspend oE• re�oke any City permit, (icense, application, certification, approval, order or similar authorization or entitlement; (iii} authorize City to entet� into, modify or renew a contract; (iv) grant City appraval to a cont�-act that requires City appro�al and to which City is a party, or to the speci�catians for such a contract; (�) grant City appt•oval to a plan, design, report, study or si�nila�• item; {vi) adopt, or g�•ant City approval of, palicies, standards or �;�idelines for City or for any subdivisio�� tllereof. B. Daes not set•ve in a staff eapacity with City and i►� that capacity, pat�ticipate in malcing a governmental decision or otherwise perform tf�e same oE• substantially the same duties for City thaC wauld otherwise be perfot'med by an individual holding a position specified in City's Conflict of Interest Code t�nder Governtnent Code section 87302. 4 L:Vculd_jmlAgrce€nemslT[iM Services Security Ca�ncras.NPS-2.2.dnc NPS-2.2(02/6/19} 7.3 In the event City determines that Contracto�- �-nust disclose its financial i��terests, Contractor shall complete and �ile a Fair Political Practices Commission Form 700, Statei�ent of Ecanomic Inierests, witlt the Ciry Clerk's office pursuant to the writt�n instructio►�s provided by the City C[erk. ARTICLE 8—GENERAL CONSIDERATIONS $.l In the e�ent any action is commenced to enforce ar interpret any of the tenns or conditions of this Agre�ment tlle prevaifing ParEy shall, in adcfition to any costs and other relief, b� entitled to the recavery of its reasonable attorneys' fees, including fees for tlle use af in-hause counse[ by a Party. 8.2 Contractar shal[ not assign any of the Services, except with the pria�- written approval of City and in strict compliance with the terms and conditions af this Agt�eement. Any assignment ae• attempted assi���it-�ent without such prior written consent may, in the sole discretion of City, results in City's i�nmediate ter�nination of this Agreement. 8.3 Contraetor is for all purposes under this Agreement a�t ind�pendent contractor and shaEl perform the Services as an independent con�ractar. Neither City nar of its agents shall Ilave control over the conduct of Co�ltractor or Contractor's emplayees, except as herein set foifih. Contractor shall supply all necessary toals and insirumentalities required to perfo�'in the Services. Assigned persannel employed by Contractor are for its account on[y, and �n no event shall Contractor or personne[ retained by it be deemed to have been employed by City oE• engaged by City for the acco��nt of, or on behalf nf City. Contractor shal[ have no authority, express or implied, to act oi� bel�alf of City in any capacity whatsoever as an agent, nor sha[1 Contcactor have any authority, express or i�nplied, to bind City to any obligation. 8.4 This Agreement may be terminated by City, in its sale discretion, by providing not less than five (5) days prior written notice to Cant�•actor of City's intent ta terminate. If this Agr��ment is terminated by City, an adjustment to Caniracto�''s compensation shall be made, but (1) no amount shall be allowed for at�ticipatecf profif or unper�ormed Services, and (2) any payment due Contractor at the time of'termination may be adjusted to the �xtent of any additional costs to City occasioned by any default by Contractar. Upon �•eceipt of a ter�nination notice, Contractor si�all iax�mediately discontinue its pra�ision of the Services and, witEiin five {5) days af the date of the termination notice, deliv�r or otherwise �nalce availab[e to City, copies {in both l�ard copy and electronic form, where app[icabfe} of p�•oject related data, desi�n calculatio��s, drawings, specifications, repor�s, estimates, summaries and such ather information and materials as may have been accuinulated by Cor�tractor in perforinir�g the Services. Contractor shall be compensated on a pro-rata basis for Services completed up to the date of termi��ation. S.5 Co�ttractor shal[ maintain boaks, ledgers, invoices, aecaunts and ather records and dacuments evidencing casts and expenses re(ated to the Services for a period vf three (3) years, or for any longer period required by [aw, fi-om the date of �inal pay�nent to ContR�actor pursuant to tE�is Agreement. Except as otherwise provided for hei-ein, any amend�nent to this Agreeme�lt shal) be in writing, approved by City and sibned by City and Contractor. 8.7 This Ag►•eement shal9 be governed by and canstrued in accordance with the laws of tlle State of California. 8.8 lf one ar more af the sentences, clauses, paragraphs or sections contained in this Agreerr�ent is declared in�a]id, void or unenforceable by a court of competent jurisdiction, the same shall be deemed severabl� fro�n the remainder of this Agreement and shall not affect, impair or invalid�te the remai�ling sentences, clauses, paragraphs ar seckions co�ltained herein, unless to do so would deprive a Party of a material benefit of its bargain under t��is Agreemer�t.
