WS (D ) a�rees ro rent from Global Rental Co.,Inc., ("Global") the Equipment identified on the
Ack ��l dgement(s) execu ed, noti� or hereafter, pursuant to this Aereemcnt, subject to the ternis of this A�reement and the
Acknowledgement(s). Acknowledeements not executed by you shall nonetheless be fully bindin�on you upon your taking possession of the
Lquipment identified therein. This agreement and any related Acknowledgement(s) constitute the complete contract for the rental of
Equipment. Other contracts,tenns and conditions do not apply unless referenced in this aoreement.
l. The term of each rental shall be set forih in the corresponding Acknou�ledgement and shall continue,without al]owance for time not
in use,until the Equipment is returned to Global at a location designated by GlobaL [f;during the rental tenn,the Equipment is damaged,the
rental terni shall continue tmti]the damage is repaired,to Global's satisfaction.
2. Your obligations: .
A. Rent 1'ou must timely pay the rent set forth on the Acknou�ledgement{s), absolutely and ti��ithout any right of setoff. If
any rent is not Paid on time,you agree to pay a late fee of 1 %z%of the past due balance, for each Bi]ling Cycle, or portion thereof,
that the rent remains unpaid.
B. Damage. You u=ill be responsible for all dama;e to or loss of the Equipment that occurs durine the rental tem�. Because
Global k�ill ha��e to rcplace, in its fleet, Equipment that is lost, stolen, or dama,ed beyond repair,you agree to pay Global the Fair
Market Value of the Lquipment, set forih in the AcknoH�ledgement, at the time of loss, if tl�e Equipment is lost, stolen,or dama,ed
beyond repair. �
C. Maintenanee. You�i�ill maintain tlie Equipment,at your expense,during the rental term. T7iis includes all routine service
and preventati��e maintenance.
D. Operation. 1'ou will allow only qualified persons to operate tlte Equipment, and ��ill assurc that its operation is in
contpliance u�ith any applicable lav.�s, regulations, or standards. You assume all responsibilih� for liabilit}•, dama�e, or harm
arising from operation of the Equipment during the rental term.
E. Insurance. I'ou r��ill maintain insurance from an "A"rated insurcr for general liability, automobile]iability,and physical
damage, each with limits of at least �I,OD0,000, to insure against liabilities arising from your use of the Equipment and to insure
a;ainst damage to the Equipment. Such physical damage insurance shall include coverage Cor Fair Market Value of the Equipment.
If you obtain ihe required pl�ysical damage coverage throu,h Global, the rate for such coverage and the amount of your deductible
wil]be set forth in the Acknowled,ement. You N-ill maintain excess liability insurance in an umbre]la form with limits of at the least
53,000,000.1'ou�i�ill name Global Renta] Co.,Inc. as additional insured under General Liability,Automobile Liability,and Physica]
Damage coverage on a primary/non-contributory basis with a Wai��er of Subrogation. 1'ou ��i11 also name Global Rental as Loss
Payee as respects its ownership of the unit.You�+�ill also maintain Workers Co�npensation and Employers'Liabiliry insurance.l'our
insurance is primar��. Global's insurance, if any, is secondary to yours. You «�ill furnish Global an eaecuted Certificate of
Insurance meeting the requirements sho«�n on the attached sample Certificate of lnsurance.
F. Compliancc v��ith La«�s. 1'ou will comply with all laws and regulations;overning possession,maintenance,and operation
of the Equipment, induding, bui not limited to, DOT regulations {including marking requirement), motor vehicle laws, odometer
disclosure requirements,Ai�'SI standards, OSHA regulations,and insurance requirements. Global cooperates with all Federal, State,
and local law entorcement officials nationwide to provide the identity of customers who operate this rental Equipment. You aeree
to provide to Global, no less than monthly, a detailed mileage listing sho���ine miles driven,broken do«�n by state, i'or each
vehicle on rent from Global. �
G. Sub-rental Prohibited. You ��ill not sub-rent the�quipment, nor will you allow it to be operated by anyone otlier than
you or your employee.
3. You will indemnify and ho]d Global ham�less from any claim, loss, or expense, arising from your possession and operation oF the
Lquipmeni or from your failure to meet any oC your obligations under ihis Agreement.
4. l'ou ackno�ti�ledge that Global makes no ���arrant�� or representation, either espress or implied, �v�ith respect to thc
Equipment, its design, its condition, its merchantabilit�•, or its fitness i'or a particular purpose. Global �sill not be liable for an��
incidental or consequential damagcs arising i'rom the Equipment,��our use of the Equipment,or an��inabilit}�to use the Equipment.
5. Globa] may terminate this Agreement or any rental hereunder if you fail to pay the required rent, fail lo mcel any obligation under
dlis Agreement,�o out of business,or�o bankrupt. Global has the riglit of immediate possession of the Equipment upon any such tennination
and additionally may pursue all available remedies it might havc.
