This air�aort hangar rental agreezxzent {"Agreement"} is made and Entered into this 215` day of
Novembez 201 S ("Effective Date"} by and between the City of Redlands, a municipal coaporation
("City"), and Jeffrey Ballard {"Tenant"). City and Tenant are sometimes individually referred to
�"IeFELtl aS � ��Pally'� and, �ogether, as the "Parties."
J.. PREMZSES. Czty hez-eby rents to Tenant, and Tenant hereby rents from City, that certain hangar
clesignated as Hangar No. 15 the "Premises"), Iacat�d at the Redlands Mur�icipal Airport ("Aizport"),
and more particularly described in E�ibit "A" attached �ez'eto. This Agree�nent for rental of the
Premises zs foz- the pz-incipal putpose of the storage of Tenant's aircraft which is identified as 1968
Piper Cherokee, R�gistrafiion No. N63627 for pe�-sonal aviation use and any incidental aviation
related uses associated therewith.
Z. TERM. The term of this Agreement shall be month-to-month coznmencing on the Effective Date,
and in no event shall exceed t�iuree (3) years.
3. CONSIDERATi4N.
3.1 Monthl Rental Pa ents. Tenant shall pay fio City an or befoxe t�xe 15th day of each month
during the #ei�n of this Agreezne�t as monthly rent, wit�xout deduction, setoff or demand, the sum of
three hundred-fifty ($350). A late fee shall be levied in the amount of ten percent (l0%) of the
amount due for any amount not received by the date such xent is due. Upon providing Tenant thirty
(30) days' prioar written notice of the same, the rent may be increas�d by the City, no less than every
two {2} years, by the percentage incr�ase in the Consumer Price Index, all urban consuzxxers, Los
Angeles-Riverside-Orange Counties, during the term of this Agreement, on the anniversary date of
the Effective Date of the Agreement.
3.2 Manne�• of Pavment of Rezzt. Monihly �•ent fox any partial month shall be prorated at the rate
of 1/30th of the monthly i•ent per day. The monthly rent and any applicable late charges payable by
Tenant hereunder shall be paid by Tenant without notice, demand oz'offset at the office of the Airport
Manager at tk�e Aiarport, or at such other place as may from time to time be designated by City.
33 Taxes and Assessrrients.
3.3.1 Obligation to Pax Tenant is respansible for and shall pay all real and pexsonal property
taxes (including any tax Ievied on a possessory interest, as defined in California Revenue and
Taxation Code Section 107 or su�ccessor statu#e, if applicable), general and special assessments,
and other charges of every description, levied on or assessed against the Premises, pei•sonal
property located on the land or i�pxovements, the leasehold estate, or any subl�asehold estate,
falling due during the te�7n of this Agreement. It shall be conclusively presumed that any airc�•aft
stored at the Premises pursuant to this Agreement s�all be considered "habitually situated"
therein as that tenn is defined in Revenue and Taxation Code section 5362. Tenant shall make all
such payments directly to th� assessing authority, before delinquency and befoxe any fine,
interest or penalry shall become due or be impased by operation of law for their nonpayment.

3.3.2 Proz'ation £or �artial Year. At�.y iz�position of taxes re�erred ta in Section 3.3.1 above
relating to a fiscal period of a taxin� authority, a pai�of whieh period is included within the tern�.
of tlus Agreement and a part af which is included in a period of time befare the Effective Date or
after the termination of this Agreement, shall be paid by Tenant as above but shall be pxorated
with City.
3.3.3 Tenant's Ri�ht to Contest. Tenant may contest the legal validity or amount of any taxes,
assessments ar charges for which T�nant is responsible under this Agreement, and may instii.ute
such proceedings as Terzant considers necessazy. If Tenant contests any such tax, assessment or
charge, Tenant may r�vithhold or defer payment, or pay under protest, but sha11 protect City and
the Premises from any lien by adequate surety band or other appropriate security.
3.3.4 Proof of Compliance. Upon th�request of Cify, Tenant shall furnish to City receipts or
other appz'opriate evidence establishing payz�:�ent of a�y applicable tax, assessment or charge.
Tenant may camply with this requirernent by retaining a tax service to notify City payment of
any applicable fiax, assessment or charge.
4. USE OF PREMISES.
4.1 Use of Han�The Premises shall be used anct occupied by Tenant principally for the stoarage
of aircraft and related business or other aviation uses. There must b� at least onE airvvorthy aircraft in
each hangar. No other commercial activity o£any kind whatsoever shall be conducted by Tenant in
or around the Premises. Tenants of hangars witho�t airworthy aircraft are subject to lease
cancellation and eviction.
Tenant shall not use �he Prernises for sleeping or temporary living quarters. Tenant shall keep the
�'xemises clean and free of debris at all fimes and shall not do anything on the Premises that will
cause damage to the Pre�nises or unreasonable annoyance to own.ers o� occupaz�ts o� adjacent
properties.
Upon termination of this Agreement, Tenant shall immediately surrender possession af the Premzses
and shall remove the Aircraft and all other properiy therefram, leaving the Premises in the satne
condition as when received, ordinary wear and tear and improvements made by Tenant excepted.
Tenant shall be liable for any and all damage to the Premises caused by Tenant's use, including,
without limitation, bent or b�-oken interior walls, damage to unsealed flaors due to fuel oi1 spillage, or
doo�•s damaged due to Tenant's zmproper or negligent operation.
4.2 Compliance with Laws. In utilizing the Premises during fihe term af this Agreement, Tenanfi
shall comply with aIl applicable statutes, ordinanees, rules and regulations established by any fedexal,
state, county or Iocal government agency.
43 Waste Disposal. Tenant shall dispose of all sewage and industrial waste in accordance with
aIl applicable regulations and laws of thase governinental agencies having jurisdiction or authority
thereover. Tenant shall ensure that all salid waste materzals aare placed zn apparop�•zate covered
containers designed for use with th�type of waste involved, which shall remain cavered, and Iocked,
and that such containers remain located on the Premises and not �noved from their location for any
reason. Tenant shall cooperate with City to provide for the proper separatioz� of waste to ma�rr�ize
recycling.

4.4 Hazardous Materials.
(a) For the purpose of this Sectian 4.4, the te�-m. "Hazardous Materials" includes, without
liziaitation, any flammable explosives, radioactive materials, hazardous materials, hazaxdous
wast�s, hazardaus or toxic substances, ar related �aterials defined in the Comprehensive
Environmental Response, Compensation and Liability Act of 1980, as amended (42 U.S.C.
§9G01 et seq.}, the Hazardous Materials Transportation Act, as amended (49 U.S.C. § I80 I et
seq.), the Resource Conservation ar�d Recovery Act of I97�i, as amended (42 Z1.S.C. §9601 et
seq.), Sectian 25117 ofthe California Health & Safety Cade, Section 25316 ofthe Califo��a
Health & Safety Cade, and in the regulations adop�ed and publications promulgated pursuant
to them, or any other federal, state or local enviranmental Iavvs, ordinances, rules or
regulations concerning the environrnent, industrial hygiene or public health or safety now in
effect or enact�d after the Effective Date.
(b) (a) Any Hazardous Materials brought upon, kept ar used in oz' about the Premises or
the Airport by Tenant, its agents, eznployees, cantractors ar invitees, shall be necessaiy or
use�'ul to Tenant's business and shall be used, kept and stored in a manner that complies wit�
all laws, stalutes, ordinances, rules, regulations, orders, requiz•eznents, and policies of any and
all govez�ental agencies and authorities applicable to any such Hazardous Materials
("Hazardous Materials Laws").
(c) If Tenant breaches the obligations stated in subparagraph (b) af this Section 4.4, or if
the pz•esence of Hazardous Materials on the Premises results in contamination af the�'�remzses
or the Airport, or if Hazardous Materials are at�erwise discharged or released fram the
Premises, then Tenant shall indez�u�i.fy, defend and hold City karmless from and against any
and all claims, judgments, damages, penalties, fines, costs, Iiabilities and losses (including,
without limitation, diminution in value of the Ai.xport, damages for the loss or restriction on
use o�rentable or usabie space or of any amenity of the Airport, damages arising from any
adverse impact on marlceting of space in the Airport, and sums paid in settlement af claims,
attorneys' fees, consultant fees and expert fees) which. arise durin8 0�• after the term af this
Agreezx�ent as a result of such breach, contarnination, discharge or release. This
indernnification of City by Tenant inciudes, without liznitation, costs incuned in connection
with any investigation of site conditions or any cleanup, retnedial, remaval or restoration
work required by any federal, state or lacal governmental agency or political subdiviszon
because of Hazardaus Materials present in, on ar under the �'arezxiises. Withaut limiting the
foregoing, if the presence of any Hazaz•dous Materials on the Prernises resuIts in any
contamination of the Airport, ar otherwise results in the release or disc�.arge on, under or
from the Premises of Hazardous Materials, Tenant ahall promptly take all actions at its sole
expense as are necessary to return the Airport to the conditinn exis�ing prior to the
introduction of an� s►zch Hazardous Materials to the Airport or to othez-wise �•einove andlor
aba�e the release o�• discharged Hazardous Mate�als; provided that City's approval of such
ac#ions shall frst be obtained, vvhich approval shail nat be unreasonably withheld so lorzg as
such actions wouId not potentially have any material adverse long-tertn or short-term effect
on the Airpo�-�, will not uza.z�easonably in.terfere with the use and enjoyment of other portions
of the Aiiport, and will be performed in accordance with all Hazardaus Materials Laws.
Upon the t�rminatian of this Agreement, Tenant shall surrender the Pretnises to City free of
any az�d all Hazardous Materials and in compliance with all Hazardaus Materials Laws. This
inde�ntiification shall survive th�termination or expirafiion of this Agreement.

4_5 Biliboards and Signs. Tenant shall not construct, install, maintain, no�- allow �pon the
Premises any billboards, signs, banners or Iike displays which may be placed in ox upon any building
or structure in such manner as fio be visible fram the outside thereof, except with the prior writ�en
consent of City.
4.6 Waste: Nuisance. Tenant shall nat use the Pzexz�.ises in any manner that wiIl constitute waste,
nuisance or unreasonable azuxoyarzce to owners or occupants af adjacent properties. Tenant shaIi not
use the Premises for sle�ping, washing clothes, cooking or the preparation of food, manufacture or
mixing of anything that might e�it any odor or objectionable noises or lights onto adjacent
properties. Tenant shall not do anything on the Premises that will cause darr�age to the Premises.
4.7 Access: Locks: Ke,ys: Co�nbznations: Tenant shall cornply with all reasonable regulations and
directives of City regarding access to the Premises. City may enter the Premises without permission
of, or sugervision by, Tenant fqr inspection or emergency purposes (i.e. lire, burglary, flooding,
criminal activity, or other catastrophe) determined reasonably necessary by City or required by law,
including but noti Iimited to five-year fire sprinkler inspections, maintenance work that requires
entrance by City, or any other reason to lawfully enter the Premis�s. City shall subsequently notafy
. Tenant of any entiy for emergenc�purposes and the reasan for the entz-y if the Tenant was unable to
supervise such entry. City reserves the right to Ii�xzit Tenant's access to the Airport ar the Premises, or
both, due to any te�orzst threat, civil unrest, any unsafe condition, or for the safety and protection of
persons and property. City shall not be respansible for Tenant's inability to access the Aiiport or th�
P�'ernises due to events or acts beyond the contz'ol of City. Tenant shall utilize City furnished set of
loc�Cs £or securing the Premises if available. If unavailable, Tenant shall furnish City's Airpoi�t
Manager with a duplicate set of keys or lock combination for the locks securing the Premises. City
shall secure keys and lock coznbinations from access or exposure by unauthorized individuals and
will no#ify Tenant immediately in the event of any compromise af keys and lock combinations. If
utilizing City provid�d locks, the Tenant shall notify t�ae City immediately in the event of any
compromise of keys and lock combinations. The City shall only be Iiable to Tenant for damage
resulting from g�•oss negligence in accessing Premises.
4.8 Requests fro� Azzport Mana�er. Tenant shall coaperate with any reasonabie xequest from
City's Airport Manager regarding use or operations at the Airport.
5. MAINTENANCE, ALTERATIONS.
S.I As-Is Condition. Tenant k�ereby acknowleclges that neifher City nor anyone acting £or oz' on
behalf of City, has made any representation, warranty ar promise to Tenant concerning the physicai
aspects or condition of the Premises or impxovements, the feasibility, desirability or convertibility af
the Premises into any pa�-ticular use, the conditions of the sail, ground water, or surface waters or the
presence or absence of any toxic waste or hazardous substances or zz�aterial, and that by entering into
this Agr�ement has not relied on any representation, statement or wai�ranty of City, or anyone acting
for or on behalf of City, and that all matters concerning the Premises shall be independently verified
by Tenant, and that T�nant shall rent the Premises on Tenant's own examination thereaf, AND
THAT TENANT IS LEASING THE PREMISES IN "AS IS" PHYSICAL C4NDITION AND "AS
�S" STATE OF REPAIR. Tenant hereby r�aives and City hereby disclaizz�s aIl warranties of any or
kind of description, including, without limitation, those of fitness for pa��Cicular purpose,
tenantability, habitability and use. Tenant hereby exp�•essly waives any and all claims foz'darnages or
for rescission or cancellation of t�e Agreement because of any representations made by City or by

any agent of City. Tenant ackz�►owledges that it has had sufficient time to conduct all inspections,
reviews and studies of the Premises that Tenant may deem necessary. Teztant �ereby expz•essly
� assumes the risk �hat adverse physical conditions and the full extent thereof, may nat be revealed by
Tenant's inspections, reviews and studies af the Pr�mises.
52 Maintenance af Premises. Th�roughout the term af this Agreement, T�nant shaIl, at Tenant's
sole cost and expense, maintain the Premises in first class condition and repair, provided, however,
that City shaIl maintain the structural components of t�e hangar, including doors and door
mech�aniszns. Tenaz�t hereby waives the provisions of California Civil Code Sections 1941 and 19�2
with respect to City's obligations far tenantability of the Premises and Tenant's rzght to make repairs.
5.3 Alterations. Tenant shall not make any alterations to the Premises without City's priar wrztten
consent. Any alteratians made shall remain on and be sunendeared at the expiration or sooner
tez7mination o�the Agreant�ent, provided, however, that City may, at City's sale election, demand the
removal from the Fremises of alI fixtures and improvements or of certain�xtures or zrnproveznents or
both as specified in the notice provided for below. A dennand to take effect at the normal e�piration
of the tert�n s�all be effected by notice given at least thiriy {30} days before the expiration date. A
demand to take effect on any other termination of fihe Agreement shall be effected by notice given in
ar concu��ently with notice o� such termination or within sixty {60) days after such termination.
Tenant shall comply with the notice before th� expiration date for no��nal termination, and�within
thiriy(30) days aft�r the natice for other terminatians.
5.4 Utilities. Except far electrical services which shall be provided by City, Tezzant shall be
responsihle for the payment of aIl costs �az-utzlity services to the Premises. City shall not b�Iiable for
the failure to pro�zde electrical seivices if it is prohibited from daing so by events or actions beyond
its control.
6. PROHIBITION AGAINST ASSIGNMENT AND SUBLETING. Tenant shall no� assign ox
transfer, whe�her voluntarily, involuntarily or by operation of law, its interest in this Agreement or
any part hereo£ No suc1� assigz�znent or transfer sha11 be valid or binding. An attempted assignment
or transfer shall be grounds for City's t�rmination of this Agreement. As used in this Section 6, the
term "assignment" shail include a "more than 25% change zn ownership of Tenant." A "more tY�an
25% change in ownership of Tenant" shali mean, if Tenant is a corporation, the trans�'er ofi more than
2S% of the voting stock of T�nant, or if Tenanfi is a general partners�ip, t�.e #ransfer of the right to
share in more than 25% of the profits o£such partnership; or, if Tenant is a limited partnership a
transfer of more t�an 25% of the votin� rights of the general partner thereof to individuals or entities
which were not theretofore general partners of Tenant. In additian, the parking of aircraft not awned
or under exclusively lease by Tenant in the �'xemises shall consiitute a sublease for purpose af this
Article.
7. l NDEMNZTY.
7.I TndemnitY, Tenant shall indemnify, hold harmless and defend City, its elected officials,
officers and employees, fiom and against any and all actions, claims, damages, disabilities or
expenses including, without lixnitatian, attorneys' fees (including fees �or use of in-house counsel by
a Parry),witness cos�s and court costs that znay be asserted by any person or entity, including Tenant,
arising out of or in connection with any of the following circumstances:

7.1.1 Use of Premises. Use of the Premises or Airport in any rr�anner by Tenant, its agents,
e�ployees, invitees, subtenants, licenses and contractors, and the agents, employees, patrons,
contractors and invitees of Tenants and subtenants, including any use of the Premises or the
Airport not ailowed under this Agreement.
7.1.2 Breach by Tenant. Any breac� by Tenant of the te�-ms, covenants or conditions herein
contained.
'�.1.3 4ther Activities. Any other activities of Tenant, ifs agents, employees and subtenants
whether or not there is concurrent negligence on the part of City, but excluding liability due to
th� sole active negligence or sole willful misconduct af City. This indemnification obligation is
not limited zn any way by any limitation on the arnount or type of daanages or cornpensation
payable by or for Tenant or its agents unde�-workers' compensation acts, disabzlziy benefit acts or
other emplayee benefit acts.
8. TERMINATION AND EXPIRATION.
8.1 Tei7nination for Tenant's Default. If Tenant fails to pay rent ar any other sums to be paid by
Tenant hereunder, Tenant shall �tave thirty {30) days after written notice is given Tenant to cure fihe
default. Zf any default by Tenant shall continue uncured following notice ofi default as required by
this Agreement, City shall have the right to immediately terminate this Agreeznent in addition to all
other rights and remedies provided by law or equity to which City may resort cumulatively ar in �he
alternative.
&.2 Tenant's Duty to Surrender. At the expiration or earlier termination of the term of The
Agreement, Tenant shall surrender to City in as good condition and repair as of the Effective Date,
the possession of the Premises. If Tenant fails to su�-z'endez the Premises at the expiration or sooner
termination o�this Agreezr�ent, Tenant shall defend and indemnify City�'om a11 liability and expense
resulting from the delay or failure to surrender, including, without Iimitation, claims made by any
s�cceeding tenant or Tenant oz'resultzng fiom Tenant's failure to sun•ender.
8.3 Holdi�, If Tenant shall continue ta occupy or possess tk�e Premises after the
termination of this Agreement without the consent of City, then unless Cily and Tenant have
otherwise agreed in writing, Tenant shall be a tenant on a month-to-month basis. All the terms,
provision and condifiions of this Agreement shall app�y to tkzis month-to-month tenancy except those
terms, provisions and conditions pertaining to the term, and except that the mnnthly rent shall be
immediately adjusted upward upon th� expiration or termination of this Agreement to equal tluee
hundred percent (300%) of the manthly rent �or tk�e �'re�xi.zses zn effect under this Agreement during
the month which includes the day irnmediately prior to th� date of the expi�-ation or termination af
this Agreement. This month-to-month tenancy may be ternunated by City or Tenant upon thirty {30)
days' prior notice to t�e non-ter�inating Party. In the event Tenant fails to sun'endcr the Premises
upon such termination or expiration, Tenant shall defend, ind�mnify and hold City harmless against
all loss, liability, cost or expense resulting fi-om or arising aut of Tenant's failure to surrender thE
�'remases, including, without limitation, any amounts required to be paid to any lessee or prospective
lessee who was to have occt�pied t�e Premises after said tennination or expiratzon and any related
attorneys' fees and brokerage commissions. Notwithstancling the foregoing, no termination of this
Agreez-caent shall �release Tenant frorn any liability or obligation hereunder, whether af indemnity or
otherwise, resulting fi•orn any acts, omissions or events hap�ening prior to fihe date of tezzxzination, or
date of sunender if it be later.

9. NOTICES. Any notice required or permitted to be given under this Agreement shall be in writing.
Delivery of such written notice shall be conclusively taken and sufficiently given after deposit in the
United States Mail, addressed as follows:

Any Party inay at any time change its address for notice by giving written notice of such change to
the other Party in the manner provided in this paragraph.
10. INSURANCE. Upon the Effective Date of this Agreement, Tenant shall provide City with a
Certificate of Insurance that evidences $1 Million Dollars Combined Single Liinit coverage and
recognizes the City as an Additional Insured on the policy, specific to the aircraft stored witlun the
Premises. In the event Tenant replaces such aircraft with a replacement aircraft during the term of
this Agreement, Tenant shall provide City with a revised Certificate of Insurance for such
replacement aircraft within ten (10) days of the saine. If any endorsements or policy fortns are cited
on the Certificate of Insurance, a copy of those cited documents must be included as part of the
submission.
A new Certificate of Insurance shall be issued to the City upon either renewal or replacement of the
coverage by either the Tenant or their Broker acting as their Agent.
The City maintains the right to modify these insurance requirements as approved by City Council
throughout the duration of this agreement, by providing Tenant notice within thirty(30) days of such
change, or upon renewal of the terms of the lease.
11. SECURITY REQUIREMENTS. Lessee shall take any and all measures to ensure security on the
Lease Premises in compliance with FAA regulations, Transportation Security Administration
regulations, and Airport Rules and Regulations, if any. �
12. MISCELLANEOUS PROVISIONS.
12.1 Joint and Several Obligations. If Tenant consists of more than one person, the obligation of
all such persons is joint and several.
12.2 Captions. The captions of this Agreement are for convenience and case of reference only
and do not define, limit, augment or describe the scope, content or intent of this Agreement.
12.3 Successors. Subject to the provisions of this Agreement on assigmnent and subletting, each
and all of the covenants and conditions of this Agreement shall be binding on and shall inure to the
beneFit of the heirs, successors, executors, administrators, assigns and personal representatives of the
respective Parties.

12.4 Broker's Commissions. Expenses� Tenant and City mutually covenant that no hrokers have
been or will be used with respect ta this Agreement. �n the event any broker or find�r perfects a claim
far a commission ar finder's fee based upon any such contract, dealings or communicatians,tl�e Party
t�irough whom the broker ar f nd�r makes a successfi�l claim shall be responsible for said
commissian or fee and all casts antd any expenses (including reasonable attomeys` fees) incurred by
�he otker Pax-ty in defending against the same.
12.5 Applicable Law and Fotu�t. Tk�is Agreement sha11 be construed and interpreted according to
California law and any actian ta enforc� the fierms of this Agreerza.ent or for the breach thereoF shall
be brought and tried in the County of San Beznardzno.
12.6 Covenants and Canditions. All pravisions of thzs Agreement whether covenan�s or
conditians, on the part of Tenant shall be deerz�.ed to be both covenants and conditions and such
covenants shall survive termination.
12.7 Time af Essence. Tiz�ae is az�d shall be of the essence af this Agreement and of each and
evezy provision contained in this Agreernent.
12.8 No Discrimination. Tenant shall co�nply with all applicable federal, state and local laws,
rules and �•egulations relating to non-discrimination in e�ployment and services because af race,
colar, ancestry,national origin, religion, sex,marital stattts, age,mEdical condition and handicap.
12.9 No Third Pa Bene�ciaries. Nothing contained in this Agreement shall be construed to
create and tke parties do not intend to create any rights in third parties.
12.10 Constructian of Lease: Severabilitv. To the extent allowed by law, the terms, covenants,
conditions, provisions and Leases in this Agreement shall be construed and given effect in a manner
that avoids any violation of staYute, regulatian or law. City and Tenant covenant and ag�•ee that in the
event any term, covenant, condition, p�•ovision or Lease in this Agreement is held ta be invalid or
void by court of competent jurisdiction, the invalidity of any such te�, covenant condition,
provision or LeasE shall in no way affect any other #ezm covenant, candition provision or Lease in
this Agreement.
I2.T I Relationshi . The Parties intend by t�is Ag�•eement to establish the relationship of City and
Tenant anly, and do not intend to create a partnership,joint venture,joint enterprise, oz' azzy business
relationship other than that of City and Tenant.
12.12 Farce Majeure: Neither the City nor Tenant shall be deemed in violation of this Ag7reement
if it is prevented from perfnrming any of the obligations hereunder by reason of embargoes,
shortages of material, acts of God, acts of the public enemy, acts of superior governmental authority,
weather conditions, flaads, riots, rebellions, sabotag�, or any other circumstances for whic� it is not
