SUBJECT: COOPERATIVE AGREEMENT WITH THE CITY OF SAN BERNARDINO AND
THE CITY OF REDLANDS FOR IMPROVEMENTS TO ALABAMA STREET
AT CITY CREEK
RECOMMENDATION: Approve Cooperative Agreement No. 06-65 with the City of San Bernardino
(San Bernardino) and the City of Redlands (Redlands) in which San Bernardino and Redlands agree
to jointly fund the entire $134,000 estimated cost of roadway improvements for the opening of
Alabama Street at the City Creek crossing.
BACKGROUND INFORMATION: The City of San Bernardino and the City of Redlands desire to
cooperate and jointly participate in a project for roadway improvements to Alabama Street at the City
Creek crossing. This roadway was damaged during last winter's storm events and subsequently
closed to the public. The subject improvements will restore the roadway to the point that it is again
accessible by the public.
The County of San Bernardino (County)will assist the two cities and act as lead agency for the design
and construction of this project. In this capacity, the County will advertise, award and initially fund the
project's entire construction cost. The total cost is estimated at $134,000. San Bernardino's share of
cost will be $67,000 (50%) and Redlands' share will be $67,000 (50%). The County has no funding
obligation for this project. The County will submit requests for funding and final costs to the Federal
Highways Administration (FHWA) on behalf of the two cities and distribute funding reimbursement to
San Bernardino and Redlands based on their share of the contributions. San Bernardino and
Redlands will pay their share of the project costs to the County after bid opening and prior to award of
contract to the successful bidder.
REVIEW BY OTHERS: This item was reviewed by Deputy County Counsel Charles S. Scolastico
(387-5481) and the County Administrative Office (Tom Forster, Administrative Analyst, 387-4635)
each on January 9, 2006.
FINANCIAL IMPACT: The total estimated cost of this project is $134,000. The cities of San
Bernardino and Redlands have each agreed to finance 50% of the estimated cost of the project
($67,000 apiece), resulting in no financial impact to the County. The County will seek FHWA funding
for this project and distribute all FHWA reimbursement funds received to San Bernardino and
Redlands equally. Appropriations for this project are available in the County Road Fund's FY
2005/2006 budget(SAA-TRA-TRA).

WITNESSETH
WHEREAS, the COUNTY OF SAN BERNARDINO (hereinafter referred to as COUNTY), the
CITY OF REDLANDS (hereinafter referred to as REDLANDS), and the CITY OF SAN BERNARDINO
(hereinafter referred to as SAN BERNARDINO) desire to cooperate and jointly participate in design
and construction and Construction engineering for emergency opening roadway
improvements, at the Alabama Street crossing at City Creek (hereinafter referred to as
PROJECT) and
WHEREAS, the PROJECT will be of mutual benefit to the COUNTY, SAN BERNARDINO, and
REDLANDS, and

WHEREAS, the COUNTY has received approval from Federal Highways Administration for
the funding of the emergency Opening work and will coordinate with Federal Agencies for
reimbursement claims for the PROJECT; and

1.2 Provide plans and specifications and all necessary construction engineering for the PROJECT

1.3 Construct the PROJECT by C0Otn@ct in 8CCOnd8n0a with the plans and specifications of
C[)UNTY, which have been reviewed and approved by S/\Kj BERN/\R[}\N[] and
RE[)L/\K][]S and the Caltrans Design yWaDU3|. 10 year life, to the satisfaction of and subject
to DODCu[r8DCR Of S/\Kj BERK]/\R[}IK](l and RE[)[/\K][}S.
1.4 Arrange for FB|OCahOO Of all utilities which interfere with construction Of the PROJECT within
the unincorporated area of the PROJECT Site.
1.5 Obtain 8 DO-COSt permit from S/\Kj [}ERK]/\R[)IN(] and RE[}L/\K][lS for vvO[k within the
respective right-Of+w8yOfeach.
1.0 Adv8rtiSe, award, administer, and fund the construction of the PR{}JECT, in accordance with
the California Public Contract Code.
1.7 Require its contractors to maintain Workers' COnnpeDS8dOD Insurance Or 8 state-approved
Self-Insurance Program in an a0OUOt and form to nO8ei all applicable requirements Of the
Labor Code Of the State Of California, including Employer's Liability with $250.000 |irnitS.

1.11 Although not antiCip3ted, if right-of-way is needed, the COUNTY 9h8|\ order title reports on
such parcels. The costs shall be reimbursed by SAN BERN/\ROIN{} and/or RE[}iAN[}S
dependent upon jurisdiction.

ZO SAN BERNARDINO AGREES TO:
2.1 Pay for its initial funding proportionate share of the PROJECT costs. The PROJECT costs
Sh3|} include the COSt Of PROJECT construction design, construction engineering. and
overhead COStS. SAN BERNAR[)|N(}'5 iOib3| funding proportionate share is 50% of the total
PROJECT costs, which is estimated at $67.000.
2.2 Pay to COUNTY. after bid opening and prior to award of contract to SVCCeSSfU| biddo[, its
proportionate share (S67.000) Of PROJECT COSt. and any COSt increases pursuant LO Section
4.6 b8|ovv, within thirty (30) days after receipt Of e final itemized St8t8rD8nt as Set forth in
Section 1.10 Of this Ag[8enn8Dt setting forth all 8CtUa| PROJECT COStS incurred by COUNTY
to date and which have not already been paid by S/\K] BERK]/\R[)IN[] and RE[}L/\Kj[)S.

2.4 Although not anticipated, but Sh0U|d COUNTY be unable to acquire the necessary right-of-way

COUNTY, shall consider using the power of Eminent Domain to acquire any DGCeSS8ry rights-
of-way at a public hearing noticed and conducted in accordance with California Code of Civil
P[0c8dUn8, Section 1245.235 for the purpose Of considering the adoption Of @ [8OO|VUOD Of
necessity. If SAN BERNAR[)|N{} G|8CtS to proceed with using its power of EoOiD8Ot UO08iO, it
shall do so in a dDle|y manner and at no cost to the COUNTY. The parties acknowledge and
understand that this AgF88rDBOt does not obligate SAN E8ERNARO|N[} in any way to use the
p0VVe[ Of Eminent [>OnlaiD to acquire any rights-of-way within SAN BERNARD|N(J. SAN
BERNARD|N[)'s use Of the power Of EnOin8Oi []OnlGiD is conditioned by |aVv UpOD certain
findings and determinations that SAN BEFlNARO|N{}, in its S0|B discretion, must make in

as provided herein, all PROJECT costs required to be paid by the parties prior tOthe effective

improvements associated with the PROJECT.
3.0 REDLANDS AGREES TO:
3.1 Pay for its initial funding proportionate share of the PROJECT CO6tS. The PROJECT o]at8
shall include the cost Of PROJECT construction design, construction Hngineering, and
overhead costs. F<E[}LAN[}S' initial funding proportionate 8h3n8 is 50% of the total PROJECT

together with adequate documentation of said expenditures..
3.3 Provide 8 DO-COSt p8[nnh to the COUNTY for its work in RE[}LANOS' right-of-way.
3.4 Although not anticipated, but should COUNTY be Un3b|8 to acquire the n8c8S3o[y right-of-way
located within the limits OfREDLANDS. then REOLANDS. in consultation with COUNTY, 5h8||
consider using the pOvv8r Of Eminent Domain to 8CqUinS any necessary rights-of-way 81 a
public hearing noticed and conducted in accordance with California Code of Civil P[Ucedur3,
Section 1245.235 for the purpose Of considering the adoption Of a resolution Of necessity. If
REC>LAND3 elects to proceed with using its power Of Eminent Domain, it Sh@|| do 5O in 8
timely nn8ODer and at no COs1 to the COUNTY. The parties 8CkDovv|edg0 and understand that
this Agreement dO8G not obligate HEOL4NDS in any way to use the pOvve[ of Eminent
DOnl8iO to acquire any rights-of-way within FlEDLAND8. REDLAND3 use of the pOvv8r of
Eminent Domain is conditioned by |8vv upon certain findings and determinations that
REOLAN[J8, in its 3O|e diSCretiOD, must make in 8cCOrd8nC8 with the California Code Of Civil
Procedure. REDL4NOS makes DO warranty or gV3n3nt88 Of the eVeOtU8| result or VutCO08 of
its discretionary consideration of the USS Of Eminent OOnl8iD to acquire any rights-of-way
within REDLANOS Orofany actual Eminent Domain proceeding. In the event that COUNTY is
unable to acquire the necessary right-of-way located within the limits Of REOLANO8 and
F|EDLANDS is unable Or UOvvi||ing to use Eminent Domain to acquire right-of-way, this
Agreement ShG|| be deemed to be terminated by nlutU8| consent. In the event Of termination
as provided herein, all PROJECT costs required to be paid by the parties prior tOthe 8ff8[tiVS
date of termination shall be paid by the parties in the proportion provided herein.
3.5 After acceptance of the DODStFuC1iOn COntr8C1 work by COUNTY, S/\K] []ERKjAR[]IN[}. and
RE[)[/\Kj[lS shall be responsible for the cost Of maintenance of the completed road
improvements 8SSOCi8t8d with the PROJECT.
4.0 IT IS MUTUALLY AGREED:
4.1 COUNTY agrees to indemnify and hold hann|eum SAN BERN/\R[]IN[] and RE[lL/\N[]S.
their officers, employees, agents, and volunteers from any and all liabilities for injury to
persons and damage to property arising out of any act or ODliSSiqn of COUNTY, its officers,
employees, agents or volunteers in CoODeCtiOO with COUNTY'S performance Of its obligations
UOd8[this Agreement.
4.2 S/\Kj BERN/\R[]]N[] agrees to indemnify and hold harmless the COUNTY and
RE[)L/\K]DS, their offiC8[G. enlp|Oye8S. 8g8DtS. and volunteers from any and all liabilities for
injury to persons and damage to property arising out Of any act Or omission Of S/\Kj
BERK//\R[)IK/(], its ofDCers, employees, agents Or volunteers in connection with SAN
AERK]/\R[lIK](l'S performance of its obligations under this Agreement.
43 RE[)L/\K/[)S agrees to indemnify and hold harmless the COUNTY and S/\K]
BEFJK]/\FJ[)IN(]. their officers, erDp|Oy9e9. agents, and volunteers from any and all liabilities
for injury to persons and damage to property arising Out Of any act OF omission Of

REDLANDS its officers, employees, agents or volunteers in connection with REDLANDS'
performance Ofits obligations underUhiSAoreenxenU.
4.4 In the event the COUNTY and/or SAN BERMAR[)|N{) and/O[ REDLANDS is found to be
COrnpar8tiws|y 31fault for any c|a/nn. action, loss ordamage which naSU|tG from their respective
Oh||Q8tionS under the Agreement, the COUNTY and/or SAN BERNARD|N{) and/or
REDLANDS ah3|| indemnify the other parties to the extent of its comparative fault.
Furthermore. if the COUNTY, SAN BERNARD|N[) or REDLANDS attempts to Seek recovery
from the other parties for Workers' Compensation benefits paid to an employee, the COUNTY.
SAN BERNARDINO and REDLANDS agree that any alleged negligence of the employee shall
not bGconstrued against the employer Ofthat employee.
4.5 C(}UNTY, SAN BEFlNARD|NDand REDLANDS are self-insured public entities for purposes
of P[Of9SGiOOa| Liability, GBOB[@| Liability, and VVO[he[S' CoOlpenSatiOn, C(]UNTY, SAN
BERNARD|N{} and REDLANDS warrant that through their p[0g[3DlS of self-insurance, they
have adequate Professional Liab|||h/. General Liability and Workers' Compensation to provide
COV8[8ge for liabilities arising out Of C{}UNTY, SAN BERNARD|N(l and REDLANDS
performance Ofthis Agreement.
4,6 The parties acknowledge that final PROJECT COStS may ultimately exceed CU[naDt estimates
of PROJECT COStS. Any additional PROJECT Costa resulting from increased bid prices or
change orders (but not from unforeseen conditions or requested additional work by a party
which are 8ddn8SSSd in G8C1ioO 4.7 b8|0vv) over the estimated total PROJECT costs of
$134.000 (which is the sum Of 807.000 from SAN BERNARDiNO. and 867.000 from
REDLANDS) shall be borne 50% by SAN BERNARD|NO. and 50% by REDLANDS as part of
the parties' respective obligations topay for PROJECT costs.
4.7 AddidOn8| vvOrk/COStS arising from uDk}r8SHen site conditions (e.g. ro|OC81ing a Utility that the
COUNTY. SAN BERNARD|NO and REDLANDS were not 8vv8re O0 will be paid by SAN
BERNARD|N{} and REDLANDS in proportion to where the work 8Ciu8||y lies. If SAN
RERNARD|N[) and REDLANDS requests additional work that is beyond the scope of the
original PROJECT, said work will be paid SD|e|y by the agency requesting the work at the
construction contract unit costs.
4.8 In the event that change orders are required during the C0UrS8 of the PR{}JECT, said Change
orders must be in h}rrn and substance as set forth in attached Exhibit "B^ of this Agreement
and approved by COUNTY. SAN BERNARD|NO and REDLANDS. Contract Change Order
fOrrnS will be delivered byfax and [OUSi be returned vvi1h|O two working days.
4.8 This Agreement may be cancelled upon thirty (80) days written OOUCe of any party, provided
hOvvSver, that no party may c8OC8| this Agreement after COUNTY lets a contract to construct
the PROJECT. In the event of cancellation as provided herein, all PROJECT costs required
to be paid by the parties prior to the effective date of cancellation Sh3|\ be paid by the parties
in the proportion provided herein.
4.10 Except with respect to the parties' operation, maintenance and indemnification obligations
CODt3iD8d herein, this AOnReDl8Dt shall terminate upon CODlp|81iOD of the PROJECT and
payment of final billing by SAN BERNAR[)|N{} and REDLANDS for their Sh8r8S Of the
PROJECT.
4.11 This Agreement CoOt8iOS the eOUn8 agreement Vfthe parties with respect to subject rO3tt8[
hereof, and supersedes all prior negotiations, understandings or agreements, This Agreement
may only be modified in writing signed by all parties.
4.12 This Aon88nneOt Sh8|| be governed by the |8\Ns of the State Of California, Any action or
proceeding between C{}UyJT\r. SAN BERNARD|NQ and REDLANDS concerning the
interpretation or enforcement of this Aornernent, or which 8[isoS Out Of Or is in any way
connected with this Agreement O[ the PRDJECT, shall he instituted and prosecuted in the
appropriate state court in the County OfSan BennardinO, California.
413 Time iSOfthe essence for each and every provision Dfthis Agreement.
4,14 Since the parties Or their agents have participated fully in the preparation Of this Agreement,
the language of this Agreement shall be construed Sirnpiy, according to its fair nne@O|ng. and
not 3ki[1|y for any or against any party. Any term referencing tinl8. days Or period for
performance shall be deemed work days. The captions of the various articles and paragraphs

are for convenience and ease or reference only, and do not define, limit, augment, or describe
the scope, content, or intent of this Agreement.
4.15 No supplement, modification, or amendment of this Agreement shall be binding unless
executed in writing and signed by all parties.
4.16 No waiver of any default shall constitute a waiver of any other default or brief, whether of the
same or other covenant or condition. No waiver, benefit, privilege, or service voluntarily given
or performed by a party shall give the other parties any contractual rights by custom, estoppel,
or otherwise.
4.17 If a court of competent jurisdiction declares any portion of this Agreement invalid, illegal, or
otherwise unenforceable, the remaining provisions shall continue in full force and effect,
unless the purpose of this agreement is frustrated.
4.18 This Agreement may be signed in counterparts, each of which shall constitute an original.
