Investigate hydraulic capacity and perform visual in- spection of existing culvert through Central Business District. It is not anticipated that any special equipment would be used in this inspection. 3. Perform necessary hydrological studies using San Bernardino County Synthetic Unit Hydrograph Method. 4. Investigate various alignment alternatives for safely conveying Reservoir Canyon flows through or around the Central Business District and study effects on down- stream development and channel. Alternatives to be investigated include a flood peak shaving detention basin. 5. Determine design and construction cost estimate for the various alignments studied under #4 above. Also investigate non-cost issues such as environmental con- cerns. 6. Coordinate with Corps of Engineers to analyze inter- relationship between the Zanja channelization study and this project. 7. Prepare concept report and recommend alignment concept to be designed. Attend study session with various City departments to discuss report and recommendation. 8. Design improvements necessary to convey Reservoir Canyon flows safely through or around the Central Business District. 9. Prepare plans , specifications and final cost estimate for bidding purposes , answer questions during the bid process, analyze bids and make recommendation of award to the City. 10. Coordination and ongoing meetings with City Staff for input and review, and to keep them informed of Project status. 11. Attend City Council meetings to report on project status and to make presentation of concept report. SCOPE OF SERVICES PHASE II - The Zanja At the present time, it is anticipated that the Corps of Engineers will be analyzing the Zanja. If the Corps deter- mines that it will not do the Zanja, we are prepared to incorporate the following work in our scope of services. 1. Perform necessary hydrological studies of the Zanja drainage area using San Bernardino County Synthetic Unit Hydrograph Method. 2. Investigate various alignment alternatives for safely conveying the Zanja flows through or around the Central Business District and study effects on downstream de- velopment and channel. 3. Determine design and construction cost estimates for the various alignments studied under item #2 above. Also consider non-cost issues such as environmental concerns. 4. Prepare report and recommend alignment concept to be designed. Attend study session with various City de- partments to discuss report and recommendation. 5. Design improvements necessary to convey flows from the Zanja safely through or around the Central Business District. 6. Prepare plans , specifications and final cost estimate for bidding purposes , answer questions during bid process, analyze bids, and make recommendation of award to city. 7. Coordination and ongoing meetings with City Staff for input and review, and to keep them informed of project status. 8. Attend City Council meetings to report on project status and to make presentation of concept report. EXHIBIT A AGREEMENT FOR PROFESSIONAL SERVICES ASL CONSULTING ENGINEERS/CITY OF REDLANDS DESCRIPTION OF SERVICES The services described herein are for the City of Redlands- Reservoir Canyon Drainage Study. The Consultant shall perform the following tasks as part of the study: PHASE I - Reservoir Canyon 1. Investigate possibility of funding project with Public Works Title I money. ., Investigate hydraulic capacity and perforin visual in- spection of existing culvert through Cenral Business District. It is not anticipated that any special equipment would be used in this inspection. 3. Perform necessary hydrological studies using San Bernardino County Synthetic Unit Hydograph Method. 4. Investigate various alignment alternatives for safely conveying Reservoir Canyon flows through or around the Central Business District and study effects on down- stream development and channel. Also investigate non-cost issues such as environmental con- cern . 6. Coordinate with Carps of' Engineers to analyze inter- relationship between the Zama channeliation study and this project. 7. Prepare concept report and recd end alignment concept to be designed. Attend study session with various City departments to discuss report and recommendation. . Design improvements necessary to convey Reservoir Canyon flows safely through or around the Central Business District. . Prepare plans, specifications and final: cost estimate for bidding purposes , answer questions during bid process, analyze bids and make recommendation of award to City. 14. Coordination and ongoing meetings with City Staff for input and review, and to keep them informed of project status. 11 . Attend City Council meetings to report on project status and to make presentation of concept report. The following services are associated with Phase II work and are not included within the scope of this Contract. They are included for reference only. PHASE II - The Zanja 1. Investigate various alignment alternatives for safely conveying the Zanja flows through or around the Central Business District and study effects on downstream de- velopment and channel. 3. RESERVOIR CANYON DRAINAGE STUDY & DESIGN CITY OF REDLANDS AGREEMENT FOR PROFESSIONAL SERVICES THIS AGREEMENT, is made and entered into this 7th day of June , 1983, by and between the City of Redlands, a municipal corporation, hereinafter referred to as "CITY" , and ASL Consulting Engineers , hereinafter referred to as "CONSULTANT" . CITY and CONSULTANT, for the consideration stated herein, agree as follows: 1. STATEMENT OF AGPXEMENT. CITY hereby engages CONSULTANT, and CONSULTANT hereby accepts such engagement, to perform the services herein described for the compensation herein provided. CONSULTANT hereby warrants that it has the qualifications, experience and facilities to properly perform said services in a manner consistant with accepted professional standards, and hereby agrees to undertake and complete the performance thereof for the compensation herein provided. This is an agreement for professional engineering services and it does not render CONSULTANT an employee of the CITY for any purposes whatsoever and CONSULTANT shall at all times retain the status of independent contractor. 2. DESCRIPTION OF SERVICES. The services to be performed by CONSULTANT are described in Exhibit "A" attached to this Agreement. The work is generally described in two (2) phases. Phase II work is not included with- in the scope of this contract and is enclosed for reference only. 3. COMPENSATION. The total compensation Payable to CONSULTANT by CITY for the services described in Exhibit A (Phase I, parts 1 through 11) herein shall be based upon invoices for actual ex- penditures in accordance with unit rates set forth in the Hourly Charge Rate and Expense Reimbursement Schedule shown in Exhibit B. Payment to be made on a monthly basis using item- ized invoices unless otherwise stated. 4. PROGRESS AND COMPLETION. CONSULTANT shall commence work on the services to be performed upon written authorization of the notice to proceed. All services shall be completed within one hundred twenty (120) calendar days following notice to Proceed. It is recognized by both parties to this contract that some work may necessar- ily be delayed due to input required by the U.S. Army Corps of Engineers which is not a party to this Contract. CONSULTANT shall notify CITY in writing within seven (7) calendar days of the beginning of such delay and request an extension of time. 5. OWNERSHIP OF DOCUMENTS. All drawings , designs , data and other documentation prepared by CONSULTANT in the performance of the services here- in shall become the property of CITY upon completion of the consulting services pursuant to this Agreement and upon payment in full of all compensation then due CONSULTANT. 6. NO ASSIGNMENT. This Agreement is for professional services and is not assignable by CONSULTANT without CITY's prior consent in writing. 7. RELATIONSHIP OF THE PARTIES Both parties to this Agreement agree that the relationship of the parties shall be that CONSULTANT is an independent contractor to the CITY, and that in no event shall CONSULTANT be considered an officer, agent, servant or employee of CITY. 8. ATTORNEY FEES. In the event an action is filed by either party to enforce rights under this Agreement, the prevailing party shall be entitled to recover a reasonable attorney' s fee in addition to any Other relief granted by the court. 9. TERMINATION BY CITY. Notwithstanding any other provision of this Agreement, CITY, by notifying CONSULTANT in writing, may terminate any or all of the services agreed to be performed under this Agreement. In the event of such termination, CONSULTANT shall have the right and obligation to immediately assemble work in progress for the winding up of the job. All charges outstanding at the time of termination shall be payable by CITY to CONSULTANT within. thirty-five (35) days following submission; of final statement by CONSULTANT. 10. ACCEPTANCE OF FINAL PAYMENT CONSTITUTES RELEASE. The acceptance by CONSULTANT of the final payment made according to the terms of this Agreement shall operate as and be a release to CITY, and every employee and agent thereof, from all claims and liabilities to CONSULTANT for anything done or furnished for or relating to the work or services, or for any act or neglect of CITY and others relating to or arising out of the work and this Agreement. Provided, however, that no pay- ment final or otherwise, shall operate to release CONSULTANT from any continuing obligations or warranties pursuant to this Agreement. 11. NOTICES. Any notice required to be given hereunder shall be deemed to have been given by depositing said notice in the United States mail, postage prepaid, and addressed as follows: TO CITY: City of Redlands 30 Cajon Street Redlands, CA 92373 TO CONSULTANT: ASL Consulting Engineers 3280 E.
