City and Consultant are sometimes individually referred to herein as a `Party"and, together, as the "Parties."' In consideration of the mutual prornises contained herein, City follows: and Consultant agree as ARTICLE I - ENGAGEMENT OF CONSULTANT 1.1 City hereby engages Consultant to assist City in connection with City's review of Aladdin Entertainment Group's proposed "operations manual" for the Pharaoh's Lost Kingdom Theme Park (application for Conditional Use Permit No. 963) and provide input to City staff regarding the development of conditions of approval for the proposed theme park (the "Services"). The specific Services which Consultant shall perform are more particularly described in Exhibit "A," entitled "Scope of Services," which is attached hereto and incorporated herein by this reference. 1.2 The Services shall be performed by Consultant in a professional manner, and Consultant represents that it has the skill and the professional expertise necessary to provide the Services to City at a level of competency presently maintained by oer professional consultants in the industry providing like and similar types of servicepacticing s. 1.3 Consultant shall comply with all applicable Federal, State and local laws and regulations in the performance of its obligations under this Agreement including, but not limited to, the Americans with Disabilities Act and the Fair Employment and Housing Act. ARTICLE 2 - RESPONSIBILITIES OF CLf-y 2.1 City shall make available to Consultant information in its possession that may assist Consultant in performing the Services. ARTICLE 3 - PAYMENT-AND NOTICE 3.1 The total compensation for C'onsultant's performance of` the. Services shall be Ten Thousand Dollars ($10,000). Specifically, Management Resources will provide the tbIlowing: • Review and assess the operational characteristics and provide recomill endations regarding modifications/additions to these characteristics, including: o Description of uses c Hours of"Operations o Parking procedures for daily operations and temporary special events a Alcoholic beverage policy • Occupancy limits for various areas within park • Public safety issues Lifeguard stations o Noise c Traffic * Recycling plan for daily operations and special events • Provide input to appropriate City staff regarding the conditions of approval and associated condition at use permit.
