HomeMy WebLinkAboutContracts & Agreements_7-1989_CCv0001.pdf AMENDMENT NO. 2 TO THE AGREEMENT TO FURNISH ENGINEERING SERVICES FOR CORRIDOR WASTEWATER PUMPING STATION AND FORCEMAIN This Amendment authorizes the Engineer to provide bidding and construction engineering services in accordance with the Agreement dated April 19, 1988 and this Amendment. This Amendment makes the following changes to the Agreement; all other provisions of the Agreement remain in effect. ARTICLE 1 - ENGA!GKMBNT_OE THE ENGINEER No Changes ARTICLE 2 - SERVICES-OF--THE_ENGINEER Add Articles 2 .3 and 2.4 as follows: 2.3 The Scope of Work for bidding and construction engineering services shall include that work defined in Attachment A of this Amendment . 2.4 The Duties, Responsibilities and Limitations of Authority of the Resident Project Representa- tive are defined in Attachment B of this Amend meat . ARTICLE 3 - ONS BILITIla OF THK OWNER No Changes ARTICLE 4 - PERIOD OF SERVICE Add Article 4 .3 as follows: 4.3 The period of service shall be the bidding and construction period as defined in the contract documents and any change orders executed therein . ARTICLE 5 PAYMENT TO THE Add Articles 5 .5, 5 .6 , 5 .7, 5 .8 and 5 .9 , as follows: 5 .5 The compensation for the bidding and construc- tion engineering services in Attachment A and B shall be on a time and materials basis in accordance with the Engineer's fees for pro- fessional services, Attachment C. 5 .6 Travel time and per them shall not be charge- able expenses . 5 .7 Resident representative mileage to and from the site shall not be a chargeable expense. 5 .8 The total compensation to perform the Scope of Work authorized by this Amendment shall not exceed $139,037 without the owner's p--or written approval. The bidding and construction engineering cost estimate is shown on Attach- ment D of the Amendment. 5 .9 The post office box of the owners shall be changed to: P. 0. Cost Estimate ATTACHMENT A SCOPE OF WORK BIDDING AND CONSTRUCTION ENGINEERING SERVICES FOR THE CORRIDOR WASTEWATER PUMPING STATION AND FORCEMAIN 1 . BIDDING PHASE SERVICES 1 .1 Respond to questions raised by Bidders during the bidding period . 1 .2 Prepare Addenda, as required, during the bidding period to clarify or modify construction docu- ments . 1 .3 Attend prebid meeting and respond to questions at meeting and consider incorporating responses to questions in an Addenda. 1.4 Attend bid opening and assist owner in evaluating bids and recommending Contract Award. 1.5 Prepare or assist the Owner in preparing a bid tabulation. 2 . CONSTRUCTION PHASE 2.1 Provide project management of the Engineer' s services including project control. 2.2 Provide Contract Administrative Services including: a. Prepare for and attend preconstruction meeting and provide written documentation of meeting. b. Prepare for and attend meetings with owner as required to discuss and coordinate the pro- ject. C . Review contractor submittals. d . Review and recommend approval to Owner of partial payment requests . e . Prepare for and attend Conferences with Contractor and Owner' s staff. Attachment A Page 2 f. Review extra work and change order requests and recommend approval or denial to the Owner . g . Prepare written monthly reports documenting the Contractor' s progress . 2.3 Provide construction staking for the pump station and forcemain. Coordinate construction staking requirements with the Contractor. 2.4 Provide material testing services required for the pump station and forcemain. 2.5 Provide full-time on-site inspection and con- struction observation services of a qualified resident project representative. The detail duties, responsibilities and limitations of authority of the resident project representative are detailed on Attachment B of the Amendment. ATTACHMENT B A LISTING OF THE DUTIES. RESPONSIBILITIES AND LIMITATION'S OF AUTHORITY OF THE RESIDENT PROJECT REPRESENTATIVE. This is an Exhibit attached to, made a part of and incorporated by reference with the Agreement made on Pel� .7 19 8c) , between City of Redlands and Boyle Engineering- Corp. (OWNER) and (ENGINEER) providing for professional engineering services. ENGINEER shall furnish a Resident Project Representative (RPR), assistants and other field staff to assist ENGINEER in observing performance of the work of Contractor. Through more extensive on-site observations of the work in progress and field checks of materials and equipment by the RPR and assistants. ENGINEER shall endeavor to provide further protection for OWNER against defects and deficiencies in the work of CONTRACTOR. but. the furnishing of such services will not make ENGINEER responsible for orgive ENGINEER control over construction means.methods,techniques,sequences or procedures or for safety precautions or programs. or responsibility for CONTRACTOR's failure to perform the Work in accordance with the Contract Documents and in particular the specific limitations set forth in paragraph 1.6 of the Agreement are applicable. The duties and responsibilities of the RPR are limited to those of ENGINEER in ENGINEER's agreement with the OWNER and in the construction Contract Documents. and are further limited and described as follows: A. General RPR is ENGINEER's agent at the site, will act as directed by and under the supervision of ENGINEER, and will confer with ENGINEER regarding RPR's actions. RPR's dealings in matters pertaining to the on-site work shall in general be with ENGINEER and CONTRACTOR keeping OWNER advised as necessary. RPR's dealings with subcontractors shall only be through or with the full knowledge and approval of CONTRACTOR. RPR shall generally communicate with OWNER with the knowledge of and under the direction of ENGINEER. B. Duties and Responsibilities of RPR I. Schedules: Review the progress schedule.-schedule of Shop Drawing submittals and schedule of values prepared by CONTRACTOR and consult with ENGINEER concerning acceptability. 2. Conferences and Meetings: Attend meetings with CONTRACTOR, such as preconstruction conferences, progress meetings,job conferences and other project-related meetings, and prepare and circulate copies of minutes thereof. 3. Liaison: a. Serve as ENGINEER's liaison with CONTRACTOR. working principally through CONTRACTOR's superintendent and assist in understanding the intent ofthe Contract Documents-.and assist ENGINEER in serving as OWNER's liaison with CONTRACTOR when CONTRACTOR's operations affect OWN- ER's on-site operations. b. Assist in obtaining from OWNER additional details or information,when required for proper execution of the Work. 4. Shop Drairings and Samples: a. Record date of receipt of Shop Drawings and samples. b. Receive samples which are furnished at the site by CONTRACTOR, and notify ENGINEER of avail- ability of samples for examination. c. Advise ENGINEER and CONTRACTOR of the commencement of any Work requiring a Shop Drawing or sample If the submittal has not been approved by ENGINEER. 5. Review t)t'Wi)rk. Rejection of'Defective Work. Inspections and Tests: a. Conduct on­�ite observations of the Work in progress to assist ENGINEER in determining if the Work is in general proceeding in accordance with the Contract Documents. b. Report to ENGINEER uhenever RPR believes that any Work is unsatisfactorv, faulty or defective or does not conform to the Contract Documents, or has been damaged. or does not meet the requirements of any inspection. or test required to be made: and advise ENGINEER of Work that RPR believes should be corrected or rejected or should be uncovered for observation. or requires special testing. inspection or approval. c. Verify that tests.equipment and systems startups and operating and maintenance training are conducted in the presence of appropriate personnel. and that CONTRACTOR maintains adequate records thereof: and observe. record and report to ENGINEER appropriate details relative to the test procedures and startups. d. Accompany visiting inspectors representing public or other agencies having jurisdiction over the Project, record the results of these inspections and report to ENGINEER. 6. Interpretation of Contract Documents: Report to ENGINEER when clarifications and interpretations of the Contract Documents are needed and transmit to CONTRACTOR clarifications and interpretations as issued by ENGINEER. 7. Xfodificarions: Consider and evaluate CONTRACTOR's suggestions for modifications in Drawings or Specifications and report with RPR's recommendations to ENGINEER. Transmit to CONTRACTOR decisions as issued by ENGINEER. 8. Records: a. Maintain at the job site orderly files for correspondence. reports of job conferences. Shop Drawings and samples. reproductions of original Contract Documents including all Work Directive Changes. Addenda. Chance Orders. Field Orders, additional Drawings issued subsequent to the execution of Contract.ENGINEER's clarifications and interpretations of the Contract Documents.progress reports. and other Project related documents. b. Keep a diary or log book. recording CONTRACTOR hours on the job site. weather conditions. data relative to questions of Work Directive Changes. Change Orders or changed conditions. list of job site visitors.daily activities. decisions. observations in general. and specific observations in more detail as in the case of observing test procedures. and send copies to ENGINEER. c. Record names. addresses and telephone numbers of all CONTRACTORS. subcontractors and major suppliers of materials and equipment. 9. Reports: a. Furnish ENGINEER periodic reports as required of progress of the Work and of CONTRACTOR's compliance with the progress schedule and schedule of Shop Drawing and sample submittals. b. Consult with ENGINEER in advance of scheduled major tests, inspections or start of important phases of the Work. c. Draft proposed Change Orders and Work Directive Changes. obtaining, backup material from CON- TRACTOR and recommend to ENGINEER Change Orders.Work Directive Changes.and Field Orders. d. Report immediately to ENGINEER and OWNER upon the occurrence of any accident. 10. Payment Requests:Review applications for payment with CONTRACTOR for compliance with the estab- lished procedure for their submission and forward with recommendations to ENGINEER. noting partic- ularly the relationship of the payment requested to the schedule of values. Work completed and materials and equipment delivered at the site but not incorporated in the Work. it. Certificates..1faintenance and Operation .Manuals:During the course of the Work. verify that certificates. maintenance and operation manuals and other data required to be assembled and furnished by CON- TRACTOR are applicable to the items actually installed and in accordance with the Contract Documents. and have this material delivered to ENGINEER for review and forwarding to OWNER prior to final payment for the Work. 12. Completion: a. Before ENGINEER issues a Certificate of Substantial Completion. submit to CONTRACTOR a list of observed items requiring completion or correction, b. Conduct final inspection in the company of ENGINEER. OWNER. and CONTRACTOR and prepare a rinal list of items to be completed or corrected. c. Observe that all Items on final list have I-eei completed or corrected and make recommendatiom, to ENGINEER concernine acceptance. C. Limitations of Authority Resident Project Representative: I. Shall not authorize any deviation from the Contract Documents or substitution of materials or equipment. unless authorized by ENGINEER. 2. Shall not exceed limitations of ENGINEER's authority as set forth in the Agreement or the Contract Documents, 3. Shall not undertake any of the responsibilities of CONTRACTOR, subcontractors or CONTRACTOR's superintendent. 4. Shall not advise on, issue directions relative to or assume control over any aspect of the means, methods, techniques, sequences or procedures of construction unless such advice or directions are specifically required by the Contract Documents. 5. Shall not advise on. issue directions regarding or assume control over safety precautions and programs in connection with the Work. 6. Shall not accept Shop Drawing or sample submittals from anyone other than CONTRACTOR. 7. Shall not authorize OWNER to occupy the Project in whole or in part. 8. Shall not participate in specialized field or laboratory tests or inspections conducted by others except as specifically authorized by ENGINEER. Certain assumptions have been made in preparing the Scope of Work. To the extent possible they are stated therein, and are reflected in the Task Cost Report. If the actual total effort required is different from the assumptions presented, the City agrees to revise the Scope and Budget accordingly. C-1 ATTACHMENT "C" BOYLE ENGINEERING CORPORATION STANDARD RATES FOR COMPUTER SERVICES EFFECTIVE MAY 16, 1988 Intergraph Computer-Aided Design and Drafting (CADD) System Our Intergraph CADD system utilizes a Digital Equipment Corporation VAX 11/751 computer with 4 megabytes of main memory, 919 megabytes of disk memory, floating point accelerator, cache memory, magnetic tape, and a high- speed pen plotter. Graphics workstations have dual 19-inch high-resolution screens, digitizer table, and menu tablet. Unit charges for equipment are as follows: Graphic Workstation $17.00 per hour Pen Plotter $17.00 per hour Terminal (CRT or Printer) $ 4.00 per hour Central Processing Unit $ 3.00 per minute Microcomputers and AutoCADD Systems Microcomputers include the IBM PC/XT, IBM PC/AT, AST Premium 286, and other similar equipment. Charges are based on an hourly rate for the computer and standard software plus a resource charge for special applications software, and special equipment such as plotters and high-resolution monitors. Rev 5-16-88 C-2 ATTACHMENT "C" BOYLE ENGINEERING CORPORATION FEES FOR PROFESSIONAL SERVICES OCTOBER, 1988 For the services of engineers and any other salaried personnel employed by Engineer, the compensation to the Engineer for such personnel shall be the monthly wage cost which is paid by Engineer to said personnel divided by 173 . 3 hours times the number of hours worked on this project times a multiplier for the applicable personnel classifications. For the services of drafters, inspectors, stenographers, clerks and any other hourly personnel employed by Engineer, the compensation to the Engineer for such personnel shall be the direct wage cost which is paid by Engineer to said personnel times a multiplier for the applicable personnel classifications. Boyle Engineering Corporation will furnish monthly billings for all services rendered and supplies furnished in accordance with the above compensation provisions. Payments shall be due and payable to Boyle Engineering Corporation upon presentation. A late payment finance charge will be computed at the periodic rate of 1.5 percent per month and will be applied to any unpaid balance commencing thirty (30) days after the date of the original invoice.
