This Third Amendment to Agreement to furnish Consulting Services for Professional
Auditing Services ("Third Amendment") is entered into on this 11th day of May, 2009 ("Effective
Date"), by and between the City of Redlands ("City"), and Mayer Hoffman McCann, P.C.
("Consultant"), with regard to the following:
RECITALS
WHEREAS, on or about the 17th of May, 2005, City entered into an Agreement for
Professional Auditing Services ("Original Contract") with Mayer Hoffman McCann P.C. for
independent audit services to City; and
WHEREAS, the Original Contract was amended on May 2, 2006 and April 1, 2008; and
WHEREAS, in consideration for a 4% fee reduction for 2009, City desires to exercise the
option for Consultant to perform audit services for fiscal year ended June 30, 2010;
NOW, THEREFORE, in consideration of the mutual promises contained herein, the
parties agree as follows:

SECTION 1. AMENDMENT RELATING TO COMPENSATION

SECTION 2. FULL FORCE AND EFFECT
Except as expressly modified herein, all other terms and conditions of the Original
Agreement, as amended, shall be and remain in full force and effect.
