PROFESSIONAL ENGINEERING SERVICES
NITROGEN REMOVAL PLANNING AND PERMIT COMPLIANCE
This Agreement is made and entered into this 6th day of April, 1999 by and between the City of
Redlands, a municipal corporation (hereinafter "City") and Carollo Engineers, a Professional
Corporation, (hereinafter "Engineer").
In consideration of the mutual promises, covenants and conditions hereinafter set forth, City and
Engineer hereby agree as follows:
.ARTICLE 1 - ENGAGEMENT OF ENGINEER
1.1 City hereby engages Engineer, and Engineer hereby accepts the engagement, to perform
professional engineering services ("Services") for nitrogen removal planning and permit
compliance at the City's Wastewater Treatment Plant ("Project").
1.2 The Services shall be performed by Engineer in a professional manner, and Engineer
represents that it has the skill and the professional expertise necessary to provide Services
for the Project at the level of competency presently maintained by other practicing
professional consultants in the industry providing similar types of services.
ARTICLE 2 - SERVICES OF ENGINEER
2.1 The specific Services which Engineer shall perform are more particularly described in
Attachment "A," entitled "Scope of Work," which is attached hereto and incorporated
herein by this reference.
2.2 Prior to proceeding with any work under this AGREEMENT, specific scopes of work
shall be defined to implement the Scope of Work set forth in Attachment "A," by
amendment to this AGREEMENT, and shall be termed Task Orders. The Task Orders
shall set forth the detailed scope of work, specific schedule, estimated level of effort, fee
estimate with a not to exceed cost, and current Schedule of Rates. The approved Task
Order shall constitute authorization to proceed with the task. The form to be used for each
Task Order shall be Attachment "E."
ARTICLE 3 - RESPONSIBILITIES OF CITY
3.1 City shall make available to Engineer information in its possession that is pertinent to the
performance of Engineer's Services.
3.2 City will provide access to and make provisions for Engineer to enter upon City-owned
property as required by Engineer to perform the Services.

3.3 City will provide for construction of monitoring facilities, sampling, laboratory analyses,
data collection, and system operation as requested by Engineer.
3.4 City designates Tom Fujiwara, Project Manager, to act as its representative with respect
to the Services to be performed under this Agreement.
ARTICLE 4 - PERIOD OF SERVICE
4.1 Engineer shall perform the Services in a diligent manner and in accordance with the
schedule set forth in Attachment B - Project Schedule of this AGREEMENT and to each
Task Order: Schedule.
ARTICLE 5 - PAYMENTS TO THE ENGINEER
5.1 For services performed under Article 2 for each Task Order, City shall pay the Engineer
on a time and material basis at the hourly rates shown in Attachment D, Rate Schedule,
to this AGREEMENT and to each Task Order, except as provided herein. The labor-hour
estimates and total project budget shall be as shown in Attachment C, Fee Proposal, to
each Task Order. The total amount of compensation for Task Order I shall not exceed
$38,177.50, and for Task Order 2 shall not exceed $39,114.50, unless the scope of the
Project is materially changed and agreed to by the Engineer and the City.
5.2 Payment for additional services requested by the City per Article 2.2 shall be in
accordance with a separately negotiated fee or in accordance with the hourly rates shown
in Attachment D, Rate Schedule, to this AGREEMENT and to each Task Order.
5.3 Engineer shall bill City within ten days following the close of each month by submitting
an invoice indicating the Services performed, who performed the Services, indirect costs,
and the detailed cost of all Services including backup documentation. Payments by City
to Engineer shall be made within 30 days after receipt and approval of Engineer's invoice,
by warrant payable to Engineer.
5.4 All contractual notices, bills and payments shall be made in writing and may be given by
personal delivery or by mail. Notices, bills and payments sent by mail shall be addressed
as follows:

When so addressed, such notices shall be deemed given upon deposit in the United States
Mail. In all other instances, notices, bill and payments shall be deemed given at the time

of actual delivery. Changes may be made in the names and addresses of the person to
whom notices, bills, and payments are to be given by giving notice pursuant to this
paragraph.
ARTICLE 6 - INSURANCE AND INDEMNIFICATION
6.1 Engineer shall maintain worker's compensation insurance and, in addition, shall maintain
insurance to protect City from claims for damage due to bodily injury,personal injury and
death, and claims for injury to or destruction of tangible property while performing the
Services required by this Agreement. Said public liability and property damage insurance
shall be on an "occurrence" basis in a minimum combined single limit of$1,000,000, and
$3,000,000 in the aggregate. Engineer shall maintain comprehensive automobile liability
insurance with a combined single limit of $1,000,000 for bodily injury and property
damage. Engineer shall maintain professional liability insurance in the aggregate amount
of $1,000,000 with a minimum of $500,000 per claim. City shall be named as an
additional insured under all policies for public liability, property damage and
comprehensive automobile liability, and such insurance shall be primary with respect to
City and non-contributing to any insurance or self-insurance maintained by the City.
Engineer shall provide City with certificates of insurance evidencing such insurance
coverage prior to commencing the Services.
6.2 Engineer shall indemnify,hold harmless and defend City and its elected officials, officers,
agents and employees from and against all claims, loss, damage, charges or expense, to
which it or any of them may be put or subjected to the extent that they arise out of or
result from, or are caused by any willful or negligent act or actions, omission or failure
to act on the part of the Engineer, its contractors, its suppliers, anyone directly or
indirectly employed by any of them or anyone for whose acts or omissions any of them
maybe liable in the performance of the Services required by this Agreement.
ARTICLE 7 - GENERAL CONSIDERATIONS
7.1 In the event any action is commenced to enforce or interpret any of the terms or conditions
of this Agreement the prevailing party shall, in addition to any costs and other relief, be
entitled to the recovery of its reasonable attorneys' fees.
7.2 Engineer shall not assign any of the Services required by this Agreement, except with the
prior written approval of City and in strict compliance with the terms, provisions and
conditions of this Agreement.
7.3 Engineer's key personnel for the Project are:

Project, and that they shall not be replaced without concurrence from City.
7.4 All documents, records, drawings, designs, costs estimates, electronic data files and
databases and other Project documents developed by the Engineer pursuant to this
Agreement shall become the property of City and shall be delivered to City upon
completion of the Services or upon the request of City. Any reuse of such documents
for other projects and any use of incomplete documents will be at City's sole risk.
7.5 Engineer is for all purposes an independent contractor. All personnel employed by
Engineer are for its account only, and in no event shall Engineer or any personnel retained
by it be deemed to have been employed by City or engaged by City for the account of or
on behalf of City.
7.6 Unless earlier terminated, as provided for below, this Agreement shall terminate upon
completion and acceptance by City of the Services.
7.7 This Agreement may be terminated by either party,without cause,by providing thirty(30)
days prior written notice to the other(delivered by certified mail, return receipt requested)
of intent to terminate.
7.8 Upon receipt of a termination notice, Engineer shall (1)promptly discontinue all services
affected, and (2) deliver or otherwise make available to City, copies (in both hard copy
and electronic form, where applicable), of any data, design calculations, drawings,
specifications, reports, estimates, summaries and such other information and materials as
may have been accumulated by Engineer in performing the Services required by this
Agreement.
7.9 Engineer shall maintain books and accounts of all Project related payroll costs and all
expenses. Such books shall be available at all reasonable times for examination by the
City at the office of Engineer.
7.10 This Agreement, including the attachments incorporated herein by reference, represents
the entire agreement and understanding between the parties and any prior negotiations,
proposals or oral agreements are superseded by this Agreement. Any amendment to this
Agreement shall be in writing, approved by the City Council of City and signed by City
and Engineer.
7.11 This Agreement shall be governed by and construed in accordance with the laws of the
State of California.

ENGINEERING SERVICES FOR NITROGEN REMOVAL PLANNING
AND PERMIT COMPLIANCE
SCOPE OF SERVICES
The purpose of this agreement is to provide the City with engineering services in conjunction with
increasing the nitrogen removal efficiency at its wastewater treatment plant. The 1998 Waste
Discharge Requirements (RWQCB Order No. 98-54) issued by the Regional Water Quality
Control Board require that the City take measures to increase the plant's ability to remove
nitrogen from its effluent.
Among the requirements set by the RWQCB is the preparation and submittal of a report
discussing how and to what extent the City can improve nitrogen removal, on an interim basis,
using minor modifications and operational changes to the existing plant. This report has been filed
with and accepted by the RWQCB. As a result, the RWQCB has asked that some of the changes
discussed in the report be implemented and their results evaluated. This agreement will provide
for the ongoing engineering and operational assistance needed to comply with the RWQCBs
requirements and to maximize the nitrogen removal efficiency of the existing facilities.
Another requirement of the 1998 Waste Discharge Requirements (WDR) is that the City must
submit a plan and schedule indicating how and when the City proposes to comply with the
requirement to reduce the total inorganic nitrogen (TIN) content of its effluent to less than 10
mg/L The interim TIN limit is 15 mg/L, and the City has been in compliance. This plan and
schedule must be submitted within 30 days of May 31, 1999. It should be noted that the current
WDR requires that the City comply with the 10 mg/L TIN limit by May 31, 2001.
The above noted plan and schedule will be based on a study and report prepared to evaluate
alternative methods for nitrogen removal and the timing and costs of their implementation.
Preparation of the report, plan and schedule will be provided under this agreement.
One potential means of removing nitrogen is to operate the existing percolation ponds (effluent
disposal ponds)east of Alabama Street to maximize natural removal in the underlying soil column.
Removal may already be occurring in the soil, but the amount is not known. In order to explore
this potentially low cost method of nitrogen removal, a field investigation and demonstration,
following a protocol worked out jointly with the RWQCB, is needed. The investigation should
provide operational criteria and a removal efficiency acceptable to e RWQCB. Authorization

to assist the City with the investigation will be covered by this agreement.
There are various other areas involved with nitrogen removal and permit compliance where
operational assistance and design services are, and from time to time will be,required by the City
in order to address changing regulations, evaluate new technologies, up grade systems, and help
with regulatory and operational difficulties. This agreement is intended to provide for such on
going services to the City.

SCOPE OF SERVICES
Introduction
The purposes of this task order are (1) to assist the City with maximizing nitrogen removal at
the wastewater treatment plant using the existing treatment facilities as agreed to with the
RWQCB in January of 1999, and (2) to prepare a plan and report evaluating and discussing
methods for achieving regulatory compliance with the nitrogen limitations contained in the
1998 Waste Discharge Requirements (RWQCB Order No. 98-54). The plan presenting the
City's proposed method and schedule for achieving nitrogen compliance is required under
Paragraph 3 of Section F - "Required Notices and Reports" of the discharge requirements. The
paragraph reads as follows:
"The discharger shall submit for approval by the Executive 6fficer a plan and time schedule
for completing projects necessary to comply with the specified 77N limits. The plan and
schedule shall be submitted within 30 days of the following deadlines.
a. May 31,1999,
b. Within 6 month of the termination of the 7DS177N studies; or
C. Within 6 months of the discharger's withdrawal from participation in the TDSITIN
studies.
The plan and schedule shall be implemented upon approval by the Executive Officer. The
discharger shall submit quarterly compliance status reports (due March 15, June 15,
September 15, and December 15 of each year) on the implementation of the approved plan and
schedule. "
Scone of Services
To provide the needed operational assistance and to complete the required evaluation and
report, the following tasks will be necessary.

Task 1 Provide operational assistance, consulting and evaluation of results for
nitrogen removal process operational modifications within the
treatment plant. This work will be a follow on to the
recommendations contained in the City's July, 1998 report to the
RWQCB and the subsequent January, 1999 meeting with the
RWQCB. Also provide operational assistance for correcting flow
metering and sampling deficiencies within the plant.
Task 2 Meet with the City to discuss the project and collect current test data
and operating records. Visit the plant to observe and discuss its
operation with the City up to three times during the course of the
work.
Task 3 Develop, evaluate and compare feasible in-plant alternatives for
meeting the nitrogen limitations. Comparisons will be based primarily
on cost, ease of operation and maintenance, reliability, current and
future regulations, and adaptability to potential future technologies and
local needs.
Task 4 In conjunction with the City's staff, prepare a plan and schedule
identifying how and when the City will implement the work needed to
increase nitrogen removal to comply with the 1998 discharge
requirements.
Task 5 Prepare a draft report presenting the findings and recommendations of
the study. Submit the draft to the City for review.
Task 6 Meet with the City to discuss review comments and make appropriate
modifications to the draft. Submit 10 copies of the final report.
Task 7 Provide limited follow up through October, 1999 to provide
clarification and to assist the City in complying with requests from the
RWQCB. ENGINEER's effort for this task is limited to 24 labor
hours. The limit can be increased upon authorization by the City.

SCHEDULE
ENGINEER shall commence work immediately following authorization to proceed.
ENGINEER has reviewed the project with the CITY and agrees that the following schedule is
a reasonable time frame in which to complete the work. The schedule is based on the
requirement to submit a plan and schedule to the RWQCB by May 31, 1999.

ENGINEER and CITY mutually agree that they will work earnestly toward meeting the above
tentative schedule. Should the scope of services change or should problems arise during the
work period which could affect the above schedule, it is understood that both the ENGINEER
and CITY will develop a revised schedule to address such scope changes and problems. The
costing herein assumes that all work will be completed by October 31, 1999. Should the
project be delayed for any reason beyond ENGINEER'S control past this date, the
ENGINEER reserves the right to renegotiate the Task Order to cover actual increases in cost.

This Amendment makes the following changes to the AGREEMENT; all other provisions of the
AGREEMENT remain in effect.
ARTICLE I - ENGAGEMENT OF ENGINEER

ARTICLE 2 - SERVICES OF ENGINEER
2.1 The Scope of Work is amended to include Attachment "A" to this Amendment
which defines the scope of work for engineering services for Task Order 2,
Evaluation of Nitrogen Removal Capability of the Percolation Ponds.
ARTICLE 3 - RESPONSIBILITIES OF CITY

ARTICLE 4 - PERIOD OF SERVICE
4.1 The time period for performance of the Engineer's services for Task Order 2 set
forth in Article 2 shall be in accordance with the schedule defined in Attachment
"B" to this Amendment.
ARTICLE 5 - PAYN11ENTS TO THE ENGINEER
5.4 The total compensation to perform work under this Amendment for Task Order 2
shall be in accordance with Attachments "C" and "D" to this Amendment.

SCOPE OF SERVICES
Introduction
The purpose of the work under this task order is to assist the City in determining the capability
of its existing percolation ponds to remove nitrogen from effluent spread in them for disposal.
Intermittent spreading and percolation through a soil column will remove some nitrogen from
the spread effluent, and the City may be able to benefit from this removal in meeting its
regulatory discharge limitations for nitrogen. If the ponds can be operated to reliably remove
some of the effluent nitrogen, the RWQCB may allow a credit such that the requirement for
in-plant removal can be reduced. A study, based on a protocol approved by the RWQCB, will
be required in order to determine acceptable removal efficiencies and operating parameters for
the ponds. The study is meant to demonstrate the effectiveness of percolation to remove
effluent nitrogen rather than to be a research project.
Scope of Services
To assist the City in completing the study, developing protocol and methodology, providing
assistance and advice during the study, interpreting the results, documenting the work, and
obtaining regulatory acceptance, as outlined in the following tasks, will be necessary. The
study covered by this scope is meant to evaluate removal of nitrogen in the soil column under
and immediately adjacent to the existing ponds and to determine a fill and drain cycle and
other operating criteria consistent with good nitrogen removal. At the option of the City, the
scope can be expanded to evaluate other topics such as removal mechanisms, removal of other
constituents, area hydrology and other subjects, the need for which may arise during the
study.
Task 1. Meet with the City to discuss the project and collect available
information.
Task 2. Develop a tentative protocol for the study and meet with the RWQCB
to discuss and finalize it. The protocol will include locations and
types of monitoring and sampling systems, sampling schedules,
analytical methods, report format and content, and timing. It should
be recognized that the need to modify parts the protocol should be
expected as the study progresses.
Task 3. Assist the City by recommending the selection, location, design,
installation, and operation of sampling and monitoring systems.

Task 4. Provide a monthly overview of operation and findings from the
project. Meet with the City to discuss the findings and any apparent
need to modify the protocol.
Task 5. Prepare quarterly reports summarizing the findings for the period for
the City to file with the RWQCB.
Task 6. Prepare a final report summarizing the work, giving and interpreting
findings, and recommending criteria for operating the ponds as a
nitrogen removal process.
Task 7. After filing the final report, meet with the City and the RWQCB to
discuss modifications to the City's waste discharge requirements and
any benefits of continuing the monitoring program.
Services Provided by City
The City will provide the following:
1 All construction including that of monitoring wells, sampling stations,
lysimeters, and access roads.
2. Geotechnical investigations, if they become necessary, including
hydrogeological studies.
3. Sampling and laboratory analyzes of samples.
4. Operation of treatment, pumping, water transmission and flow control systems
and the ponds.
5. Information from any previous studies regarding hydrology, monitoring
programs, well logs, groundwater quality and depth, and pond operation.

SCHEDULE
ENGINEER shall commence work immediately following authorization to proceed.
ENGINEER has reviewed the project with the CITY and agrees that the following schedule is
a reasonable time frame in which to complete the work.

ENGINEER and CITY mutually agree that they will work earnestly toward meeting the above
tentative schedule. Should the scope of services change or should problems arise during the
work period which could affect the above schedule, it is understood that both the ENGINEER
and CITY will develop a revised schedule to address such scope changes and problems. The
costing herein assumes that all work will be completed by October 31, 2000. Should the
project be delayed for any reason beyond ENGINEER'S control past this date, the
ENGINEER reserves the right to renegotiate the Task Order to cover actual increases in cost.
