HomeMy WebLinkAboutContracts & Agreements_192-2003_CCv0001.pdf AGREEMENT TO FURNISH CONSULTING SERVICES FOR DESIGN OF VARIOUS STREET RECONSTRUCTION AND PEDESTRIAN FACILITIES PROJECTS This Agreement is made and entered into this 7th day of October, 2003 by and between the City of Redlands, a municipal corporation (hereinafter "City") and Dudek and Associates, Inc., hereinafter("Consultant"). In consideration of the mutual promises,covenants and conditions hereinafter set forth,City and Consultant agree as follows: ARTICLE I - ENGAGEMENT OF CONSULTANT 1.1 City hereby engages Consultant and Consultant hereby accepts the engagement, to perform engineering design services which is more particularly described in Exhibit "A" attached hereto and incorporated herein by this reference (the "Services") for the design of various street reconstruction and pedestrian facilities (the "Project") as follows: a. Reconstruction of Cypress Avenue between Redlands Blvd. and Cajon Street. b. Lighted crosswalks on Cypress Avenue at Monterey Street and on Cajon Street at Vine Street. c. Union Avenue street improvements between Orange Street and Tribune Street, d. ADA compliant handicap ramps at various locations within the CDBG target area. 1.2 The Services shall be performed by Consultant in a professional manner, and Consultant represents that it has the skill and the professional expertise necessary to provide the Services to City at a level of competency presently maintained by other practicing professional consultants in the industry providing like and similar types of services. ARTICLE 2 - SERVICES.,OF CONSULTANT 2.1 The specific Services which Consultant shall perform are more particularly described in Exhibit "A" which is attached hereto and incorporated herein by this reference. 2.2 Consultant shall comply with all applicable Federal, State and local rules, laws and regulations in the performance of this Agreement including but not limited to all applicable Labor Code and prevailing wage laws. ARTICLE 3 -.RESPONSIBILITIES OF CITY 3.1 City shall make available to Consultant information in its possession that is pertinent to the performance of Consultant's Services. L',calleni\Agreernenrs`5001 Street Const,wpd 3.2 City will provide access to and make provisions for Consultant to enter upon City-owned property as required by Consultant to perform the Services. 3.3 City designates Alan K. Griffiths to act as its representative with respect to the Services to be performed under this Agreement. ARTICLE 4 - PERIOD OF SERVICE 4.1 Consultant shall perform the Services in a prompt and diligent manner and in accordance with the schedule set forth in Attachment "B," entitled "Project Schedule." ARTICLE 5 - PAYMENTS TO THE CONSULTANT 5.1 The total compensation for Consultant's performance of the Services shall not exceed $65,108.81 in accordance with the schedule as set forth in Exhibit "B." 5.2 Consultant shall bill City within ten days following the close of each month by submitting an invoice indicating the portion of the Services performed, who performed the Services, indirect costs, and the detailed cost of all Services including backup documentation. Payments by City to Consultant shall be made within 30 days after receipt and approval of Consultant's invoice, by warrant payable to Consultant. 5.3 All contractual notices, bills and payments shall be made in writing and may be given by personal delivery or by mail. Changes may be made in the names and addresses of the person to whom notices and payments are to be given by giving notice pursuant to this paragraph. ARTICLE 6 - INSURANCE AND INDEMNIFICATION 6.1 Consultant's Insurance to be Primary All insurance required by this Agreement is to be maintained by Consultant for the duration L'Ca',Jern\Agreements\5001 Street Const.wpd 2 of this Project and shall be primary with respect to City and non-contributing to any insurance or self-insurance maintained by the City. Consultant shall not perform any Services pursuant to this Agreement unless and until all required insurance listed below is obtained by Consultant. Consultant shall provide City with Certificates of Insurance and endorsements evidencing such insurance prior to commencement of work. All insurance policies shall include a provision prohibiting cancellation of the policy except upon thirty(30) days prior written notice to City. 6.2 Workers' Compensation and Employer's Liability A. Consultant shall secure and maintain Workers' Compensation and Employer's Liability insurance throughout the duration of this Agreement in amounts which meet statutory requirements with an insurance carrier acceptable to City. B. Consultant expressly waives all rights to subrogation against City,its officers,employees and volunteers for losses arising from work performed by Consultant for City by expressly waiving Consultant's immunity for injuries to Consultant's employees and agrees that the obligation to indemnify, defend and hold harmless provided for in this Agreement extends to any claim brought by or on behalf of any employee of Consultant. This waiver is mutually negotiated by the parties. This shall not apply to any damage resulting from the sole negligence of City,its agents and employees. To the extent any of the damages referenced herein were caused by or resulted from the concurrent negligence of City,its agents or employees,the obligations provided herein to indemnify, defend and hold harmless is valid and enforceable only to the extent of the negligence of Consultant, its officers, agents and employees. 6.3 Comprehensive General Liability Insurance. Consultant shall secure and maintain in force throughout the duration of this Agreement comprehensive general liability insurance with carriers acceptable to City. Minimum coverage of one million dollars($1,000,000)per occurrence and two million dollars ($2,000,000) aggregate for public liability, property damage and personal injury is required. Consultant shall obtain an endorsement that City shall be named as an additional insured. 6.4 Professional Liability Insurance. Consultant,shall secure and maintain professional liability insurance throughout the duration of this Agreement in the amount of one million dollars ($1,000,000)per occurrence and two million dollars ($2,000,000) annual aggregate. 6.5 Business Auto Liabilitv Insurance. Consultant shall have business auto liability coverage,with minimum limits of I million($1,000,000)per occurrence,combined single limit for bodily injury liability and property damage liability. This coverage shall include all consultant owned vehicles used on the project, hired and non-owned vehicles, and employee non-ownership vehicles. Consultant shall obtain an endorsement that City shall be named as an additional insured. 6.6 Assimment and Insurance Requirements. Consultant is expressly prohibited from L\calenvAgreements45001 Street Const,ANpd 3 subletting or assigning any of the services covered by this Agreement without the express written consent of City. In the event of mutual agreement between parties to sublet a portion of the Services, the Consultant will add the subcontractor as an additional insured and provide City with the insurance endorsements prior to any work being performed by the subcontractor. Assignment does not include printing or other customary reimbursable expenses that may be provided in this Agreement. 6.7 Hold Harmless and Indemnification. Consultant shall defend, indemnify and hold harmless City, its elected officials, officers, employees and agents, from and against any and all actions,claims,demands,lawsuits,losses and liability for damages to persons or property,including costs and attorney fees, that may be asserted or claimed by any person, firm, entity, corporation, political subdivision or other organization arising out of or in connection with Consultant's negligent and/or intentionally wrongful acts or omissions under this Agreement;but excluding such actions, claims, demands, lawsuits and liability for damages to persons or property arising-from the sole negligence or intentionally wrongful acts of City, its officers, employees or agents. ARTICLE 7 - GENERAL CONSIDERATIONS 7.1 In the event any action is commenced to enforce or interpret any of the terms or conditions of this Agreement the prevailing party shall, in addition to any costs and other relief, be entitled to the recovery of its reasonable attorneys' fees. 7.2 Consultant shall not assign any of the Services required by this Agreement, except with the prior written approval of City and in strict compliance with the terms, provisions and conditions of this Agreement. 7.3 Consultant's key personnel for the Project are: Brian King- Project Manager Ken King - Principal in Charge Consultant agrees that these key people shall be made available and assigned to the Project and that they shall not be replaced without concurrence from City. 7.4 All documents, records, drawings, designs, cost estimates, electronic data files, databases, and other documents developed by Consultant pursuant to this Agreement and any copyright interest in said above described documents, shall become the property of City and shall be delivered to City upon completion of the Services, or upon the request of City. Any reuse of such documents and any use of incomplete documents will be at City's sole risk. 7.5 Consultant is for all purposes an independent contractor. Consultant shall supply all tools and instrumentalities required to perform the consulting services in this Agreement. All personnel employed by Consultant are for its account only,and in no event shall Consultant F,callem'Agreernents15001 Street Const.wpd 4 S-A L or any personnel retained by it be deemed to have been employed by City or engaged by City for the account of or on behalf of City. 7.6 Unless earlier terminated, as provided for below, this Agreement shall terminate upon completion and acceptance by City of the Services. 7.7 This Agreement may be terminated by the City, without cause, by providing five (5) days prior written notice to the Consultant(delivered by certified mail, return receipt requested) of intent to terminate. 7.8 If this Agreement is terminated by City, an adjustment to Consultant's compensation shall be made,but(1)no amount shall be allowed for anticipated profit or unperformed services, and(2)any payment due Consultant at the time of termination may be adjusted to the extent of any additional costs to City occasioned by any default by Consultant. 7.9 Upon receipt of a termination notice, Consultant shall(1)promptly discontinue all services affected, and(2)deliver or otherwise make available to City, copies(in both hard copy and electronic form,where applicable)of any data,design calculations,drawings,specifications, reports, estimates, summaries and such other information and materials as may have been accumulated by Consultant in performing the Services required by this Agreement. Consultant shall be compensated on a pro-rata basis for work completed up until notice of termination. 7.10 Consultant shall maintain books and accounts of all Project related payroll costs and all expenses. Such books shall be available at all reasonable times for examination by the City at the office of Consultant. 7.11 This Agreement, including the attachments incorporated herein by reference,represents the entire agreement and understanding between the parties as to the matters contained herein, and any prior negotiations, proposals or oral arguments are superseded by this Agreement. These projects will be funded through Community Development Block Grants, and are projects which would normally be prepared by City Staff. We believe that our Staff has the capability to act as an extension of City Staff. Our Redlands office has been operating in Redlands for 26 years, with a large portion of our Public Works designs being in the City of Redlands. Please note that Dudek is not proposing to provide construction surveying and management with this proposal. However, if the City requests, Dudek will provide a separate proposal for these items, once a construction schedule is established. Management Approach A key requirement to the successful completion of the proposed work within the required time frames is a clear organizational framework that defines lines of communication among team members and the City. Dudek's project organization has been developed to facilitate communication and to address the most difficult issues related to the City's efforts. It is also— structured to be flexible and allow us to respond to changing requirements and any unforeseen issues that can arise from changing field conditions and agency input. All Designers, Surveyors, and Draftsman at Dudek operate the latest version of AutoCAD and Land Development Desktop, with CAD desktops no older than 18 months. Our projects are integrated throughout the company utilizing a wide area network linking six offices. To provide the City an effectively-managed, integrated team, we have identified below the key elements of our approach to managing our team: u Assignment of a Principal-in-charge: Mr. Kenneth King, P.E., who has over 40 years of project experience in the City of Redlands. As a Principal with Dudek &Associates, Mr, King will be making key decisions relating to staffing and financial expenditures, qi � ^ [r�� � I City of Redlands � Assignment of Project Manager: Mr. Brion King, who has over 20 years of public and private project experience in the City of Redlands, will serve as the primary point-of- contact for City oinf'of-contudforCify of Redlands staff. � Assignment ofPrincipal Engineers and technical personnel with directly relevant experience and training related to each task. � Maintenance of an open and effective line of communication with the City of Redlands regarding prioritization of work assignments, selection of technical approaches to meet specific objectives, and progress of the work. This project requires tight integration between sur/ey, design and geotechnical, which [}udekis dytoprovide. The following approach is ' proposed by Dudek: Sun/ey l . We will research and review background records, such as record mops, street improvement and utility plans for this area to assist with field surveying and final engineering. 2. The Geofechnicol Engineer will conduct testing of the existing paving and soils conditions. Engineering 7. We will obtain the results ofour field survey / research for the entire length of the project, which will form the basis nfour design. 8. We will conduct a field visit and walk the entire length of the site with our geotechnical consultant and the project engineer. Our purpose here is to define areas of different levels of pavement deterioration and discuss possible methods of reconstruction. 9. A preliminary soils report will be prepared by the Geotechnical Engineer to provide recommendations for soil preparation and structural section for Cypress Avenue. lO.We will meet with City's staff and Public Works Director to discuss our findings and incorporate any of their comments/suggestions into our design methods. l l. We will then formalize the design of reconstruction of the pavement using o Traffic index of 9.0, 12. We will provide copies of our 3096 complete plans to all utilities within the project limits. The purpose here is to ask them /[they wish to repair/upgrade any of their existing facilities while the street is being reconstructed. It is our understanding that the design and construction of these facilities will be at affected utility provider's expense and is not port m of c��eices. {3. Dudek will complete the Plan and Engineer's Estimates for the proecf. 14. Dudek will prepare on Erosion Control /Storm Water Pollution Prevention Plan to City of Redlands requirements, 75. Dudek will provide oSignage and Striping Plan for the project including ocontinuous left turn lone along the entire length of the project. 16. Dudek will provide assistance to the City during bidding process. Lighted Crosswalks C[O8sw8|ks Crosswalk lighting has been requested by the City for the crossing of City Mo/l on _o' on Street and at Cope Middle School on Cypress Avenue. /he lighting consists of in-pavement LED's are activated �sop�rson �nharsthecrosswo/k. The City already isutilizing two ofthese lighting systems on Brockton Avenue at the University of Redlands. I is our understanding that the requested lighting will be similar ifnot the same as on Brockton Avenue, The following design approach is proposed by Dudek: 3 City of Redlands Street Reconstruction Pro'ect Survey 1 . We will research and review background records, such as record maps, street improvement and utility plans for this area to assist with field surveying and final engineering. 2. We will provide surveying services to establish project control to existing record monumentation and vertical benchmark. This effort defines the basis for all work on this project. 3. We will provide survey and services to accurately verify essential improvements critical to the project, which includes existing curbs, flowlines and above ground utility features. 4. We will develop topographic results for the project showing planimetric features in digital format. 5. All field survey results will be compiled into a composite basemap format to provide the basis for all engineering design and final improvement plans. Engineering 6. We will obtain the results of our field survey 1 research for the area of the project, which will form the basis of our design. 7. We will meet with City's staff and Public Works Director to discuss our findings and incorporate any of their comments/suggestions into our design methods. 8. Dudek will prepare a preliminary design for the Street Improvements along Cypress Avenue. 9. We will then consult with the light supplier, and then with City Staff, for crosswalk lighting layout. 10. Dudek will then complete the Street Improvement Plan for Cypress Avenue. 11 . Dudek will consult with the Electrical Engineer for electrical feedpoints and will then complete the lighting plan for Cypress Avenue and Cajon Street. 12. Dudek will prepare an Engineer's Estimate or the project. 13. Dudek will provide assistance to the City during bidding process. Union Avenue In a move to enhance the neighborhood, the City of Redlands plans to complete street and sidewalk improvements on Union Street between Orange and Tribune Streets. Although some improvements exist along Union, many areas are devoid of curb, gutter and sidewalk. Improvements will be carried onto adjacent, perpendicular streets with curb returns and accessibility ramps. The proposed ramps are in locations containing existing improvements, so site constraints will need to be taken into consideration in developing the most feasible designs. Dudek proposes thefoUowing approach: Survey/Design l . We will research and review background records, such as record mops and street improvement plans, for the design areas to assist with field surveying and final engineering. 2. We will conduct o preliminary review of the sites to assist in developing design templates. 3. We will cnsoha design templates to be used while conducting field surveys of the romp locations. The templates will depict common layouts such as curved and 90-cleQree right-of-ways. 4. We will conduct field survey of each site to accurately verify essential improvements which to the project, ��c� inc|udes existing curbs, sidewalks and above ground uh|ih/ features. The templates will be used to show these features and to select the most practical ramp design for the location, 5. [)udek's Project Manager and Principal Engineer will then meet with City Public Works Staff to review the proposed designs. 6. The designs will then becompleted with City revisions incorporated. Dudek proposes o final format of an 8.5" x l l" booklet containing all romp sites. To achieve this goal, we have assembled a strong, experienced team to deliver exceptional service on this project. The City will benefit through our organized and efficient approach, as well as from "lessons learned" on prior similar projects. Our core team will manage this project from Dudek's Redlands office with support from resources in our other Southern California offices. Dudek's team is structured to provide the City with seamless communication throughout the duration of the project. As illustrated in the organization chart Brian King will be the project manager and will coordinate all project activities and have ultimate responsibility for the project budget and schedule. In addition Kenneth King, P.E. principal-in-charge, will be responsible for committing all of the necessary resources to successfully complete this project.
