HomeMy WebLinkAboutContracts & Agreements_102-2011_CCv0001.pdf AGREEMENT FOR TILE PROVISION OF PROFESSIONAL ENVIRONMENTAL CONSULTING SERVICES This agreement for the provision of environmental consulting services ("Agreement") is made and entered into this 19th day of July,2011,by and between the City of Redlands,a municipal corporation ("City") and LSA Associates. Inc. ("Consultant"), who are sometimes individually referred to herein as a "Party" and, together, as the "Parties." In consideration of the mutual promises contained herein, City and Consultant agree as follows: ARTICLE 1 - ENGAGEMENT OF CONSULTANT 1.1 Engagement of Consultant. City retains Consultant to perform professional environmental consulting services(the"Services")associated with City's environmental review of a development project(the'Project")to be proposed by ShowProp Redlands,LLC("ShowProp")for property located at 330 N. Third Street in the City of Redlands, as set forth in the Proposal from Consultant dated July 15,2011,which is attached hereto as Exhibit"A"and incorporated herein by this reference. The Services shall be performed in accordance with the terms and conditions described herein. Consultant's Services shall include, but not be limited to, if necessary, the preparation of a Project Description, Initial Study, Negative Declaration or Mitigated Negative Declaration, Notice of Preparation, Draft Environmental Impact Report, Response to Comments, Final Environmental Impact Report, Notice of Completion,Mitigation Monitoring and Reporting Program, Statement of Facts and Findings, Statement of Overriding Considerations, associated supporting technical documents and a Notice of Determination, as appropriate, pursuant to the California Environmental Quality Act("CEQA"),and any necessary environmental documents for compliance with the National Environmental Policy Act("NEPA")(collectively the"Environmental Documents"), all in accordance with Exhibit "A." Consultant shall determine the method, details and means of performing the Services, and Consultant shall perform the Services to the best of its ability and with the skill,expertise and level of competency presently maintained by other practicing professionals providing similar services in the industry. Consultant shall prepare all environmental documents required for the Project by this Agreement in conformance with CEQA and the State and City's CEQA guidelines, and NEPA. ARTICLE 2 - COMPENSATION 2.1 Compensation. As compensation for its performance of the Services,City shall pay to Consultant an amount not to exceed Forty Nine Thousand Dollars ($49,000)for preparation of a Mitigated Negative Declaration for the Project, or One Hundred Twenty Five Thousand 1)ollars (S125.000) for the preparation of an Environmental Impact Report for the Project, in accordance with the hourly rates and estimates of expenses contained in Exhibit "A," Payment to Consultant shall be made monthly, upon City's receipt of an itemized invoice describing the services for which payment is requested. Invoices shall document the status of the Services associated with the fees billed,and are due and payable within thirty(30)days of the date they are received and approved by City. 1 dim ineeinetiiii I SA P4r0 NWS ARTICLE 3 - INSURANCE AND INDEMNIFICATION 3,1 Consultant's Insurance - General Requirements. All insurance required by this Agreement shall be maintained by Consultant for the term of this Agreement. Except for WorkersCompensation and employer's liability insurance,City shall he named as an additional insured for the policies,and such insurance shall be primary with respect to City and non-contributing to any insurance or self-insurance maintained by City. The insurance policies shall include provisions prohibiting cancellation of the policies except upon thirty(30)days prior written notice to City. Consultant shall provide City with Certificates of Insurance and endorsements evidencing such insurance prior to commencement of the Services. 3.2 Workers' Compensation and Employer's Liability. Consultant shall secure and maintain in force throughout the term of this Agreement Workers' Compensation and Employer's Liability insurance in an amount which meets statutory requirements with an insurance carrier acceptable to City. 3.3 Comprehensive General Liability Insurance. Consultant shall secure and maintain in force throughout the term of this Agreement comprehensive general liability insurance with carriers acceptable to City. Minimum coverage of one million dollars($1,000,000)per occurrence and two million dollars ($2,000,000) aggregate for public liability, property damage and personal injury is required. 3.4 Business Auto Liability Insurance. Consultant shall secure and maintain in force throughout the term of this Agreement business auto liability coverage,with minimum limits of one million(SI,000,000)per occurrence, combined single limit for bodily injury liability and property damage liability. This coverage shall include all Consultant owned vehicles used to perform the Services,hired and non-owned vehicles, and employee non-ownership vehicles. 3.5 Assignment and Insurance Requirements. Except for those assignees or subcontractors that may be identified in Exhibit TMA,"Consultant is expressly prohibited or assigning or subcontracting any of the Services to be performed under this Agreement without the prior written consent of City. In the event of agreement by the Parties to assign or subcontract a portion of the Services, Consultant shall add such assignee or subcontractor as an additional insured to the insurance policies required hereby and provide City with the insurance endorsements prior to any Services being performed by the assignee or subcontractor. Assignment does not include printing or other customary reimbursable expenses that may be provided for in this Agreement. ,a dim Agleellcpawi nop rn,IN)DM",di0C 2 ARTICLE 4 - SCHEDULE, TERMINATION AND M ISCELLANEOUS PROVISIONS 4.1 Schedule for Com tenon. The schedule for completion contained in Exhibit nA" illustrates a time frame for document preparation that has been established by City and Consultant. City and Consultant recognize that delays could occur for reasons outside the control of Consultant. If such delay occurs,an extension of the due date for completion of the Services will be permitted by City. 4.2 Suspension, Consultant acknowledges that ShowiProp is obligated to fund the costs incurred by City for the Services to be performed pursuant to this Agreement,to cooperate with City by providing information relating to the Project, and that ShowProp is required to make periodic advance payments to City in connection with this Agreement. If ShowProp fails to make any required payment to City,or if ShowProp fails to cooperate with City by failing to provide City with information or data relating to the Project,Consultant acknowledges that City shall have the right to require Consultant to suspend or cease the Services under this Agreement without liability to City. 4.3 Termination. City may terminate this Agreement at any time by prior written notice to Consultant. Upon such termination, Consultant shall deliver to City all documents, reports, materials and work of any nature pertaining to the Services to be performed under this Agreement that are in the possession of Consultant or under its control. In such event,Consultant shall be paid for the Services performed to the date of termination based on time and reimbursable billings. The total sum paid to Consultant in the event of termination of this Agreement shall not exceed the sum set forth in Section 2.1 hereof 4.4 Hold Harmless and Indemnification. A. Consultant shall indemnify, hold harmless and defend City and its elected officials,officers,employees and agents from and against any and all claims causes of action,losses and liability,including attorneysfees,arising from injury or death to persons or damage to property occasioned by any negligent or intentional wrongful act or omission of Consultant, or its officers, employees and agents in performing the Services required by this Agreement. 13. City shall indemnify, hold harmless and defend Consultant and its officials, employees and agents from and against any and all claims causes of action, losses and liability, including attorneys' fees,arising from injury or death to persons or damage to property occasioned by any negligent act or omission of City, its officers, employees and agents in performing their obligations required by this Agreement. 4.5 Independent Contractor. 'this Agreement is for the performance of professional services to City and does not make the employees of Consultant employees of City for the purpose of payroll deductions, unemployment insurance or any other benefits. All notices, including bills and payments, shall be in writing and may be given by personal delivery or by mail. Changes may be made to the addresses of the persons to whom notices are to be given by giving notice pursuant to this section. 4.7 Nondiscrimination. During the performance of this Agreement Consultant shall not discriminate on the grounds of race, color, national origin, sex, sexual orientation or disability, or any condition related thereto in the selection and retention of employees and sub-consultants and the procurement of materials and equipment. 4,8 Ownership of Documents. All documents prepared under this Agreement by Consultant shall be and remain the property of City upon City's payment of compensation to Consultant for its Services. 4_9 Attorne sFees. In the event any action is commenced to enforce or interpret the terms or conditions of this Agreement the prevailing party shall, in addition to any costs and other relief,be entitled to the recovery of its reasonable attorneys'fees,including fees Mr use of in-house counsel by a Party. 4.10 Entire Agreement, This Agreement supersedes any and all other agreements.either verbal or in writing, between the Parties with respect to the matters contained herein. Each Party to this Agreement acknowledges and agrees that no representationinducements, promises or agreements, verbal or otherwise, have been made by any Party, or anyone acting on behalf of tuly Party, which are not embodied herein, and that no other agreement. stipulation or promise not contained in this Agreement shall be valid or binding on either Party, 4.11 Books and Records. Consultant shall maintain books and accounts of all costs and expenses related to the provision of the Services. (ISA) is pleased to submit this proposal to provide environmental sen-ices to the City Ibr the proposed packing house project. We understand the City wishes to retain a qualified environniental consultant to assist the City with this work. It is clear from the City's Request for Proposal that there is a desire to expedite processing of this project, but that care must be exercised since this project contains historical facilities related to the Santa Fe Depot District. ESA understands compliance with the California Environmental Quality Act (CEQA) and the National Environmental Policy Act(NEPA)will be required based on the historical facilities present. Fortunately, LSA's Riverside office is only 20 minutes from your office and the project site, which will help minimize cost and delay in completing these reports. ESA can start immediately and have the Initial Study and review of the applicant-commissioned cultural resources and traffic reports one month after the technical studies are available for review. We have worked in the area for the City of Redlands, including preparation of the Redlands Promenade EIR for a shopping center to the west of the Krikorian Theater; our staff is familiar itit the area having prepared the cultural resources, traffic, air quality, and noise studies for the Redlands Promenade in addition to the EIR.We have the in-house resources to work on this project for the City and will not he using any subeonsultants. INTRODUCTION & PROJECT UNDERSTANDING LSA Associates, Inc. (LSA) understands the City of Redlands wishes to retain a qualified environmental consultant to prepare an Initial Study/Mitigated Negatis'e Declaration (IS MND)or an Enviromnental Impact Report(LIR)and supporting technical studies for the proposed within the City, For brevity, we will not repeat the detailed project information pros ided in the City's Request for Proposal(RFP), but we have incorporated it into the scope of work for this proposal. LSA proposes to prepare technical studies on air quality and greenhouse gases and peer review the applicant- commissioned traffic and cultural resources studies. LSA will use the City's Initial Study form augmented, if needed, with the latest changes to the Appendix F Checklist questions in the State CEQA Guidelines, as the thresholds for significance in the FIR(if required). ISA and its team for this project have the experience necessary to successfully complete a legally defensible environmental document for this project, is meeting the procedural needs of the CEQA process and effectively involving the public, public agencies, and special interest groups as necessary in the process. The developer is is to propose a development project to the City to redevelop a 2.3-acre site, which may or may not include four parcels of real property having an address of 330 North Third Street and consisting of approximately 29,159 square feet of real property, designated as County of San Bernardino's Assessor's Parcel Nos,0169-281-47,48,49 and 50. The property is generally flat and has been improved with a masonry and steel-framed warehouse building, approximately 18,792 square feet in size and constructed circa 1906. known as the Mutual Orange Distributors(MOD)packing house,The site is vacant and has been unused for several years. The project site is located completely within the Redlands Santa Fe Depot District, which is recorded in the California Register of Historical Resources (California Register) and the National Register of Historic Places (National Register), Additionally, the MOD packing house was named a contributing member of the Santa Fe Depot National Historic District. Development of the project may have a significant impact on the Santa Fe Depot district and packing house. LSA understands local residents may also be concerned about the des eloper exploring the viability of the construction of a retail project on the site consisting primarily of a grocery store. which may be any of the following. "Sprouts,- -Trader Joe's," -tielsort's,” "Jensen's," "Whole Foods,- -I ieney's„- -Bristol Farms,-and"New Flower Sun Flower". The City has recently came to an agreement with the developer(Krikorian) that a viable project for the site would be processed before the City ksould sell the property to him. In addition, LSA will peer review for CEQA adequacy the applicant-c.onimissioned cultural and traffic studies, The envirormiental documentation (IS MND or FIR) will evaluate potential ens irotunental impacts associated with the proposed project under the direction of the City of Redlands as Lead Agency. Accordingly, the City has final say on the analysis specifics and the determination of project impact significance. As Lead Agency in accordance with CEQA.the City will be ultimately responsible for the contents of the IS MNI) or EIR, I.SA's role is to prepare the environmental documentation for the project under the supervision of the City, The IS MND or LIR will provide an objective analysis of the physical impacts that may result from the construction and operation of the proposed project. Consistent with the City's obligation under criQA, LSA will prepare an accurate. comprehensive, and legally defensible environmental document in a timely manner. To achieve this goal. I.SA's overall approach can be summarized as follows: I. Prepare a thorough and logically organized written impact assessment that will withstand public and agency scrutiny,as required by CFQA. 2. Work with the project applicant, the project design team, the project attorney, and City staff to identify and resolve technical issues relevant to potential impacts. 3, Work with City staff, and as appropriate, project applicant, to minimize project environmental impacts while attaining project objectives. 4. Identify City contacts, neighborhood associations, or service organizations whose input will be vital to the successful completion of the CEQA program. Reline the scope of work to be performed including related technical studies. Define protocols for requesting information of City staff and City team members. Refine the project schedule, establish protocols for product review and coordination with the City, and define project milestones and decision points. • Obtain relevant plans, reports,ordinances, and studies applicable to the project. s Obtain the City's mailing list for environmental documents. Prior to the kick-off meeting, LSA will identify its document and information needs to assist the City and the City team members in accumulating the background information necessary to initiate the program. These needs may include the following: • Reports of previous geotechnical or other environmental related investigations of the site or Sul-rounding area, • Reproducible or electronic copies of the site development plan or topographic map with property boundaries will be required prior to the start of our field investigation. ESA will collaborate with the City, project applicantand the City project team members in defining the project description and reviewing the proposed scope of work. ESA will draft a coniprehensiN e project description based on the most recent information provided by City in addition to the project inforniation provided by the applicant and its engineer or other team mentbers, llte project description will provide a detailed narrative of the proposed project. operational characteristics, and geographical setting as required by CEQA. Any discussion regarding project impacts will be carefully reviewed for compliance With relevant Secretary of the Interior's Standards for the 'freatment of Historic Properties, which are typically used to mitigate impacts to a level that is less than significant. An ISA Architectural Historian will prepare a letter containing LSA's comments on the cultural resources report, is hich may include additional mitigation measures and/or alternatives to the proposed project as appropriate. This will involve review of the study assumptions, trip generation, trip distribution, model rim outputs, analysis methodology, report conclusions, and proposed mitigation measures. ESA will be sure to identify any additional data or analysis needs or changes that need to be made to the document to make it comply with ('EQA requirements. LSA will provide a memo summarizing the results of our assessment. I °rusk 2.3: ikir Quality and Greenhouse (Ms Emissions The proposed project is located in the City of Redlands, which is part of the South Coast An Basin (Basin). Air quality in this area is administered by the South Coast Air Quality Management District 1 t SCAQMD). LSA will conduct an air quality study that will be consistent with all applicable procedures and requirements. ESA will prepare the baseline and project setting for the proposed project. Baseline information will be area-specific for the Redlands area. ESA will conduct the construction emissions calculations commensurate with available project specific information. Default assumptions will be used where no . „ project information is available.
