This agreement for the provision of design drawings for Ford Park upper pond
improvements ("Agreement") is made and entered m this 22nd day of May, 2019 ("Effective
Date"), by and between the City of Redlands, a municipal corporation ("City") and Dudek,
Incorporated ("Consultant") City and Consultant are sometimes individually referred to herein
as a "Party" and, together, as the "Parties " In consideration of the mutual promises contained
herein, City and Consultant agree as follows
ARTICLE 1 — ENGAGEMENT OF CONSULTANT
1 1 City hereby engages Consultant to provide design drawing services for City (the
"Services")
1 2 The Services shall be performed by Consultant m a professional manner, and Consultant
represents that it has the skill and the professional expertise necessary to provide the
Services to City at a level of competency presently maintained by other practicing
professional consultants in the industry providing like and similar types of Services
ARTICLE 2 — SERVICES OF CONSULTANT
2 1 The Services that Consultant shall perform are more particularly described to Exhibit
"A," entitled "Scope of Services," which is attached hereto and incorporated herein by
reference
2 2 Consultant shall comply with applicable federal, state and local laws and regulations m
the performance of this Agreement including, but not limited to, State prevailmg wage
laws
ARTICLE 3 — RESPONSIBILITIES OF CITY
3 1 City shall make available to Consultant mformation in its possession that may assist
Consultant m performing the Services
3 2 City designates Chris Boatman, Quality of Life, as City's representative with respect to
performance of the Services, and such person shall have the authonty to transmit
instructions, receive information, Interpret and define City's policies and decisions with
respect to performance of the Services
ARTICLE 4 — PERFORMANCE OF SERVICES
4 1 Consultant shall perform and complete the Services in a prompt and diligent manner
Consultant shall complete the Services by June 30`h, 2019, unless the Services are
terminated earlier as provided for herein

4 2 If Consultant's Services include deliverable electronic visual presentation materials, such
materials shall be delivered m a form, and made available to the City, consistent with
City Council adopted policy for the same It shall be the obligation of Consultant to
obtain a copy of such policy from City staff
ARTICLE 5 — PAYMENTS TO CONSULTANT
5 1 Total compensation for Consultant's performance of the Services shall not exceed the
amount of eleven thousand eight hundred fifty dollars ($11,850) City shall pay
Consultant on a time and materials basis up to the not to exceed amount in accordance
with Exhibit "B" entitled ("Fee Schedule") attached hereto and incorporated herein by
reference
5 2 Consultant shall submit an mvoice to City descnbing the Services performed City shall
pay Consultant no later than thirty (30) days after receipt and approval by City of
Consultant's mvoice
5 3 Any notice or other communication required, or which may be given, pursuant to this
Agreement, shall be m writing Any such notice shall be deemed delivered (i) on the date
of delivery in person, (u) five (5) days after deposit in first class registered mail, with
return receipt requested, (ni) on the actual delivery date if deposited with an overnight
courier, or (iv) on the date sent by facsimile, if confirmed with a copy sent
contemporaneously by first class, certified, registered or express mail, in each case
properly posted and fully prepaid to the appropnate address set forth below, or such other
address as a Party may provide notice m accordance with this section

ARTICLE 6 — INSURANCE AND INDEMNIFICATION
6 1 The following insurance coverage required by this Agreement shall be maintained by
Consultant for the duration of its performance of the Services Consultant shall not
perform any Services unless and until the required insurance listed below is obtamed by
Consultant Consultant shall provide City with certificates of insurance and endorsements
evidencing such msurance prior to commencement of the Services Insurance policies
shall include a provision prohibiting cancellation or modification of the policy except
upon thirty (30) days pnor written notice to City
A Workers' Compensation and Employer's Liability insurance m the amount that meets
statutory requirements with an insurance carrier acceptable to City, or certification to
City that Consultant is self-insured or exempt from the workers' compensation laws

of the State of California Consultant shall execute and provide City with Exhibit "C"
entitled "Workers' Compensation Insurance Certification," which is attached hereto
and incorporated herein: by this reference prior to performance of the Services
B Comprehensive General Liability insurance with carriers acceptable to City m the
minimum amount of One Million Dollars ($1,000,000) per occurrence and Two
Million Dollars ($2,000,000) aggregate, for public liability, property damage and
personal injury is required City shall be named as an additional insured and such
insurance shall be primary and non-contrrbutmg to any insurance or self-insurance
maintained by City
C Business Auto Liability coverage, with minimum limits of One Million Dollars
($1,000,000) per occurrence, combined single limit bodily mjury liability and
property damage liability This coverage shall include all Consultant owned vehicles
used m connection with Consultant's provision of the Services, hired and non -owned
vehicles, and employee non -ownership vehicles City shall be named as an additional
insured and such insurance shall be pnmary and non-contributing to any insurance or
self-msurance maintained by City
D Consultant is expressly prohibited from assigning or subcontracting any of the
Services without the pnor written consent of City In the event of mutual agreement
by the Parties to assign or subcontract a portion of the Services, Consultant shall add
such assignee or subcontractor as an additional insured to the insurance policies
required hereby and provide City with the insurance endorsements pnor to any
Services being performed by the assignee or subcontractor
6 2 Consultant shall defend, indemnify and hold harmless City and its elected officials,
employees and agents from and against any and all claims, losses or liability, including
attorneys' fees, arising from injury or death to persons or damage to property occasioned
by any negligent act or omission by, or the willful misconduct of, Consultant, or its
officers, employees and agents m performing the Services
ARTICLE 7 — CONFLICTS OF INTEREST
7 1 Consultant covenants and represents that it does not have any investment or interest m
any real property that may be the subject of this Agreement or any other source of
income, interest in real property or investment that would be affected in any manner or
degree by the performance of Consultant's Services Consultant further covenants and
represents that in the performance of its duties hereunder, no person havmg any such
interest shall perform any Services under this Agreement
7 2 Consultant agrees it is not a designated employee within the meaning of the Political
Reform Act because Consultant
A Does not make a governmental decision whether to

(i) approve a rate, rule or regulation, or adopt or enforce a City law,
(ii) issue, deny, suspend or revoke any City permit, license, application,
certification, approval, order or similar authorization or entitlement,
(in) authonze City to enter unto, modify or renew a contract,
(iv) grant City approval to a contract that requires City approval and to which
City is a party, or to the specifications for such a contract,
(v) grant City approval to a plan, design, report, study or similar item,
(vi) adopt, or grant City approval of, policies, standards or guidelines for City
or for any subdivision thereof
B Does not serve in a staff capacity with City and m that capacity, participate in
making a governmental decision or otherwise perform the same or substantially
the same duties for City that would otherwise be performed by an individual
holdmg a position specified m City's Conflict of Interest Code under Government
Code section 87302
7 3 In the event City determines that Consultant must disclose its financial interests,
Consultant shall complete and file a Fair Political Practices Commission Form 700,
Statement of Economic Interests, with the City Clerk's office pursuant to the wntten
instructions provided by the City Clerk
ARTICLE 8 — GENERAL CONSIDERATIONS
8 1 In the event any action is commenced to enforce or interpret any of the terms or
conditions of this Agreement the prevailing Party shall, in addition to any costs and other
relief, be entitled to the recovery of its reasonable attorneys' fees, including fees for the
use of in-house counsel by a Party
8 2 Consultant shall not assign any of the Services, except with the prior written approval of
City and m strict compliance with the terms and conditions of this Agreement Any
assignment or attempted assignment without such pnor wntten consent may, in the sole
discretion of City, results m City's immediate termination of this Agreement
8 3 Consultant is for all purposes under this Agreement an independent contractor and shall
perform the Services as an independent contractor Neither City nor its agents shall have
control over the conduct of Consultant or Consultant's employees, except as herein set
forth Consultant shall supply all necessary tools and instrumentalities required to
perform the Services Assigned personnel employed by Consultant are for its account
only, and in no event shall Consultant or personnel retained by it be deemed to have been
employed by City or engaged by City for the account of, or on behalf of City Consultant
shall have no authonty, express or implied, to act on behalf of City in any capacity
whatsoever as an agent, nor shall Consultant have any authonty, express or implied, to
bind City to any obligation
8 4 This Agreement may be terminated by City, in its sole discretion, by providing not less
than five (5) days pnor wntten notice to Consultant of City's intent to terminate If this

Agreement is terminated by City, an adjustment to Consultant's compensation shall be
made, but (1) no amount shall be allowed for anticipated profit or unperformed Services,
and (2) any payment due Consultant at the time of termination may be adjusted to the
extent of any additional costs to City occasioned by any default by Consultant Upon
receipt of a termination notice, Consultant shall immediately discontinue its provision of
the Services and, within five (5) days of the date of the termination notice, deliver or
otherwise make available to City, copies (m both hard copy and electronic form, where
applicable) of project related data, design calculations, drawings, specifications, reports,
estimates, sununanes and such other information and matenals as may have been
accumulated by Consultant in performing the Services Consultant shall be compensated
on a pro -rata basis for Services completed up to the date of termination
8 5 Consultant shall maintain books, ledgers, invoices, accounts and other records and
documents evidencing costs and expenses related to the Services for a period of three (3)
years, or for any longer period required by law, from the date of final payment to
Consultant pursuant to this Agreement Such books shall be available at reasonable tunes
for examination by City at the office of Consultant
8 6 This Agreement, including the Exhibits incorporated herem by reference, represents the
entire agreement and understanding between the Parties as to the matters contained
herein, and any prior negotiations, wntten proposals or verbal agreements relating to such
matters are superseded by this Agreement Except as otherwise provided for herem, any
amendment to this Agreement shall be in writmg, approved by City and signed by City
and Consultant
8 7 This Agreement shall be governed by and construed in accordance with the laws of the
State of California
8 8 If one or more of the sentences, clauses, paragraphs or sections contained in this
Agreement is declared invand, void or unenforceable by a court of competent
jurisdiction, the same shall be deemed severable from the remainder of this Agreement
and shall not affect, impair or invalidate the remammg sentences, clauses, paragraphs or
sections contained herein, unless to do so would deprive a Party of a material benefit of
its bargain under this Agreement

SCOPE OF SERVICES
Dudek will develop a technical design and prepare final construction drawings for the Ford Park
Upper Pond Bank Repair and Native Revegetation Project The construction drawing plan set
shall include a grading plan, imgation plan, planting plan, and site unprovement plans, with
supportive cross-sections, details, legends and notes, as applicable Specifications shall be
provided m sheet format within the plan set

Dear Ms Kevari•
Dudek is pleased to submit this scope of work and cost estimate to provide restoration design services for
the Ford Park Pond Bank Repair and Native Revegetation Project This proposal includes services needed
to provide a construction document plan set, including slope bank repair (grading) irrigation planting and
site improvement plans and specifications for contractor bidding and construction of the Project. A
detailed scope of work and cost proposal are provided below
Understanding the Project
Ford Park is an approximately 27 -acre community park located in the western portion of the City of
Redlands Ford Park provides public amenities including a picnic area, dog park, tot lot, ponds and
lighted tennis courts Two ponds located within the park serve as popular assets to the community
Despite the recreational benefits these two ponds struggle to provide the natural and educational
benefits often found in similar palustrine wetlands Additionally, heavy foot traffic along the western bank
of the upper pond has caused severe erosion, threatening slope failure on the embankment separating
the upper and lower ponds
Through the support of IERCD, the City of Redlands proposes to restore eroded and receding banks,
increase the native habitat value through introduction of native palustrine vegetation to the pond edge
and riparian trees surrounding the pond, and provide for continued recreational use through the
installation of protective perimeter fencing signage and three (3) docks where visitors can experience the
natural values of these valuable City assets
Dudek proposes the following scope of work to provide landscape construction documents for the bidding
and construction of the Ford Park Upper Pond Bank Repair and Native Revegetation Project Proposed
construction documents include, a pond bank grading plan irrigation plan, planting plan and site
improvement plan, and project specifications (In plan sheet format) Plan development shall be
conducted in coordination with the City of Redlands to generate a construction document package in
accordance with the intent of the project goals and ensure consistency with project permits, as
applicable

WORKERS' COMPENSATION INSURANCE CERTIFICATION
Every employer, except the State, shall secure the payment of compensation in one or more of
the following ways
(a) By being insured against hability to pay compensation by one or more insurers
duly authorized to write compensation insurance m this State
(b) By securing from the Director of Industrial Relations, a certificate of consent to
self -insure, either as an individual employer, or as one employer in a group of
employers, which may be given upon furmshing proof satisfactory to the Director
of Industrial Relations of ability to self -insure and to pay any compensation that
may become due to his or her employees

1 am aware of the provisions of Section 3700 of the Labor Code which requires every
employer to be msured against liability for Workers' Compensation or to undertake self-

Invoices Lete Charges - All fees will be billed to Client monthly and shall be due and payable
upon receipt. Invoices are delinquent if not paid within 30 days from the date of the invoice
Client agrees to pay a monthly late change equal to 1% per month or the outstanding balance
until paid in full
Annual Increases - Unless idenehed otherwise these standard rates wil ncrease 3% annually
Family docks shall be a pre -fabricated product approved by the City with installation and
assembly per manufactures specifications
This scope of work does not include procurement of permits coordination with regulatory
agencies, or monitoring during the implementation or plant establishment period Additional
environmental services can be provided with a contract amendment
Cost for Task 1 $11,850 00
Cost Proposal
Performance of the scope of work will be billed on a time -and -materials basis not to exceed $11,850 00
in accordance with our 2019 Standard Schedule of Charges (attached) Direct costs for this scope of work
include reprographic printing of final drawings, shipping and mileage for one site visit The scope of work
described above reflects our current understanding of project requirements Amendments to the scope of
work and cost will be necessary if there are modifications to the projector the required services

Dudek will prepare a site improvement plan that sites placement of permanent perimeter fencing,
interpretive signage and family fishing docks The site improvement plan shall include details, notes and
specifications as needed for the installation of the fencing and interpretive signage. installation locations
for the family docks shall be depicted on the plans, with manufacturer's installation and assembly
specifications included in the plan set.
Dudek will prepare technical written grading, irrigation and planting specifications in plan sheet format, to
provide detailed written direction to the contractor regarding specific contract requirements, construction
materials, installation procedures, maintenance requirements and applicable standards Project
requirements or permit conditions will be referenced where appropriate
The construction plan packages will be prepared in CADD format, on a City approved 'D' Sheet title block
(if requested) at a scale no smaller than 20 -scale (1 inch = 20 feet)
The complete construction package is expected to include 10 sheets broken down into the following
drawings
• Title Sheet (1 Sheet)
• Grading Plan, Cross Section and Note Sheets (1 Sheets)
• Irrigation Plan, Legend, and Detail Sheets (3 sheet)
• Planting and Seeding Plan, Legend, and details (2 sheets)
• Technical specification in sheet format (3 sheets)
Assumptions
• This scope of work is for repair and improvements on the upper (eastern) pond A proposal for
improvements to the lower (western) pond can be provided at the City s request
• The production of construction documents will utilize base civil engineering data, including
topography and existing site information provided by the City. If a site survey, or additional field
data collection becomes necessary an amendment will be required.
• The irrigation system design assumes that an adequate irrigation point of connection (POC) from
existing water sources is available within the park and adjacent to the site
o This plan assumes that all available water sources will provide the gallons per minute
(GPM) and water pressure (pounds per square inch [PSI)) required to operate a system
suitable to support the required revegetation project
o This plan assumes a POC from a potable water source Design for a recycled water
system is not included in this scope, but can be provided with a contract amendment
a Irrigation system will tie into the existing park irrigation system and be operated by the
existing park irrigation controller
Sign graphics and content shall be provided by the City separately Location, placement and

Scope of Work
1 Upper Pond Bank Repair and Revegetation Drawings
Dudek will develop a technical design and prepare final construction drawings for the Ford Park Upper
Pond Bank Repair and Native Revegetation Project. The construction drawing plan set shall include a
grading plan, irrigation plan, planting plan, and site improvement plans, with supportive cross-sections,
details, legends and notes, as applicable Specifications shall be provided in sheet format within the plan
set The plan set shall be developed based on the 'Preliminary Pond Revegetation Concept Plan and cost
estimate generated by Dudek and submitted to the City on April 27, 2018 Drawings shall be submitted
for City review at 80%, 100%, then a final plan will be provided for contractor bidding and construction
purposes It is noted that although plans will be adequate for contractor construction, all work shall
require monitoring and field direction from a restoration specialist to ensure installation conforms to the
intent of project and takes into account existing site conditions at the time of construction
Dudek will prepare a grading plan for the repair of the pond bank and for preparation of planting areas
The grading plan will include all initial site preparation and earthwork including, temporary protection
requirements, identification of existing concrete debris within the pond margins (work area) for
excavation, topographical layout for all proposed bank repair and palustnne planting areas, and soil
preparation procedures for all planting areas (palustrine and riparian planting areas) The grading plan
will include existing and design contours depicted in lfoot intervals with proposed spot elevations
included at up to 0 25 -foot intervals, where an increased level of elevation information is required Notes
and grading cross-sections shall be included to depict specific requirements of the grading design
Dudek will prepare irrigation plans for the design of an irrigation system, including temporary above-
ground circuits to assist in establishing the palustnne (emergent vegetation) plantings, and permanent
drip circuits for riparian trees located outside the pond perimeter Temporary above ground irrigation will
consist of overhead spray heads to assist in initial development then be removed with adequate plant
establishment. Permanent underground lines and drip emitter will be left in place to sustain longterm
riparian tree development.
The irrigation system will serve as a subordinate system to the overall park irrigation system The water
supply will tie into the existing Park irrigation mainline, with operation from a programmable automatic
controller, which will coordinate operation with the Park irrigation system master controller
Irrigation plans will include a diagrammatic depiction of components, locations and equipment necessary
to adequately provide irrigation for proposed planting area Irrigation details, legends, and notes will also
be provided to direct the contractor to specific items needing written clanfication
Dudek will prepare planting plans showing specific locations for plant palettes and seed application, as
well as pre -planting site preparation requirements A container plant legend will present botanical
species, container sizes, installation spacing on center, and total quantities by species Applicable plant
installation details will be provided The plans will include a seeding legend showing botanical species,
with pounds per acre application rate, seed slurry mix for hydroseed application, and applicable pure live
seed percentages for each species Planting notes will be provided to direct the contractor to specific
items needing written clarification Specific pre -planting site preparation requirements including (but not
limited to) soil amending and temporary erosion control will be included in plan callouts and written
notes
