THIS AGREEMENT, made this lst day of January, 1955, by and
between the City of Redlands, California, a municipal corporation
organized and existing under and by virtue of the laws of the
State of California, as Party of the first Dart, and Ralph D.
Houghton, Jr., of the City of Redlands, California, as party of
the second part,
TNITNESSETH:
That WHEREAS, the public health, safety and welfare of the said
City of Redlands necessitate an adequate ambulance service for
people taken ill or injured within this City, and whereas, Ralph
D. Houghton, Jr. is conducting and carrying on a private ambulance
service, known as the Houghtonts Ambulance Service, within the
said City, and WHEREAS the said City is desirous that such services
be continued, and both of the said parties hereto are desirous of
entering into a contract the one with the other for ambulance
service for the period of one (1) year, and the said Ralph D.
Houghton absolutely agrees to maintain such ambulance service
for said one (1) year,period, on the terms and conditions herein-
after set forth,
NOW, THEREFORE, the parties hereto for the term of One (1) year,
commencing on the lst day of January, 1955 and ending on the 31st
day of December, 1955, do hereby agree as follows:
That the party of the first part in consideration of the covenants
on the part of the party of the second part herein contained, here -
hereby agrees to pay the said party of the second
part the sum of One Hundred and Thirty -Five Dollars ($135.00) per
month during the term of this agreement for furnishing a private
ambulance service within the said City of Redlands on terms and
conditions hereinafter set forth, It being expressly understood,
and agreed by party of the second part, that said party of the

second part is an independant operator and in no', way an
employee of said City of Redlands, the party of the first part,
and that the within agreement is a service contract only,
And the party of the first part further agrees with the
said party of the second part to allow and permit party of the
second part to use a combination receiving and transmitting
radio unit, owned by said City in one of his ambulances. It
being expressly understood that title to such combination re-
ceiving and transmitting radio set shall remain with the said
City, and that party of the second part is allowed only the
use thereof during term of this agreement^, Said first party
further agrees to furnish and to pay for the cost of a phone
extension from the place of business of party of the second
part to an appropriate department of said City of Redlands,
and to allow the party of the second part to purchase gas,
oil and petroleum products for his two ambulances only from
the said City of Redlands at the actual costs of the same to
the City. It being understood that such gas and oil products
are to be purchased for use within the City, in as far as can
be reasonably determined.
And the party of the second part, the said Ralph D. Houghton,
Jr., in consideration of the said covenants on the part of the
party of the first part herein contained, hereby agrees with
the said party of the first part, to maintain a private ambulance
service, consisting of a 1949 Packard Ambulance and a 1953 Pontiac
Ambulance, with two complete ambulance crews, and in particular
will render a twenty-four (24) hour daily ambulance service
within the said City at all times, excepting emergencies or a
disaster. And said party of the second part further agrees to
give priority to ambulance calls within the said City for
accident cases and to ambulance calls from the Police Department
of said City, excepting in the event of emergency runs or
disaster rendering such priority impossible to fulfill.

The said two ambulances are to be considered as Leased to the
City of Redlands, for the within one year period, and the City of
Redlands is to insure the said two vehicles under its existing "fleet
insr-aance policy" and the coverage to be provided thereon is automobile
bodily injury and property damage, fire and theft, and $250.00
deductible collision insurance. The second party agrees to reimburse
the city for its actual cost of said insurance coverage*
The party of the second part agrees to carry adequate
work man's compensation for all of his employees.
The party of the second part also agrees that he will keep
and maintain the two ambulances in said private ambulance service
in good condition and repair at all times at his own cost and
expenses, and not at the expense of the party of the first part,
and that he, the said Ralph D. Houghton, Jr., has filed a fee
schedule with the said City of Redlands, and agrees not to increase
the fees to be charged without first obtaining the prior consent of the
said City, the party of the first part. Further that said party
of the second part will file his annual financial and operation
statement with the said City of Redlands, and will allow his books
and accounts to be open for audit by the said City.
And it is mutually agreed and understood, and expressly
agreed by the said party of the second part, the said Ralph D.
Houghton, Jr., that he is at all times an independent operator, and
entere into this contract as an independent business man, and
that both he and his employees are not employees of the said City
of Redlands, nor is he or his employees entitled to any of the
benefits of employees of the said City of Redlands. That the
said party of the second part shall collect directly for his
services from the persons receiving such ambulance service and
that he will hot be reimbursed from party of the first part for
his services to indigent and destitute persons, or persons, nor for
any calls or demands for service originating from the Police Department
and/or the City of Redlands.
And the said party of the second part, the said Ralph D.
Houghton, Jr., afrees faithfullytOperform under this within
Contract for the full and complete term thereof.
IN WITNESS WHEREOF, the City of Redlands, said party
of the first part, has caused this Contract to be executed
and its corporate seal to be affixed hereto by its undersigned
officials thereunto duly authorized and said Ralph D. Houghton,
Jr., said party of the second part, has executed this agreement
the day and year first above written.

howeverp that said City reserves the right to reject any and all such bills at
its sole discretion.
IN WITNESS MUM., the City of Redlands has caused its aarporate
name to be sukwribed by the Eyor and M City Clerk and has caused its
corporate sea! to be attached as First Partyo and the said Ralph D. Houghton.,
Jr., has hereunto placed iris haiid and seal, as Second Party.
