on January 13, 1956, and again in the audit report for the fiscal
year ending June 30, 1956p the independent auditors of the City of
P,edlands recommended that "the general city accounting, in our opin-
ion, should be maintained in one department", for the following
re sons
2. "Centralized Finance Department be created and authorized by
ordinance as a finance divisioa of the City,, with a Finanec
Director responsible for all accounting and finance reporting;
also for the preparation of all payrolls,, warrant st financial
reports and stationery and such other duties as would be assigned."
4, The mechanization Of the centralized collections department by the
procurement of an adequate cash register not later than April, 1957.

AGREEMENT
THIS AGREEMENT, entered into as hereinafter set forth
between the CITY of REDLANDS, a municipal corporation, hereinafter
called "City" , and MINER B. PHILLIPPS, an individual doing business
under the firm name and style of MINER B. PHILLIPPS and ASSOCIATES,
hereinafter called "Contractor, rE
WITNESSETH:
That for and in consideration of the terms, covenants, and
agreements hereinafter set forth, the parties hereto mutually agree
as follows, to -wit:
I. OBLIGATIONS OF CONTRACTOR
1. Contractor agrees to make a survey of the administrative
and fiscal procedures of the City in order to provide a more complete and
modern accounting system applicable to the City; and to make a report
thereon, including such recommendations as are necessary to accomplish
this purpose.
2. Contractor shall install such recommended procedures
and shall supervise their operation for a sufficient period of time to insure
the satisfactory operation of such accounting system and to provide a
reasonable time for the indoctrination and orientation of the personnel
assigned to the carrying out of the revised accounting procedures.
3. Contractor shall start said survey promptly after the
execution of this agreement, and shall proceed as rapidly as is consistent
with sound and careful analysis and study of the fiscal requirements and
the introduction of the revised system.
4. The said system shall be based upon nationally accepted
and professionally recognized modern accounting standards and principles
for governmental accounting, in accordance with the principles established
by the National Committee on Governmental Accounting, and more particu-
larly as the same relate to modern, municipal accounting. Said system
shall be as simple as practicable but complete enough to accomplish the
necessary objectives of good financial budgeting and control, accounting,
and reporting in the City.
11. OBLIGATIONS OF THE CITY
I. For the services to be performed by the Contractor
hereunder, the City agrees to pay the Contractor as follows:
A. The surn of Two Thousand Five Hundred Dollars
($2, 500) upon completion of said survey and upon the filing of the
report thereof;

B. The suns of One Thousand Five Hundred Dollars
($1, 500) upon completion of Contractor's work of supervising the
installation of recommended and approved revisions and improve-
ments of the fiscal procedures but not later than six months after
the acceptance of the report by the City, provided that the Contractor
shall have fully performed his obligations hereunder. It is contetr_-
plated that said supervision of the installation will require from four
to six months following acceptance of the Survey Report by the City.
C. Actual traveling expenses not to exceed in total
the sum of One Thousand Dollars ($1, 000). Such travling expenses
shall be paid upon presentation of Contractor's bill therefor at the
conclusion of each trip from his place of business.
2. The City shall provide the cooperation and assistance of all
of its officers and employees in the conduct of the survey and in the instal-
lation of said changes.
3. The City shall purchase and provide, at its own expense and
through regular purchasing channels, all forms, equipment, and clerical
work required by the Contractor for the installation of such changes and
improvements.
III. LEGAL RELATIONSHIP
Nothing herein shall be deemed to make either party the

agent or employee of the other, and each shall be as to the other an
independent contractor.
