PROGRAM AGREEMENT BY AND BETWEEN OMNITRANS AND CITY OF
REDLANDS
This first amendment ("First Amendment") to the agreement foi the City of Redlands
Passenger Amenity Program dated May 1, 2018 ("Agreement") by and between the City of
Redlands, a municipal corporation ("City") and Omnitrans ("Omnitrans"), is made and entered
into this 7th day of May, 2019
RECITALS
WHEREAS, Omnitrans has adopted an Ormutrans System Commercial Advertising Polley
and Content Guidelines, effective January 1, 2019 (the "Advertising Policy"), and
WHEREAS, the Advertising Policy is applicable to the Agreement, and governs the
advertising that may be installed on the Amenities (as that term is defined in the Agreement), and
WHEREAS, Omnitrans and City now desire to amend the Agreement to Section 3 1 11,
Advertising Content, and to incorporate, by reference, the Advertising Policy in place of the
content guidelines in the Agreement,
NOW THEREFORE, City and Ommtrans hereby agree as follows
AGREEMENT
Section! Article 3, Sub -Section 3 1 11 of the Agreement, entitled "Advertising Content,"
is hereby amended to read as follows
"3 1 11 Advertising Content. All advertisements installed on the Amenities
will comply with the Omnitrans Advertising Policy and Content Guidelines, as may be
updated from time to time ("Advertising Policy"), and of which a copy has been
provided to City and is available on file with Omnitrans or online at
http /!www omnitrans org/about/pdf/Omnitrans_System_Advertising_Policy pdf "
Section 2 All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect
IN WITNESS WHEREOF, the parties have executed this First Amendment, to be effective
as of May 7, 2019
