BETWEEN
THE REDLANDS COMMUNITY HOSPITAL
AND
THE CITY OF REDLANDS
FOR
CERTAIN BUILDING INSPECTION SERVICES
This agreement, made this 15t- day of aiEq_1983, by
and between the Redlands Community Hospital, 350 Terracina,
Redlands, CA, and the City of Redlands, 30 Cajon Street,
Redlands, CA, shall provide for plan review service and the
inspection of the electrical , plumbing, and mechanical in-
stallation for the addition and remodel project designed by
Rochlin and Baran Architects (their project No. 8052) .
The charges for the plan review and inspection service shall
be on a time-charge basis as accrued by the engineering firm
Metcalf and Eddy who will be contracted by the City
specifically to perform the necessary plan reviews and in-
spection services . The Redlands Community Hospital hereby
agrees to compensate the City for any and all fees , charges,
and expenses charged to the City which are related to the
plans review and inspection services for this project.
Further, the Redlands Community Hospital hereby agrees to
cooperate with the City in accepting the conditions contained
in the Agreement between the City of Redlands and Metcalf
Engineers which is attached to this document for reference.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement the day and year first above written.

PROFESSIONAL SERVICES
THIS AGREEMENT, made this 1 day of December 1983 , by
and between the City of Redlands, 30 Cajon, Redlands, California
92373 , hereinafter called City, and Metcalf & Eddy, Inc. , with
offices at 290 North D Street, Suite 401, San Bernardino,
California 92401, hereinafter called Engineer ,
WITNESSETH, for the considerations hereinafter set forth,
the parties hereto agree as follows:
ARTICLE 1 - ENGAGEMENT OF THE ENGINEER
The City hereby engages the Engineer and the Engineer hereby
accepts the engagement to perform certain engineering services in
connection with resident inspection and plan review for the
Redlands Community Hospital, hereinafter called the Project.
ARTICLE 2 - SERVICES OF THE ENGINEER
2.1 The Engineer will perform professional services in
connection with the Project as defined in Attachment A,
Scope of Work.
2. 2 The Engineer will serve as the City' s professional
engineering representative in those phases of the Project to
which this Agreement applies and will consult with and
advise the City during the performance of his services.
ARTICLE 3 - RESPONSIBILITIES OF THE CITY
3.1 Place at the disposal of the Engineer all available
information pertinent to the Project upon which the Engineer
can rely, including previous reports and any other data
relative to the Project.
3. 2 Provide access to and make all provisions for the Engineer
to enter upon public and private lands as required for the
Engineer to perform his work under this Agreement.
3 . 3 Designate in writing a person to act as the City' s
representative with respect to the work to be performed
under this Agreement, such person to have complete authority
to transmit instructions, receive information, interpret and
define the City' s policies and decisions with respect to
materials, equipment, elements and systems pertinent to the
work covered by this Agreement.
3.4 Provide a minimum notice of 48 hours for services of part
time inspection.
ARTICLE 4 - PERIOD OF SERVICE
4 .1 The Engineer shall proceed with the services under this
Agreement promptly and will prosecute them diligently.
4 . 2 The Enaineer. shall not be responsible for any delays in the
performance of his services hereunder caused by strikes,
action of the elements, acts of any government, civil
disturbances, delays of the City in supplying information
and in approving material submitted by the Engineer , or any
other cause beyond his reasonable control, or for the
expenses or other direct or indirect costs or consequences
arising from such delays.
ARTICLE 5 - PAYMENTS TO THE ENGINEER
5.1 For the services performed under Article 2, the City will
pay the Engineer on a time-charge plus expense basis,
monthly as charges accrue, the sum of the following:
5.1.1 Direct salary times a multiplier of 2. 46 for field
inspection, and 2.91 for office plan review.
5.1. 2 Nonsalary expenses at cost.
5.2 Salary is defined as direct salary and wages paid to
personnel for time chargeable to the Project.
5. 3 . Nonsalary expenses include such typical expenses as cost of:
transportation and subsistence; toll telephone calls and
telegraph; printing and reproduction; computer time and
programming costs; identifiable supplies, outside consultant
charges; subcontracts for services such as surveys,
subsurface investigations, and testing by commercial
laboratories, and charges by reviewing authorities.
5 .4 A maximum of $150 , 000 will not be exceeded without City' s
prior approval. It is estimated that approximately 267
mandays of part time resident inspection can be provided
within that sum.
ARTICLE 6 - LITIGATION AND ADDITIONAL WORK
In the event the Engineer is to prepare for or appear in any
litigation in behalf of the City or is to make investigations or
reports on matters not covered by this Agreement, or is to
perform additional work due to changes in codes or regulations
issued by any regulatory agency after execution of this
Agreement, or is to perform other services not included herein,
additional compensation shall be paid the Engineer as is mutually
agreed upon.
ARTICLE 7 - GENERAL PROVISIONS
7 .1 The Engineer shall maintain such insurance as will protect
him from claims under the Workmens Compensation Act and from
claims for bodily injury, death, or property damage which
may arise from the performance of his services under this
Agreement.
7 .2 The Engineer shall maintain professional liability insurance
for protection against claims arising out of the performance
of services under this Agreement caused by errors, omissions
or negligent acts for which the Engineer is legally liable.
7 . 3 Both parties to this Agreement hereby agree mutually to
waiver any rights which- each may have against the other with
respect to subrogation under any policy of insurance
relating to the services or work provided under this
Agreement.

ATTACHMENT A
SCOPE OF WORK
I. General
Provide Resident Inspection and Design Review of the mechanical,
heating and ventilating, air conditioning, plumbing, and
electrical work on the Redlands Community Hospital. Design re-
view is to verify compliance with applicable provisions of the
National Electric Code, 1978 edition, and the Uniform Plumbing
Code, Uniform Mechanical Code, 1979 editions . Our inspection
services would not include the medical gas facilities.
Item I
Review work that has already been completed and visible for
inspection and develop a program for the inspection of the future
work in conjunction with the present staff on the project.
Item II
The Engineer agrees to provide the City part time mechanical and
electrical resident inspection services* , when requested and
directed by the City ' s authorized representative, required in
connection with the actual construction of the project to insure
that the completed plumbing, mechanical, and electrical con-
struction conforms in all respects to the plans, specifications ,
and requirements of the contract and to good construction
practice. The Engineer agrees that he will endeavor to safe-
guard the City against defects and deficiencies in the work and
that he will use reasonable care and reasonable powers of
observation and detection in determining that the work conforms
to the construction contract documents.
Nothing in this article or this agreement shall create or give
third parties any claim or right of action against the Engineer
or the City beyond such as may legally exist irrespective of
this article or agreement.
Item III
Review the existing plumbing, mechanical, and electrical design
work.
The words "resident ins-oection" used herein are understood to
mean those duties normally performed by a City-employed Resident
Representative, which duties specifically do not include the
choice of construction labor, materials in temporary structures,
tools, safety procedures , plant and construction equipment, or
the method and time of their use.
