agreement covering "Leased Labor" services, otherwise
known as "Payrolling".

Between City of Redlands, a Corporation, whose address is
City Hall, Redlands, California, (referred to as "you")
and
MANPOWER INC. OF SAN BERNARDINO, a Corporation, whose
address is 182 S. Mt. Vernon Avenue, San Bernardino, California,
referred to as "we".
We agree to perform the following Leased Labor, or Payrolling Service:
DESCRIPTION OF SERVICE: One or more persons to perform duties equivalent
to your job classification "Assistant Civil Engineer".
We agree to hire the person(s) who have been selected by you, subject to
your supplying necessary background information on, each person selected
and our individual approval of each person so selected.
In fact, each individual will beoome a Manpower employee, and we will
make the appropriate payments and deductions for Social Security, Workmen's
Compensation, Unemployment Insurance, Liability Insurance and Fidelity Bond.
(.A certificate of insurance may be supplied) Therefore, all claims arising
from one of the aforementioned items will be processed through Manpower Inc.
If we assume the activity of recruiting, supervising, testing or assignment
of employees, this agreement will be set aside and standard rates will
apply.
GENERAL DESCRIPTION OF JOB ASSIGNMENT: Corresponding to your description
of the work of an Assistant Civil Engineer.
DURATION OF AGREEMENT: Indefinite.
JOB SITE OR AREAS INVOLVED: City Hall, Redlands, California, and project
sites as directed.
COMPENSATION FORMULA: Base rate plus 20% mark on.

Any additional payments, such as refmbursible travel expenses will be
billed to you at cost.
ADDITIONAL COMPENSATION FACTORS: Base pay may be adjusted for non -compensated
time off or overtime on the hourly rate equivalent. Authorized overtime
will be paid and billed at one and one half times the hourly rate. It is
understood that overtime must be specifically authorized before payment.
TRAVEL TIME AND ALLOWANCES: For the purpose of this agreement , such
allowances are an exception and will be considered only as specifically
authorized by you.
BILLING AND TE1W : Invoices will be rendered monthly, as of the last day of
each month, covering the month just expired. Invoices are due on presenta-
tion and delinquent ten days thereafter.
OTHER COMMENTS: The application of candidate employees shall be made on
Manpower Inc. form BF22C along with IRS form W4. Time records are to be
maintained on Manpower time slips ACC51, or suitable facsimile.
It is understood that in the event either party wishes to discontinue this
program, an advance notice in writing of one day must be given each respective
party.
You will issue a purchase order to cover provision of these services.
It is understood and agreed upon acceptance by you that all of the terms and
conditions of this agreement shall represent the agreement between us.
