HomeMy WebLinkAboutContracts & Agreements_19-87_CCv0001.pdf CITY OF REDLANDS AGREEMENT FOR ARCHITECTURAL SERVICES This Agreement is made this day of V 198L-1 by and between the CITY OF PED NDS, hereinafter called "CITY" and ABEL GREEN & ASSOCIATES, INC. , hereinafter called "ENGINEER" . R E C I T A L S A. Engineer is an engineering firm whose principal members are experienced in seismic strengthening and the restoration of historical buildings and sites. B. City desires to strengthen the A.K. Smiley Library and desires to engage Engineer to provide field observation of construction for the strengthening of the A. K. Smiley Library; C. Engineer desires to render the services set forth in Recital B; NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS: 1. fkxyd-Q-es to- hk Performed. City hereby engages Engineer, and Engineer hereby accepts such engagement, to perform the construction period services in the scope of work attached hereto as Exhibit A and made a part hereof. Engineer represents and warrants that it has the qualifications, experience and facilities to properly perform said services. In the event of any conflict between the proposal and this Agreement, the provisions of this Agreement shall prevail. During the course of construction by the Construction 1 Contractor, the Engineer shall provide supervision of said construction by visits by a engineer of the Engineer at least once weekly for the first month during construction, decreasing thereafter. The Engineer shall review and approve, provided prior approval of the City Manager has first been obtained, all use of alternate or substitute equipment or materials and methods suggested by the Contractor. The Engineer shall not authorize any change in design or structure of said improvements other than minor and necessary changes necessary to expedite the completion of said work, without the approval of the City. Engineer shall prepare and submit proposed construction contract change orders when applicable at no additional charge to the City. The City understands that this is a rehabilitation project and there may be unknown conditions requiring changes in the work. The Engineer agrees to use reasonable diligence to protect the City against any defects and any deficiencies in the work of the Construction Contractor. The Engineer, however, does not guarantee the performance of any contract by said Construction Contractor. 2. schedule of P_eLfoLmgn_q . Engineer's services hereunder shall be completed in accordance with the following schedule: Once weekly visits for the first month of construction, decreasing thereafter, for a total of ten visits. 2 3. All work shall be performed to meet or exceed applicable State of California and City of Redlands design and architectural standards and all Federal, State and local standards regarding air or water pollution. 4. Compensati n. City agrees to pay Engineer as compensation for the services to be rendered in accordance with the scope of work a fee not to exceed FIVE THOUSAND DOLLARS ($5000.00) based upon Engineer 's hourly rates set forth in Exhibit A. 5. -Qhie D-Ldgig, Engineer shall not perform any work under this contract deviating from the work originally agreed to be performed by the Engineer, which involves any extra cost to the City, except upon a written change order executed by the City Manager of City or his designee. 6. Indemnity: Insurance. Engineer agrees to fully protect, indemnify and hold harmless City from and defend against, any and all loss, claim, cost, damage, injury, demand, liability, liens, or cause of action of any kind or nature whatsoever arising in any manner out of the performance by Engineer of its services hereunder. In addition, Engineer shall procure, and maintain in full force and effect during the entire period of its services hereunder general liability insurance covering personal injuries and property damage in a combined single limit of $500,000.00 and public liability insurance on all automobiles used by Engineer or its employees in performing the 3 services hereunder in amounts not less than $100,000.00 for injury or death to any one person, and $300,000.00 for each occurrence, and in the amount of not less than $25,000.00 for damage to property. Said policy shall be in a form satisfactory to the City and shall not be *cancelable without 30 days ' advance notice to the City. 7. -T-e-r-FJi-n—a-t_ioD, The City may terminate this Contract at any time for cause, convenience, or any other reason and may suspend or abandon the execution of all or any part of the work by written notice to Engineer. Such termination, suspension or abandonment shall be effective as of the date stated in said written notice. Engineer may terminate this Contract upon default hereunder by the City, or upon an unreasonable delay of Engineer 's services hereunder caused by the City. Said termination by Engineer shall be *effectuate by service upon the City Manager of the City by written notice and effective as of the date stated in said written notice. In the event of termination, Engineer shall prepare a written summary of progress to date in a form usable by he city or any subsequent Engineer employed by City, and the City shall pay Engineer for all services rendered prior to the effective date of termination, and such payment shall be in full satisfaction of all services rendered hereunder. 9. _EXtept of AgXgement. This Agreement represents 4 the entire and integrated agreement between City and Engineer and supersedes all prier negotiations, representations or agreements, either oral or written. This Agreement way be amended only by written instrument signed by both City and Engineer. IN WITNESS THEREOF, the parties have executed this contract as of the date first written above. "Engineer" BY v TITLE CITY OF REDLANDS "CITY" BY97-7 Y PRO TEM ATTEST: CITY RK EXHIBIT A FEES FOR ENGINEERS SERVICES Hourly rate for services: Principal Engineer $70.00 Jr. Staff Engineer 30.00 Preservation Designer 50.00 Word Processing Operator 30.00 Clerk 17 .50 EXHIBIT B ENGINEERS SERVICES The Engineer shall assist the City as required in the following services: A. Job Meetings - Engineer shall conduct a pre-construction meeting with the Contractor. Engineer shall conduct a job meeting at least bi-weekly at the job site with the contractor and City representatives. B. Final Inspection - Engineer will conduct a final inspection of the work with the contractor and City representative. Inspection does not mean continuous observation of the contractors work but only the finished quality, appearance and materials. C. Vendor Submittals - Engineer will review and make recommendation to the City, contractor submittals. D. Requests for Payment - Engineer will review and recommend for action for the City, Contractor requests for payment. E. Change Orders - Engineer will coordinate, review and make recommendations to the City for Change Orders to the Contractor. The City understands that this is a rehabilitation project and there may be unknown conditions when the walls or roof are opened up for construction.
