HomeMy WebLinkAboutContracts & Agreements_13-1983_CCv0001.pdf S65-029 . 007 A G R E E M E N T THIS AGREEMENT, made and entered into this 5th day of - April , 1983, by and between the CITY OF REDLANDS, A MUNICIPAL CORPORATION, hereinafter referred to as the "CITY" , and NESTE, BRUDIN & STONE INCORPORATED, duly licensed Civil Engineers-Planners of San Bernardino, California, hereinafter called the "Engineers" . WITNESSETH: WHEREAS, said City proposes the expansion of its Municipal Corporation Yard; and WHEREAS said City desires to engage the Engineers to perform certain Engineering and Planning Services pertinent to the above project; NOW THEREFORE, in consideration of the premises and mutual benefits which will accrue to the parties hereto in carrying out the terms of this Agreement, it is mutually understood and agreed as follows: SCOPE OF WORK PHASE I PLANNING The Engineers agree to furnish Professional Services to ensure the successful completion of the Planning phase of the project. The Planning phase is set forth as three distinct, interrelated tasks: IA Analysis Research and Preparation of Summary Report Reviews by City IB Synthesis Preparation of Schematic Site Plan Alternatives and Preliminary Cost Estimates Reviews by City IC Refinement Preparation of Final Site Plan, Exhibits and Project Cost Estimate Reviews by City PHASE II Preparation of Engineering and Architectural Plans , Specifications and Contract Documents for the purpose of the City of Redlands obtaining Construction Bids of the Project. Construction Management Services including Construction Surveys, Construction inspection, Coordination between City and Contractor, Partial Pay Request, Preparation and Reviews. ADDITIONAL SERVICES Engineer agrees to furnish necessary field surveys, profiles, topography for Phases I and II of the project as requested by the City. TIME OF PERFORMANCE Phase I - Engineer will complete the task assignment listed in the Scope of Work within the time allowances listed below: See 1A - Analysis 4 Weeks See IB - Svnthesis 8 Weeks See IC - Refinement 4 Weeks Review time by the City is excluded for the above times. Phase I! - Time of performance cannot accurately be determined until completion of Phase I. estimate of Time of Performance would be approximately 4 to 6 months. IN CONSIDERATION of the above agreements, it is mutually agreed that the -following payments shall be made in the following manner: ETEC DEER' S FEE The -fee due the Engineer for the work described herein shall be estimated as herein set forth in this section. The fees for performing Phase I cannot be precisely determined and said work shall be per-formed on an hourly basis in accordance with the Schedule of Hourly Billing Rates, per Exhibit "A" attached, including the actual cost of reimbursable expenses. An estimate of the costs per task is provided as follows: 1A Analysis $ 4 , 500. 00 1B Synthesis $ 5, 500 . 00 1C Refinement $ 4 , 500. 00 Total Estimated Fee $14, 500. 00 Phase II The extent and scope of work to be completed under this phase cannot accurately be determined until the completion of Phase I and therefore an estimate of Engineer' s 'Lees is not provided at this time. METHOD OF PAYMENT The City shall pay the Engineer the fee as set forth in the Fee Section in the -following manner: 1 . Payments shall be made monthly for the services performed and billed. 2. The City will pay the Engineers for additional services, when authorized in writing by the City, as performed by personnel assigned to the regularly established office of the Engineers at the prevailing hourly billing rates per Exhibit "A" attached hereto, plus the actual cost of reimbursable expenses. CANCELLATION OR SUSPENSION OF CONTRACT The City shall have the right to cancel or suspend the Contract by giving the Engineers fifteen (15) days written notice to that effect. If such cancellation or suspension shall take effect during the performance of an uncompleted phase, the Engineers shall be paid the reasonable value of the work accomplished. CHECKING AND PERMIT FEE The Engineers shall not be required to pay any plan checking fees or permit fees required to obtain permits for the construction of the project. DRAWINGS, SPECIFICATIONS, OWNERSHIP AND REPRODUCTION The Engineers shall deliver to the City a reproducable mylar set of working drawings, details, computations and specifications which shall become the property of the City. Drawings, details and computations shall be presented in such form as requested by the City. The drawings, calculations and specifications as defined above shall become the property of the City upon delivery to the City. In the event of re- turn of the drawings , calculations or specifications to the Engineer or his representative, he shall be responsible for their safe return.
