HomeMy WebLinkAboutContracts & Agreements_22-1968THIS AGREEMSHT made this IS day of 1963 by and between S0=_.!SRN PACIFIC COMPANY, a corporation of the State of Delaware, herein termed "Railroad", and C-ITY OF REDLANDS, a muni- cipal corporation of the State of C-alifornia, herein terried "C'ity"; T?TZ(-T'PAT q - The parties hereto desire to evidence by this instru- ment their agreements with respect to the itmprovement of protective devices at the crossing of Orange Avenue over the tracks and property of Railroad at or near Redlands, in the County of San Bernardino, State of California (Crossing No. BP-547.83). AGRESMENT: Na,12 THEREFORE, it is mutually agreed as follows: 1. Railroad shall furnish all necessary labor, materials, tools and equipment to install and shall install two (2) flashing light grade crossing signals equipped with automatic gate arms together with necessary actuating and operating circuits and adequate instru- ment housing, hereinafter collectively referred to as "signals" at said crossing. Said signals shall be located approximately as indi- cated in red on the print of Railroad's Los Angeles Division Drawing No. A-8004, Sheet No. 1, dated October 11, 1966, attached and made a part hereof. Installation of and all materials for said signals shall be in accordance with Railroadts usual standards. Such instal- lation shall include the removal of the existing crossing signs. 2. City agrees to reimburse Railroad for fifty per cent (50ci) of all cost and expense incurred by Railroad in connecli-lion with the furnishing and installation of said signals and removal of the I e%-sting crossing signs. Railroad shall submit to City a bill for eighty per cent (80',�) of its share of the estimated cost upon completion of the work contemplated, which bill City agrees to promptly pay. Should the actual cost prove, upon completion o.2" audit, to be more or less than such estimated cost, the difference shall be promptly paid by city or refunded by Railroad, as the case may be. 4. After installation of said signals has been completed, Rail- road shall maintain same so long as they remain in place. Cost of maintaining said signals shall be borne and paid for by the parties hereto in accordance with Sections 1202.2 and 1231.1 of the Malifornia '�ubl.i.c Utilities rode. The liability of the City of Redlands to pay said maintenance shall be limiter: to that amount appropriated by the State Legislature pursuant to Section 1231.1. The precise manner and method of determining applicable charges, manner and method of payment and other procedures under said Sections shall be governed by any applicable decisions of the California Public Utilities Commission. 7. The work to be performed by Railroad hereunder shall be undertaken as soon as labor and materials are available following execution of this instrument and the issuance by the California ablic Utilities Commission of an order or resolution approving the apportionment of the cost of maintaining said signals and shall be completed within one (1) year thereafter. b. This agreement shall be binding upon and inure to the benefit of the successors and assigns of Railroad .and the assigns of City.
