SUPPLY WELLS a This Agreement is made and entered into this 7th day of October, 1997 by and between the City of Redlands, a municipal corporation (hereinafter "City") and Richard C. Slade & Associates. (hereinafter"Hydrogeologist"). In consideration of the mutual promises, covenants and conditions hereinafter set forth, City and Hydro-Geologist hereby agree as follows: ARTICLE 1 - ENGAGEMENT OF HYDROGEOLOGIST 1.1 City hereby engages Hydrogeologist, and Hydrogeologist hereby accepts the engagement, to perform professional Hydrogeologist services ("Services") for the Municipal Nater Supply Wells (the "Project"). 1.2 The Services shall be performed by Hydrogeologist in a professional manner, and Hydrogeologist represents that it has the skill and the professional expertise necessary to provide high quality Services for the Project at the level of competency presently maintained by other practicing professional Hydrogeologists in the industry providing similar types of services. ARTICLE 2 - SERVICES OF HYDROGEOLOGIST 2.1 The specific Services which Hydrogeologist shall perform are more particularly described in Attachment "A," entitled "Scope of Work," which is attached hereto and incorporated herein by this reference. ARTICLE 3 - RESPONSIBILITIES OF CITY 3.1 City shall make available to Hydrogeologist information in its possession that is pertinent to the performance of Hydrogeologist's Services. 3.2 City will provide access to and make provisions for Hydrogeologist to enter upon City- owned property as required by Hydrogeologist to perform the Services. 3.3 City designates Tom Fujiwara, Project Manager to act as its representative with respect to the Services to be performed under this Agreement. 1 MUNICIPAL WATER SUPPLY WELLS Richard C. Slade& Associates October 7, 1997 ARTICLE 4 - PERIUD QF SERVICE 4.1 Hydrogeologist shall perform the Services in a diligent manner and in accordance with the schedule set forth in Attachment B. ARTICLE 5 - PAYMENTS T(Q THE HYDRQGEOLQGIST 5.1 The total compensation for Hydrogeologist's performance of the Services shall not exceed $66,648 in accordance with Attachment C - Project Fee. City shall pay Hydrogeologist on a time and materials basis at the hourly rates shown in Attachment D - Rate Schedule. 5.2 Hydrogeologist shall bill City within ten days following the close of each month by submitting an invoice indicating the Services performed, who performed the Services, indirect costs, and the detailed cost of all Services including backup documentation. Payments by City to Hydrogeologist shall be made within 30 days after receipt and approval of Hydrogeologist's invoice, by warrant payable to Hydrogeologist. 5.3 All contractual notices, bills and payments shall be made in writing and may be given by personal delivery or by mail. In all other instances, notices, bill and payments shall be deemed given at the time of actual delivery. Changes may be made in the names and addresses of the person to whom notices, bills, and payments are to be given by giving notice pursuant to this paragraph. 2 MUNICIPAL WATER SUPPLY WELLS Richard C. Slade &Associates October 7, 1997 RI TICLE 6 - INSURANCE ANIS INDENINIFICATIQN 6.1 Hydrogeologist shall maintain worker's compensation insurance and, in addition, shall maintain insurance to protect City from claims for damage due to bodily injury, personal injury and death, and claims for injury to or destruction of tangible property while performing the Services required by this Agreement. Said public liability and property damage insurance shall be on an"occurrence"basis in a minimum combined single limit of $1,000,000,and$3,000,000 in the aggregate. Hydrogeologist shall maintain comprehensive automobile liability insurance with a combined single limit of$1,000,000 for bodily injury and property damage. Hydrogeologist shall maintain professional liability insurance in the aggregate amount of$1,000,000 with a minimum of$500,000 per claim. City shall be named as an additional insured under all policies for public liability, property damage and comprehensive automobile liability, and such insurance shall be primary with respect to City and non-contributing to any insurance or self-insurance maintained by the City. Hydrogeologist shall provide City with certificates of insurance evidencing such insurance coverage prior to commencing the Services. 6.2 Hydrogeologist shall indemnify, hold harmless and defend City and its elected officials, officers, agents and employees from and against all claims, loss, damage, charges or expense, to which it or any of them may be put or subjected to the extent that they arise out of or result from, or are caused by any willful or negligent act or actions, omission or failure to act on the part of the Hydrogeologist, its contractors, its suppliers, anyone directly or indirectly employed by any of them or anyone for whose acts or omissions any of them maybe liable in the performance of the Services required by this Agreement. ARTICLE 7 GENERAL CQNSIDERATIQN 7.1 In the event any action is commenced to enforce or interpret any of the terms or conditions of this Agreement the prevailing party shall, in addition to any costs and other relief, be entitled to the recovery of its reasonable attorneys' fees. 7.2 Hydrogeologist shall not assign any of the Services required by this Agreement, except with the prior written approval of City and in strict compliance with the terms, provisions d conditions of this Agreement. - ____-- MUNICIPAL WATER SUPPLY WELLS Richard C. Slade &Associates October 7, 1997 7.3 Hydrogeologist's key personnel for the Project are: Principal in Charge: Richard C. Slade Project Hydrogeologist: Earl LaPensee Hydrogeologist agrees that the key personnel shall be made available and assigned to the Project, and that they shall not be replaced without concurrence from City. 7.4 All documents, records, drawings, designs, casts estimates, electronic data files and databases and ether Project documents developed by the Hydrogeologist pursuant to this Agreement shall become the property of City and shall be delivered to City upon completion of the Services or upon the request of City. Any reuse of such documents for other projects and any use of incomplete documents will be at City's sole risk. 7.5 Hydrogeologist is for all purposes an independent contractor. All personnel employed by Hydrogeologist are for its account only, and in no event shall Hydrogeologist or any personnel retained by it be deemed to have been employed by City or engaged by City for the account of or on behalf of City. 7.6 Unless earlier terminated, as provided for below, this Agreement shall terminate upon completion and acceptance by City of the Services. 7.7 This Agreement may be terminated by either party, without cause, by providing thirty (30) days prior written notice to the other (delivered by certified mail, return receipt requested) of intent to terminate. 7.8 If this Agreement is terminated by City, an adjustment to Hydrogeologist"s compensation shall be made, but (1) no amount shall be allowed for anticipated profit or unperformed services, and (2) any payment due Hydrogeologist at the time of termination may be adjusted to the extent of any additional costs to City occasioned by any default by Hydrogeologist. 7.9 Upon receipt of a termination notice, Hydrogeologist shall (1) promptly discontinue all services affected, and ( ) deliver or otherwise make available to City, copies (in both hard copy and electronic form, where applicable), of any data, design calculations, drawings, specifications, reports, estimates, summaries and such other information and materials as may have been accumulated by Hydrogeologist in performing the Services required by this Agreement. 4 MUNICIPAL WATER SUPPLY WELLS Richard C. Slade & Associates October 7. 1997 7.10 Hydrogeologist shall maintain books and accounts of all Project related payroll costs and all expenses. Such books shall be available at all reasonable times for examination by the City at the office of Hydrogeologist. 7.11 This Agreement, including the attachments incorporated herein by reference, represents the entire agreement and understanding between the parties and any prior negotiations, proposals or oral agreements are superseded by this Agreement. Any amendment to this Agreement shall be in writing, approved by the City Council of City and signed by City and Hydrogeologist. 7.12 This Agreement shall be governed by and construed in accordance with the laws of the State of California. Very truly RECOMMENDED SCOPE OF WORK CITY OF REDLANDS MUNICIPAL-SUPPLY WELL. DEVELOPMENT PROJECT INTRODUCTION This recommended scope of work (SOW) outlines our specific methods and approaches for providing the City of Redlands with the services necessary for siting, de- signing, specifying, and monitoring the construction of two new municipal-supply water production wells. The general locations for the new wells include: along the Santa Ana River west of the Airport Well; and in the San Timoteo Canyon area. To meet the goals of the project, we have developed our SOW into four Phases, which are described in detail in the following paragraphs. Phase 1 — Well Site Feasibility and Preliminar Desi n Parameters Task 1 1 Collect and Review Available Hydrocteoloq c Data Collect and review hydrogeologic data from our in-house files, such as geologic reports and maps, and any available information on historic water levels and water quality from the City, and on historic and current production rates for former and existing water- supply wells in the area of the two proposed well site areas. Construction data (geologic logs, electric logs, and design reports) on City wells will also be collected. The focus of this task will be to assess trends in water level and water quality conditions in the vicinity of the two potential well areas. The key here is to collect and provide independent correlation of the electric log data from any nearby water wells in each area. Such electric logs are vital to defining subsurface conditions at each site (i.e., the depth and continuity of potential aquifers and the base of water-bearing sediments in the area). Task 1.2 - Site Reconnaissance Conduct a brief site reconnaissance of the Airport and San Timoteo areas to assess local drilling logistics such as; location and size of potential well sites; presence of utilities at potential well sites; conditions for disposal of drilling and testing fluids at poten- tial well sites; constraints for noise and/or working hours; etc. ReuornrnendodScopeofVVork - Hvdrogao|ogioServioes City of Redlands Well Development Project 2 Task 1.3 - Hydro-geolo-gic Analyses Conduct ahydrOggo|ogiCanalysis of the collected data for each potential well site area. Specific attention will be upon the assessment of pumping r81em' water levels, specific capacities, and water quality for each potential well site area. Task 1.4 - Feasibility and Preliminary, Qe,;S�n Reports Prepare and submit a report summarizing Our findings, preliminary conclusions, and preliminary recommendations with regard to the Siting and installation of a proposed new water well in each potential well site area. In addition, preliminary well design criteria for each potential well site will be included and will cite such items as: identification and depth to potential water-bearing zones (aquifers), pilot hole depth and borehole diameter-, diameter, type and length of well casing and Of perforated casing touse; and cement seat depth and gravel pack interval. /\ separate Draft report will be submitted for City review for each potential well site. Following comments Onthe Draft report by the City' five copies of a Final report will be submitted tOthe City. Task 2. 1 - Preparation of Technical Specifications Write and prepare the technical details for each proposed well on the construc- tion method, estimated pilot hole and casing depths' electric logging, casing sizes and gravel pack, depth Ofcement sanitary seal, estimated perforation intervals, mechanical de- velopment, pumping development, water-quality sampling, and final well testing. Selection of casing materials, borehole and casing diameters, required noise mitigation rnGasures, onsite treatment and/or disposal of drilling fluid (including special provisions) for the con- struction of the new well, and other aspects of the construction project, will be specifically tailored tDeach proposed well site. Because the wells will not be drifted concurrently, and because the technical specifications should be site specific intheir content, we recommend and will provide the City with separate technical specifications for each well. We further understand from our discuss/ons with the City that down-hole sampling in the open pilot hole at each well site may not be necessary. Hence, we are not including In our SOW any tasks or associated costs for monitoring or performing Such work. Recommended Scope of Work - Hydrogeologic Services City of Redlands Well Development Project 3 Task .2.2 - Estimate of Preliminary Construction Costs Prepare a detailed estimate for the preliminary cost of all construction and testing of each new well, exclusive of the pump and above-ground appurtenances. This effort is needed to provide the City with a reasonable and realistic expectation of drilling construction costs for each well. Task 2.3 - Pre-Bid Conference and Bid Assistance Prepare for and attend a pre-bid conference and provide pre-bid clarifications and/or addenda, if necessary, for each new well. Review and analyze bids received and make a recommendation to the City for award of the contract. This task is to provide information necessary for potential bidders to clearly understand site logistics such as access, available water supply, location of utilities, and fluids disposal options, at each proposed well site. In addition, this meeting will enable the bidders to become familiar with the requirements of the City and to become aware of the City's needs and desires in completing the goals of each project. Task 2.4 - Assist City in Design and Schedule Process Provide assistance to the City in the review of cost estimates, time schedules, and contracts from the chosen drilling contractor for construction of a new well at each proposed site. This task can help monitor contractor efforts so that construction is con- ducted on a timely basis and in accordance with the design specifications for the two new wells. Task 2.5 - NPDES Permittincr The California Regional Water Quality Control Board requires that discharge from development and testing operations be permitted under the National Pollutant Dis- charge Elimination System (NPDES). As a result, we will assist the City in the preparation of a blanket NPDES permit for the two proposed well sites. Phase 3 - Well Construction - Field Monitoring Task 3. 1 -Bre-Construction Meetinq Prepare for and attend the pre-construction meeting for each proposed well site and review information provided by the drilling contractor who has been awarded the con- struction contract. Discuss key issues in the technical specifications, and help arrange for mobilization and scheduling of personnel and equipment. ' - Recommended Scope o/ Work - Hydrogeo|ogicServices ~ - City of Redlands Well Development Project * This task will acquaint RCS field personnel and the City with the drilling firm chosen for the project. In addition' this meeting will better acquaint the drilling firm with each well construction site, 10 set-up for the logistical site considerations, such as nearest available water and electrical supply, placement of equipment with respect to buried utili- ties, and disposal Ofdrilling fluids. Most importantly, however, will bethe driUer'srespon' S/bUi1y, during this meeting, to inform the City and the consultant what will need to be done tOprepare each site for the required work, when work will actually commence, and LQ provide 8d8finibve and detailed schedule for completing the work ateach site. Task 3. 2 - Mobilization Provide initial field coordination during mobilization of the drilling contractor and perform periodic site checks during mobilization, at each well site. With this limited effort, we shall be able to apprise the City on the progress Of drilling contractor activities during his initial mobilization and to provide the necessary logistical support in assisting the driller in completing mobilization. Task 3.3 - Pilot Hole Log Provide experienced geologic logging personnel to log dh|\ cuttings from the pilot hole at each Site. In an effort to keep costs to a minimum, and because of Our knowledge of the drill areas, we propose to COm0rn8n:e detailed geologic logging at a depth Of 350 ft at the Airport region and at a depth Of 500 ft in the SanTlmnotaO area. Thereaf- ter, logging 8tboth locations will be performed On afuU-tirn8 basis until the total depth of the pilot hole isreached. When our geologist isnot onsite, drill cuttings will be carefully collected, on our recommendations, by the driller and later logged by our field geologist. During pilot hole drilling, fluid characteristics can be monitored for viscosity' weight, and sand content to check contractor conformance with the specifications. In addition to geologic logging, drilling penetration rates are measured and plotted on the geologic |0Q. providing additional aquifer information for hydR]geo|mgiC interpretation' Samples of key formation materials will be obtained during drilling to provide grain-size distribution curves of these materials from which the final screen 5|mt SioG and grave{ pack gradation can hgdefined. Grain-size tests will be performed On @smany 8sthree represen- tative cuttings from each pilot hole. This task is vital to providing a detailed geologic log of drill cuttings at the drill site so that drilling conditions are documented. This necessitates the use Of on-site ge- ologists to accurately and reliably examine and record (log) the drill cuttings and to inter- prBtth8 Subsurface geologic conditions as they are encountered. Documentation of the subsurface |itbo|o8y provides actual physical data to support subsequent analysis of the geophysical electrical logs Ofthe pilot hole. Recommended Scope of Work - Hydrogeologic Services City of Redlands Well Development Project 5 Task 3.4 - Geophysical Lag Analysis Witness and analyze the electric logging of the pilot hole at each site and pro- vide a review of the geophysical log. Review and compare data from geophysical logs and the geologic log and provide a casing completion recommendation to the driller for the final ream diameter(s) and casing depth(s) as soon as possible. Geophysical logging is conducted to accurately determine the depth(s) to any possible water-bearing formations (aquifers), based on their electronic signatures. Geo- logic logging is often used as physical evidence to support any interpretations made on depth and geologic nature of subsurface materials penetrated. These data are needed to successfully locate and target possible water-bearing zones for installation of perforated casing. Task 3.5 - Well Completion Recommendations and Monitoring of Borehole Ream Communicate in-progress findings to the City and prepare the final well con- struction design for the new well at each site. Present to the City and the driller the final recommendations for casing lengths and diameters, well screen placement, perforation sizes (slot sizes), gravel pack type and gradation, and depth of cement around the blank casing. Provide limited part-time monitoring of contractor operations during the pilot hole ream. Task 3.6 - Casing and Gravel Pack Installation Experienced geologists will be present to monitor, on a full-time basis, the in- stallation of the recommended well screen, blank casing, gravel pack, and cement seal for the new well at each site. Monitoring will be conducted to permit conformance with the appropriate methods and materials in the specifications and/or recommendations based on accurately defined down-hole conditions. Volumes of gravel pack and cement emplaced will be monitored and compared with the required volumes calculated from caliper log and casing data in order to assess a property filled annulus in each well. During field construction monitoring, our field geolo- gists will be reviewing the plans and technical specifications for contractor compliance. Task 3.7....-._Well Deyglopment and Testing Provide a qualified geologist at appropriate times to monitor well development by both mechanical and pumping methods for the new well at each site. Monitoring con- tractor development operations and checking for conformance with construction specifica- tions is vital because proper mechanical development of the new well is one of the most crucial activities during well construction. . . Recommended Scope ofWork ' Hvdrogeo|ogicServices City of Redlands Well Development Project 6 Provide a geologist to monitor step-drawdown testing of the completed well at each site. Four pumping rates will be recommended, and pumping rates and pumping lev- els will be monitored on @ part-time b8Sis. A field memorandum will be issued to docu- ment results ofthe step-drawdown test. Task 3.9 - Final Aquifer Test (Pumpinq Test) Provide 8 geologist, On an appropriate, part-time basis' to monitor water level drawdown and recovery after the final constant-rate pumping test ofthe completed well at each site. Critical times will be those during the first few hours ofdrawdown and recovery measurements. The contractor's pump crew will also be used to conduct water level measurements to maintain the monitoring schedule recommended bVour office. Field v8!ugG of pH, temperature, and electrical conductivity Of the well dis- charge, ateach new vve|l' will be obtained by the geologist during each test. Water sam- ples of the final well blend, from each new vv8||, will be collected for quality testing and delivered to a City-approved laboratory. Field rn8rnQr8Oda will be issued to document well development and testing operations for each new vve!|. At the end of the aquifer testing, we will have the contractor perform a Spinner log survey ofthe well to identify the present f|Oxv capacity regime of the various perfo- rated zones in each new vvn||. Our technical specifications will provide for appropriately sized CarnSro ports/sounding tubes to permit this. The accurate collection of reliable aquifer-test data is important to provide an adequate analysis Of aquifer transrniSSivities, hydraulic conductivities, and production ca- pabilities for each vve|/. Further, these data are used in conjunction with water quality data to establish the final well-blend water sample quality in the vve||. Field monitoring Of water levels {Oeach new well during aquifer testing is useful in determining long-term drawdown in the vicinity ofthe wells. Task 3.10 - Casing Alignment Testkg and Video Lqg Survey Review data obtained from the prescribed insertion Ofa casing dummy or Cage and monitor deflection readings for the a|ignrnent/o(umnbness testing of each well. Assess results of the test/ng in view of the Specifications. Observe the video log survey (or review the tape shortly thereafter). It is important to check that the video log is of sufficient quality to reliably document the as-built well conditions. ' ReonrnrnendedSoopeofVVork - Hvdrogeo/ogioServicea City of Redlands Well Development Project 7 Task 3. 11 - Submittals Issue field memoranda to document daily activities relating to pilot-hole drilling, casing and gravel pack installation, and testing during all Of Our Task 3 work at each new well site. Such memoranda are useful for continuing to inform the City 8fthe daily drilling, construction, and testing activities aathey unfold. Task 3. 12 - Summaty of Operations Report The Summary ofOperations report will ournrnehze the existing geologic condi- tions at each well Site such as the subsurface UthV|Ogy, aquifer zones where well perfora- tions have been set, and inter-well correlation Of aquifers based on geophysical logs (E- logs). In addition, water level drawdown data collected during aquifer testing will be used to determine aquifer tranSrnissivity at each well Site. A separate Summary of Operations report will be provided for each well site. Provide three copies Ofeach report tOsummarize well construction activities and to pro- vide an "as-built" of each completed well, along with a |itho|*gio (mud) log, geophysical logs, water quality laboratory test data, and aquifer test data. Data acquired during the logging and testing of each new well will be included in the report. Recommendations for operational yield and final pump placement for each new well will also be provided. The report will serve tOdocument the drilling, construction, and testing activi- ties ofeach new well. Further, any future examination of well conditions and/or construc- tion operations will be facilitated through reference to the Summary of Operations report. This report will enable your engineers tO design the wellhead, controls, and possible water treatment for the new well. Task 4. 1 - Meetknws and Consultation Prepare for and attend aminimnunl of two meetings with the City' The purpose of these meetings is to apprise and consult with the City with respect to drilling, construc- tion, and testing activities and project closure for each well site. Task 4.2 - Review of ProgLess Billings Provide detailed review of progress billings by the drilling contractor in Order to check that the drilling contractor has provided the City with an accurate accounting and billing for time and materials used in conducting work associated with the drilling, installa- tion, and testing of8new well ateach site. The work phases listed below for our hy- drogeologic services represent those originally defined in our detailed technical proposal dated September 17, 1997 to Mr. Michael Huffstutler of the City.
