AGREEMENT TO FURNISH PROFESSIONAL SERVICES FOR
AERIAL TOP OG RAPHIC MAPPING
This Agreement ism and entered into this 5rh day of March 2002, by and between the City
of a municipal corporation (hereinafter "City") and Southwest Mapping Technologies,
I=- hereinafter (-Consultant"),
in cumsWeraTion of the mumalpronuses, covenants and contlitions hereinafter set forth, City and
Consultant hereby agree as follows:
ALT-ICLE 1 - ENgAGENENI' OF CQ- -T
LSULTAN
1.1 City hereby engages Consultant, and Consultant hereby accepts the engagement, to
perform services ("Services"} for furnishing aerial topographic mapping.
11 The Services shall be performed by Consalram in a professional manuer, and Consultant
rr-PrcWnTs that it has the skill and the professional oxpvrti--x n"c*sary to provide high
qualiry Services for the Project at the level of competency presently maintained by other
practicing digital orthophorography firms in the industry providing like and similar types
of services.
ARTICLE 2 - SE&VICE S OF Co -T
NALITAN
2.1 The specific Services which Consultant sMI perform are described in Attachment �A",
entitled "Scope of Work", and include production of digital ortbophotos (de-rived from
I"=800' scale photography) and 4 foot contour lines (derived from 1"-1600' scale
photography) for a designated 59.5 square mile area.

the Services to be performed under this Agreement.

ARTICLf 4 - PQQ_Q QF_ SERVICE
4,1 Consultant shall perform the Services in a diligent manner and in accordance with the
scWWc s;et forth in Attachment B - PrOjeCt SChedUV
ARTICLE 5 - PAYMEN-FS TOTH-F- CONSULTA
The total compensation for Consultants performance of the Services "I not exceed
$78,750. City shall pay Consultant on a time and materials basis at the hourly rates
shown in Attachment C - Fee Schedule.
5-2 Consultva shall bill City within taxa days following the close of each tnonth by submitting
an invoice indicating the Services performed, who perfountd The Services, indirect cosm,
and the detailed cost of all Services including backup documentation. Payments by City
to Consultant shall be made within 30 days after receipt and approval of Cowuhatit's
invoice, by warrant payable to Consultant.
5.3 All contractual notices, bills and payments shall be made in writing and may be given by
persoW delivery or by mail. Notices, bills and payments sent by mail shall be addressed
as follows:

61 Consultant's Insuran to
All insurance required by this Agreement is to be maintained by Consultant for the
duration of this Agreement and "I be primary with respect to City and non-contributing
to any insurance or self-insurance maint=W by City. Consultant shall provide City wah
Certificates of Insurance evidencing such insurance prior to commencing the services,
6.2ind Emplover's Liability
A. Cons-uhant shall have worker's compensation and employer's liability misurance in
force droughout the duration of the contract in an amount which meets tile starwrory
requiremenT with on insurance carrier acceptable to the City, City shall be named as
an additional insured and the insurance policy shall include a provision prohibiting
cancellation of said policy except upon thirty (30) days prior wrinen notice to City.
Certificates of Insurance shall be delivered to City within fifteen (is) days of
execution of the agreement.
B. Consultant expressly waives all rights to subrogation against the City, its officers,
employees and volunteers for losses arising from work performed by Consultant for
City by expressly waiving Consultant's immunity for ir�t to Consultant's
employees and agrees that the obligation to indemnify, defend and hold harmless
provided for in this Agreement extend to any claim brought by or on behalf of any
employee of Consultant. This waiver is mutually negotiated by the parties. This
SMI not apply to any damage resulting from the sole negligence of City, its agents
and employees. To the extent i'my of the damages referenced herein were caused by
or resulted from the concurrent negligence of City, its agents " employees, the
obligations provided herein to indemify, defend and hold harmless are valid and
enforceable only jo the extent of the negUgm;e of Consultant, its officers, agents and
employees.
6,3 Consultant shall secure and maintain in force
throughout the duration of the contract comprehensive general liability insurance covenng
all work under this Agreement, including work done by subcontractors, with carriem
acceptable to the City. Minimum covetages of one million dollm-m-, (S1,000,000') per
occurrence and tivo million dollars (S2,CWW0) aggregate for public liability, Property,
damage and personal injury is required. The Crr-�y shall be named as an additional insured
and. the insurance policy shall include a provision probibiting c�zcellation of said policy
except upon thirty (30) days prior written notice to the City,

6.4ainm Auto Liability In%4AAc_,e, Consultant shall carry business auto liability coverage,

with minimum limits of five hundred thousand dollars ($500,000) per occurrence,
combined single limit for bodily injury liability and property dam age liability. This
coverage shall include all Consallarit owned vehicles used on the Agreement, hired and
non-owned vehicles, and employee non-owntiership vehicles.

professionally certified by the State, shall be required to provide professional liability
insurance in the amount of one inillion dollars ($1,000,000) With a alininl1lin coverage Of

defeml City and its elected officials, agent!; and employees from and against any and all

or damage to property occasioned by any act, omission or failure of Consultant. its
subcontractors, and any officers, agents and employees in performing the work required
by d1gs Agreement. Consultant's obligations under this provision shall not be limited in
any way by any tetras of This Agreement, or the imurance limits.
ARTICLE 7 - GENERAL CONSIDE<LONS
71 In the evem any action is commenced to enforce or interpret any of the terms or
conditions of this Agmerricat the prevailing party shall, in addition to any costs and other
relief, be entitled to the recovery of its reasonable anorneys'fees.
7.2 Consultant shall not assign any of the Services required by this Agreement, except with
the prior vvtnen approval of The City and in strict compliance with the terms, provisions
and contlitions, of This Agreement.

upon completion of the Services or upon the request of The City. Any reuse of such
documents for other projects and any use Of ir1completc documents will be at The Citys
sale risk.
7.5 Consultant is for all purposes an independent contractor. All personnel eraployed by
Consultant are for its account only, and in no event shall Consultant or any persorm(A
retained by it be deemed to have been employed by The City or engaged by The City
for the account of or on behalf of The City.
7.6 Unless earlier terminated, as provided for below, this Agreement shall unTiriate upon
completion and acceptance by City of the Services,
7.7 This Agreement may be tammated by the City, without c4use, by providing ten (10) days
Prior written notioe to the Consultant (delivered by certified mC. ret wn receipt requested)
of intent to terminate.
7,8 Upon receipt of a ternprIation notice, Corisultant shall (1)promptly discontinue all Services
affected, and (2) deliver or otherwise rn4ke available to City, copies (in both hard copy
and electronic form, where applicable), of any data, desip calculations, drawings,
sTecifications, reports, estimates, summaries and such other information and materials as
may have been accumulated by Consultant in performing the Services required by this
Agreement.
7.9 This Agreement, including the attachments incorporated Herein by reference, represeiat-s-
the entire agreement and understaading between the parties and any prior negotiations,
proposals or oral aweernents are superseded by this Agement. Any amendment to this
Agreement shall 'he in writing, approved by the City Council of City and signed by City
and ConaWtant.
7-10 This Agreement shall be governed by and construed in accordance with the laws of the
State of California.

SCOPE Of SERVICES

The 59-5 project area includes the area within the city limits in addition to areas west,
norTheast, cast and south of the city limits, This area is depicted on the attached map by a
black dashed litre_

The acquisition of the ground control will be the responsibility of Consultant. The survey
will be perfornwd under the direction of a California licensed surveyor aM will be completed
in accordance with accepted industry practice and the applicable provisions of the California
Land Surveyor's Act.
Before the survey work begins Consultant will research the existing government base control
at both the City of Redlands and the County of San Bernardino. Consultant will field observe
the existing base control points to determine bow many Of these points can be targeted and
included in Our city wide control networic. The horizontal control is on the NAD83
Adjustnwa of the California State Plant Coordinate System, Zone S. The vertical dum for
the existing point are on the NAVDJNGS88 datum. Upon approval of the project aW our
completion of the existing control point research a final control point layout will be fuuWed
and furnished to and approved by the City.
The ground con trolwill be established by using GPS equipment. The horizontal control will
be within second order accancies (2-3 cm). The vertical Control accuracy will be within third
order accuracies (4-6 cm). All the new points and existing Points will be tied into datum
approves by the City. The target size will vary depending upon the scale of the photography_
Horizontal mid vertical control will be established for each point. Consultant suggests a
meeting to discuss any additional survey needs you may have that Consultant can incorporafe
into our control work for this project. Upon completion of the survey 4 plot of all the control
points actually used on the project will be delivered to the City along with a list of control
values.
L PHOTOGRAPHY
There will be a flight flown to produce photography at a scale of V-1,600'. This
pbotography would be used to develop the control network, the analytical wrotrianguiation,
and the DTMs accurate enough for the required orthophotos. This photography will also be
used to obtain te four (4) foot contours. There will be a second flight flown toproduce

photography at a scale of ]"=800'. This flight will be used w produce the orthophotos for
viewing at scales up to 1"==843`,
The aerial photography will be flown with 4 six (6) inch focal precision aerial mapping
camera. A current USGS camera calibration will be f4mished to the City of Redlands.
The project will be flown with black and white film providing stereoscopic coverage suis le
for orthophoto production. Standard stereoscopic coverage consists of a sidelap between III&
lines of a minimum of 30% and exposure overlap down the flight line of 60% (w.11 a 5%
tolerawe)- The film processing will be performed under strict quality control conditions.
The tilt (angular departure of the aerial camera axis from a vertical line at the instant of
exposure) in any exposures be within four (4) degrees, an average tilt within ow (1)
degree for the entire project uxJ within five (5) degrees between any two (2) successive
cxposurcs.
The photography will be obtained when the sun angle is more than 30 degrees above the
horizon. The photography will be obtained in good wearher conditions when the sky is clear
free of clouds, cloud shadows, and smog). . negatives will be free of detrimental
scratches, dust and blemishes-
The acquisition and annotation of the photography will conform w starZarcl industry
practices. The annotation layout will be approved by the City of Redlands before Consultant

Using the above ground control and aerial photography Consultant will prepare a fully
analytical acrotriangulation solution to establish supplemental control for orientating the
individual phoiograrnmetric stereo-models covering the subject project. The above analytical
aeroulangalation will be accomplished using ALBANY -State of The Art" block bundle
adjustment software,
Upon completion of the analytical aerotriangulation solution the data will be analyzed to see
how accurately each of the individual control points fits the whole solution. The residuals for
each point will determine if there are any points with substandard accuracies. Any points that
fall outside of the requimd accuracies will be deleted from the solution and resurveyed in the

Once the analytical aerotriangulation is complete Cons-uharn will compile from the aerial
photography a DTM. It will consist of a series of masspoints (x,y,z) and breakline files
across the entire project.
A triangulated irregular network (TIN) trwdel will be produced and from it a digital elevation
Model (DEW WhiCh Will be used to Control each of the orthophoto pixels, The D data
will consist of a large file of elevations. These elevations will produce Onhophotos, foot
accuracy) and four (4) foot contours (2 foot accuracy) exceeding National Map Accuracy
Standards.

The OrEWphowgraphy production will begin with an intensive analysis Of the original aerial
negatives. Quality checks will be made before the production is begun so as to eliminate
potential problems. Consultant will work closely with the City during this phase to clarify the
City's orthophoto needs and expectations.
The City will select a priority area in the City after the photography, control and analytical
aerotxtangulatiort is completed. This priority area will serve as sample area for orthophow
production. Upon acceptance of this orrhophoto sample area Consultant will begin the final
production phase of the project for the remainder of the City.
Consultant will use the RM-1 Image Scanning System to capture Elie analog aerial image in
raw digital format from electronically dodged diapositives. Every exposure will be scanned
and used in the preparation of the ordiaphows. The film diapositives will be scanned at a
resolution of 2000 don; per inch (DPI), After completion of the priority area Consultant will
demonstrate the Capability To view W print the orthophotos at the designed scale aW expand
them beyan4l their designed purpose to evaluate the quality and range of scales.
The above discussed DEMs will be used to control each pixel of the orthophotos. Rubber-
sheet rectification will not be used. Also, Consultant will not interpolate the digital raster
images to a finer resolution than the original scanning. The digital sheet orthophotos (Tiles)
will be mosaiced together to prevent objectional scams in the imagery. During the production
of the irAivkW tiles, the ortbOphOzo system will select the scanned arthophoto imagery from
the exposure that is best centered on the tile limits to reduce building le m The imagery will
be balanced for bri&uess aW contrast. The orthophotos will mit or exceed National Map
Accuracy Standards W will overlay properly with the existing tligitai parcel base (which has
2 foot accuracy).

A perfect sheet (tile) grid index of the project area will be determined for the delivery of the
digital orthophotos. The exact the size and Position will be determined by the City.

PROJECT SCHEDULE
The ground controt research will begin immediately upon acceptance of this agreement. The
ground control survey will begin within one (1) week after die research is completed. The
field work will be completed in approximately two (2) additional weeks.
The aerial photography will be t1own as soon as weather permits after the targets are in
place. The exact schedule depends upon the weather. The t'light schedule will be agraed upon
after Consultant receives notice to proceed.
Upon conVIction of the =rial photography and the ground control Consultant will procetd
with the analytical aemiriangulation. The preliminary (sample) orThophoto delivery of the
priority area will be made in approximately an additional, tea (10) days. The remainder of the
onhophoto work will be completed in approximately 60 days after re�;eipt of approval of the
priority area oratophotos.
