HomeMy WebLinkAboutContracts & Agreements_20-1973CONTRA CT TO SAN BERNARDINO MEMORANDUM OF AGREEMENT by and between BRINK'S, INCORPORATED, hereinafter called first party, and CITY OF REDLANDS, Redlands, California, hereinafter called second party, executed this 30th day of March, 1959. For and in consideration of the mutual, covenants and agreements hereinafter set forth, the parties hereto agree between themselves as follows: 1. First party agrees to call at parking meters installed by second party in designated areas in the City of Redlands, California in accordance with a Schedule to be furnished by second party and to release the coins contained in such parking meters into receptacles furnished by second party. The Schedu shall indicate the frequency of service calls since some meters will require collection once weekly, others more than once weekly, and still others less than once weekly. The collections shall be made by two men operating together and having uniforms readily identifiable with first party. The coins so collected will be delivered by first party to the Bank of America, Redlands, California on the same day as collected. First party further agrees to report to second party all non -operating meters which can be detected on visual observation. 2. Second party agrees to furnish to first party the requisite keys and receptacles necessary to the proper performance of service. 3. First party agrees to assume liability for any loss of any coins collected from parking meters; provided, however, that first party's liability for any loss of coins shall not exceed the aggregate amount of ONE THOUSAND DOLLARS (1.,000.00) on any one day. Said liability shall commence when coins are released by the first party from each parking meter and shall terminate when same have been delivered to the Bank of America, Redlands, California. 4. First party shall not be liable for non --performance or delays not caused by its fault or neglect, nor for non-performance or delays caused by strikes, lockouts or other labor disturbances, riots, authority of law, acts of God, or means beyond its control; but first party agrees to be liable for the safety of any sum of money, received into its possession at any time up to the amount stated in Section three (3) hereof. 5. It is agreed that the first party shall not be liable for non-performance., delays or loss or damage caused by or resulting from; (a) hostile or warlike action in time of peace or war, including action in hindering, combating or defending against an actual, impending or expected attack, (1) by any govern ment or sovereign power (de jure or de facto), or by any authority maintaining or using military, naval or air forces; or (2) by military, naval or air forces or (3) by an agent of any such government, power, authority or forces; (b) any weapon of war employing atomic fission or radio -active force whether in time of peace or war; (c) insurrection, rebellion, revolution, civil war, usurped power, or action taken by governmental authority in hindering, combating or defending against such an occurrence, or confiscation by order of any govern- ment or public authority. 6. For all of the above services second party agrees to pay first party as follows - SIX CENTS (6¢) per meter per collection Payment for the above described services shall be made Monthly upon statements submitted to the second party by the first party. 7. This contract shall become operative April 1, 1959 and shall continue for a period of 9ti days and thereafter until cancelled by either party to the contract 7LP, gthirty days' written notice of intention to cancel.. Under the Economic Stabilization Act of 1970, we are permitted to increase our prices in accordance with the proper application of allowable cost increases. Merritt, Jr. SUBJECT: INCREASE OF BRINK'S CONTRACT In March 1959 the City entered into a contract with Brinkts Incorpor- ated for the collection of all parking meter revenues within the City. The collection rate,as established under this contract,was 60 per meter, per collection and has remained at that level over the past two years and eight months. .Due to increased costs, primarily labor, Brinks is now asking for a contract revision, increasing the cost of collection to 7¢ per meter, per collection, and an increase of 45.00 per month for keeping the Parking District meter collection separated from the meters outside the Parking District. The effect of this increase will be an additional cost of $$22.86 per month approximately, or $274. per year. As the possibility of an increase was foreseen during the preparation of this year's budget, sufficient funds are on hand to pay this increase without a budget addition. It is my understanding that this City will be receiving at the new rate of 70, collection of its meters at a cost as low as any city and lower than most. Since the start of this contract Brink's has discharged their responsibilities faithfully and most cooperatively. We have not received, to my knowledge, any citizen complaint in regards to this service. Therefore, T would highly recommend that this increase of 1¢ per meter collection, be authorized effective December 1, 1961. RPM: omk
