THIS AGREEMENT, made and entered into this 17th day of July,
1973, by and between the CITY OF REDLANDS, a municipal corporation
(hereinafter "City") and LAMPMAN AND ASSOCIATES, a California
corporation (hereinafter "Lampman"):
11 I T N E S S E T H:
The parties hereto do agree as follows:
1. RECITALS. This Agreement is made and entered into with
respect to the following facts:
(a) That the City has heretofore determined that the
public interest requires the preparation of Park Construction
Plans and Specifications for the Northside Community Park;
(b) That in order to develop such a plan it is necessary
to obtain the services of a qualified consulting firm to
complete the same;
(c) That Lampman is qualified to complete the same;
(d) That the City Council of City has elected to engage
the services of Lampman upon the terms and conditions as her.e-
inafter set forth; and
(e) That for the purposes of the work at Northsi.de Com-
munity Park, Lampman and Associates will work with and gain
the necessary approvals from the U. S. Department of Housing
and Urban Development, as per contract O.S.--CA-09-16-1049(G).
Lampman will deal with the HUD Los Angeles office on the
reporting, inspecting, and auditing procedures required for
this project.
2. SERVICES. Lampman shall perform the following services to
provide the construction drawings, specifications, bid documents,
and administration of the HUD grant program:
(a) Provide any additional engineering required to complete
existing plans for the park.
(b) Develop construction specifications, including both
technical and general provisions so that plans can be adver-
tised for bid.

(c) Provide a detailed cost estimate of all phases of
contract work.
(d) Participate in the analysis of construction bids
received.
(e) Conduct a pre -job meeting between Lampman, City
officials, and the contractor.
(f) Attend all other necessary meetings.
(g) Conduct periodic construction inspections.
(h) Prepare all HUD reports required by the grant
provisions.
3. TIME. The parties recognize that time is of the essence
insofar as the work to be accomplished is concerned, and agree
that all work to be accomplished by Lampman pursuant hereto shall
be completed in accordance with the following schedule:
(a) All work required to produce plans and specifications
and detailed cost estimates so bids may be advertised for,
shall be completed by October 1, 1973.
(b) Target date for submission of bids by contractors
is established as November 15, 1973. Lampman's work on
construction bid analysis shall be completed within 30 days
after bids have been received.
(c) Lampman's construction inspections will continue
over the period allowed the contractor for construction.
(d) Lampman reports to HUD will continue over the period
of the agreement, with the final report, acceptable to HUD,
being made prior to May 15, 1974.
4_ PROJECT TEAM. The principal members of Lampman who will
work on this project are as follows:
(a) John Cyprien - Former Parks and Recreation Director
(b) Warren Turner - Landscape Architect

(c) Arthur E. Goulet - Traffic Engineer
(d) Noel Torkelson - Civil Engineer
(e) Jim Zuver - Grantsman
5. FINAL PLANS AND SPECIFICATIONS_ Lampman will provide
the City with all necessary copies of plans and specifications
for bid purposes. City shall reimburse Lampman for all printing
charges involved at cost of required printing.
b. COMPENSATION. Compensation to Lampman for the total
services to be rendered pursuant to this Agreement shall be
$15,000.
Payment of said compensation shall be in accordance
with the following:
(a) One-third on completion of plans, etc.
(b) One-third on completion of bid evaluation, etc.
(c) One-third upon project acceptance by HUD.
7. TERMINATION. Either party hereto shall have the right
to terminate this Agreement upon giving a ten day written notice..
of such termination to the other party. In the event of the
termination of this project in its entirety, the Director of
Public Works, based upon work accomplished by Lampman prior to
notice of such termination, shall determine the amounts of fees
to be paid to Lampman for such services based upon accepted park
planning practices, and such finding by the Director of Public
Works and approved by the City Council shall be final and con-
clusive as to the amount of such fee. Upon termination, all
completed work shall become the property of the City.
8. NOTICES. Notices pursuant to this Agreement shall be
given by United States Mail, postage prepaid, addressed to the

The parties hereto cause this Agreement to be executed
