Number Of payments: 3 Estimated amount of each: S (See ]lclo-o Address: 500 East "E" Street Ontario California 91764 Phone: (714) 983-3658 t Nature of Contract: (Briefly describe the general terms of the contract) The County and the City of Redlands entered into an agreement December 11, 1972 to share the costs involved in the preparation of an engineering study and the development of a Specific Plan for Wabash Avenue in and near the City of.Redlands, from the vicinity of Sunset Drive north to Seventh Street. The Board of Supervisors on March 5, 1973, authorized the County Engineer to negotiate with L. D. King Engi.ncerin3 Company for development of the Specific Platt. The agreement divides the engineering services into three phases outlined as follows: I. PHASE I - PRELDITNARY STUDY Provides that ENGINEER shall make a preliminary engineering study to determine all feasible routes between the above limits. The study is to include apreliminary geological investigation, preliminary environmental impact study, traffic study, and preliminary cost estimates. Payment -by lump sum ($7,000.00). TI. PHASE II -- PLAN DL'Tn3LOP1,1 NT Provides that ENGINEER shall develop a Specific Plan for Wabash Avenue within the prescribed limits and on the alignment selected by COUNTY. Also provides that ENGIiZ[sER shall prepare preliminary. and final Environmental. Impact Reports. Payment by Lump sum ($11,000.00). 111. PHASE III •- APPROVAI Provides that ENGINEER shall attend hearings required for apprgval of the Plan and other meetings if requested by County* Engineer. ENGINEER will be paid an hourly salary for this service (Total estimated not to. exceed $1,000.00). KING ENGINEERING COMPANY, hereinafter referred to as ENGINEER, WITNESSETH THAT WHEREAS, COUNTY has need of engineerin�;,services for the development of a Specific Plan for Wabash Avenue in and near the City of Redlands, from the vicinity of Sunset Drive north to Seventh Street; and WHEREAS, COUNTY and the City of Redlands have entered into an agreement. dated December 11, .1972, to share the costs of retaining an engineering consultant to prepare an engineering study and develop a Specific Man for the above described portion of Wabash Avenue; and WHEREAS, ENGIINT,ER is willing and able to undertake and perform such services; -'and WHEREAS, COUNTY desires to employ ENGINEER to furnish engineering services hereinafter described; = NOW, THEREFORE, IT IS MUTUALLY AGREED AS rOLLOUS: I. PHASE I - PRELIMINARY STUDY 1.0 SCOPE OF ENGINEERING SERVICES 1.1 ENGINEER shall make a preliminary engineering study to deter- mine all feasible routes for a secondary highway front the general vicinity of the intersection of Sunset Drive and Golden West Avenue to the intersection of Wabash Avenue and Seventh SL1'eet• via the Wabash Avenue over:crossing of Interstate Route 1.0. As a part of the preliminary en, incering study, the following detailed services shall be performed: a. Conduct a preliminary geological investigation. b. Prepare a preliminary environmental impact survey. C. Prepare a traffic study to predict 1975 and 1995 traffic counts. d. Prepare preliminary cost estimates for each feasible route including right of way and construction. costs. 1.2 EIrGIAEER shall present all data developed to COUNTY in the form of a written draft engineering report with appropriate exhibits. 1.3 ENGINEER shall, upon approval of the draft report by COUNTY,'prepare and submit 25 copies of a suitable printed Preliminary Engineering Study Report. This report shall include but not be limited to detailed preliminary drawings of the alternate study routes and all pertinent data developed in,the aforementioned studies. 2.0 TDIE OF CGiMPLETION 2.1 ENGINEER,shall submit draft of Preliminary Engineering Study Report in accordance with PART I, paragraph 1.2, of this Agreement within sixty (60) calendar days after the date of this Agreement. 2.2 ENGINEER shall prepare and submit the final copies of said Preliminary Report in accordance with PART 1, paragraph 1.3 of this Agreement within'thirty (30)..calendar days of the approval of the draft report. 3.0 SERVICES BY COUNTY 3.1 COUNTY shall furnish to ENGINEER existing maps, aerial photographs, plats and other records and information helpful in the preparation of Phase I. Page 2 of 8 4 . 0 CVi Li ENSATION 4.1 For services rendered by ENGINEER under- PART I of this Agreement:, COUNTY agrees to pay ENGINEER a lump sum fee of Seven Thousand Dollars'($7,000.00). Seventy-five percent (75%) of said fee shall be due upon approval of the draft engineering report as described in PART I, paragraph 1.2, of this Agreement, -and the remaining twenty-five percent (25%) upon submittal of the i:inal. printed Preliminary Engineering Study Report as described in PART I,' paragraph 1.3 of this Agreement. IT. PHASE II - PLAN DEVELOPMENT 1.0 AUT11MIGATION TO BEGIN 1.1 ENGINEER shall not initiate the work described under P11ASE II of this Agreement as hereinafter set forth until authorized in writing by County Engineer. County Engineer may authorize PHASE II at any tire after approval of draft ireiiminary Enginecri-ng Study Report described in PART I, paragraph 1.2 of this Agreement. 2.0 SCOPE OF ENGINEERING SERVICES 2.1 ENGINEER shall develop a Specific Plan which establishes precise geometric alignment and plan lines for protection of right of way for Wabash Avenue within the limits hereinbefore set forth. As a part of this work, the following detailed services shall be performed: a. Establish appropriate field control for aerial mapping; of the study area. b. Provide topographic mapping; of the area at a scale of one inch equals fifty feet with contour intervals of one foot - except where steepness of terrain dictates a greater interval. Page 3 of 8 C. Prepare a preliminary design plan for the alignment selected by COLriN'TY in accordance with applicable standards of the California Division of highways and the American Association of State Highway Officials. Said preli*niinary design shall be sufficiently developed so as to show the horizontal and vertical alignments, right of way requirements, slope limits and approximate construction quantities. d. Prepare a draft Environmental Impact- Report in accordance with current Federal Highway 'Administration guidelines for projects of this type. Said report shall not exceed twenty (20) pages, including illustrations, exhibits, and documen- tation. Pages shall be 8-1/2" x 11" with typing double-spaced. 2.2 ENGINEERING shall submit preliminary plans and draft Environmental Report to COUNT' for approval. ENGINEER shall also make any neces- sary presentations of preliminary plans and/or draft Environmental Report before the Highway Planning Technical Committee. 2.3 ENGINEER shall, upon approval of preliminary plans and draft en- vironmental impact report by COMM, prepare a final Environmental Impact Report and a Specific Plan for the proposed alignment showing all alignment data, California Zone V coordinates for all control points, right of way requirements, and building setback lines. 3.0 TU E OF co TLETION 3.1 ENGINT-ER shall submit preliminary design plan and draft Environ- mental.. Impact Report in accordance with PART 11, paragraph 2.1 and 2.2 of this Agreement, within sixty (60) calendar days of the date of authorization to proceed with PHASE Il. 3.2 ENGINIIi ER shall submit the Specific Plan and final Environmental Impact Report in accordance with PANT II, paragraph 2.3 of this Agreement, wi.thi-n thirty (30) calendar days of approval of the preliminary design plan and draft Environmental Impact Report. 4.0 SERVICES BY COUNTY 4.1 COUNTS.' shall furnish base control for use by ENGIIvMER in esta- blishing field control for aerial mapping asset fortis in PART II, paragraph 2.1(a). 5.0 COMPENSATION 5.1 For services rendered by ENGINEER under PART II of this Agree- ment, COUNTY agrees to pay ENGINEER a lump sum fee of Eleven Thousand Dollars. ($11,000.00). Seventy-five percent (75%) of said fee shall be due upon approval of both the preliminary design plan and the draft Environmental Impact Report as described in PART II, paragraph 2.1. and 2.2 of this Agreement, and the remaining twenty- five percent (25%).upon submittal of the Specific Plan and final Environmental. Impact Report as described in PART IY, paragraph 2.3 of this Agreement. IIV. PHASE III -• APPROVAL 1.0 SCOPE OF ENGINEERING SERVICES 1.1 ENGINEER shall appear at hearings held by the On Bernardino County Planning Commission, the. San Bernardino County Board of Supervisors, the City of Redlands Planning Commission, and the City of Redlands City Council, as a consultant during the pre- sentations of the Specific Plan. 1.2• ENGINEER shall also, if requested by COUNTY, prepare exhibits and attand meetings held by citizens, and special interest groups concerning the Specific Plan, Page 5 of 8 2.0 C0MPENSAT10N 2.1. For the services rendered by ENGINEER under PART III of this Agreement, COUNTY agrees to pay ENGINEER on an hourly basis for all time required in preparation for and attendance of the various hearings and meetings. The hourly rates to be paid ENGINEER during this phase shall be agreed to by ENGINEER and approved by County Engineer prior to commencement of the hearings. Payment shall be due upon submittal of a detailed invoice by ENGINEER. Payment as set forth in this paragraph is Limited to meetings and hearings during P14ASE III only of this Agreement and does not apply to any similar work necessary during PHASE I and PHASE IZ of this Agreement. IV. IT IS FURTHER AGREED . 1.0 That the services to be furnished by'ENGINEER shall be so prepared and presented as to meet the complete satisfaction and approval of COUNTY. Approval by COUNTY of all drawings, designs, maps, specifi- cations, and other incidental engineering work or materials furnished hereunder shall not in anyway relieve ENGINEER of responsibility for the technical adequacy of the work. 2.0 Following final review of any phase of the project,. COUNTY'may determine that study or design work changes or revisions are to be made. The County Engineer will direct ENGINEER to prepare an estimate of the additional, time required for each study or design work change or revisions. ENGINEER shall submit an estimate of the number of hours to be expended by each member of As staff to be utilized in the work. Toth parties shall agree to hourly rates to be charged for any change or revisions. Preparation of the study or design work changes or revisions shall be commenced after authorizations for such work is given by the County Engineer in writing. 3.0 Any delay in providing engineering services required by this con- tract occasioned by causes beyond the control of ENGINEER shall be the reason for the granting of an extension of time for the comple- tion of the aforesaid work. When such delay occurs, ENGINEER shall immediately notify the County Engineer in writing of the cause and of the extent of the delay, whereupon the County Engineer shall ascertain the facts and the extent of the delay and grant- an exten- sion of time for the completion of`the wort: when, in his judgment, 5 his findings of fact justify such an extension of time. The County Engineer's findings of fact shall be final and conclusive to the parties hereto. 4.0 The ENGINEER agrees to hold harmless and indemnify COUNTY against liability arising out of the perfoi-mance of the work due to t1le ENGIRTEER'S negligence, either singly or jointly with other parties, to the performance of the work, their -employees, or. agents. 5.0 COLTNITY shall have the right to cancel or suspend this Agreement by giving ENGINEER fifteen (15) days written notice to that effect., If such cancellation or suspension shall take effect during the performance of an uncompleted phase of work, ENGINEER shall be paid a part of the compensation set for sucli phase in proportion to the amount of work performed. If the contract is suspended by COUNTY, after six months from the date of suspension, 'ENGINEER may terminate this Agreement by giving COUI'7Y written notice. r 6.0 upon approval of the Specific flan or upon termination of this ..Agreement, upon demand, ENGINEER shall deliver to COUNTY all field Penn 7 of R notes, surveys, studies, reports, plans, drawings, specifications, and all other materials and documents prepared by ENGINCER in the performance of this Agreement, and all such documents and materials shall. be the property of COUNTY; provided, however, that ENGINEER may retain copies for his own use. 7.O This Agreement shall terminate on January 1, 1975, however, COUNTY reserves the right to sooner terminate supra. THIS AGREEM-NT shall inure to the benefit of and be binding upon the successors and assigns of both parties.
