AGREEMENT FOR CONSULTING SERVICES
This Agreement made and entered into this 5th day of Ila 198 ,
by and between the City of Redlands, herein called CLIE�,` ndi'he
Planning Associates, hereinafter called CONSULTANT. The Client and
Consultant, in consideration of the mutual Agreement herein contained
agree as follows:
ARTICLE I
The Consultant agrees to perform professional services for the Client
described in the attached Scope of Work statement in a good and
workmanlike manner consistent with community standards.
ARTICLE 1
THE CLIENT AGREES TO PAF THE CONSULTANT FOR HIS SERVICES:
2.1 A Professional Fee equal to the reasonable value of the
Professional services rendered by the principal consultant, his
associates and employees, including subcontractors. The
Professional Fee shall be computed according to the attached Fee
Schedule, but not to exceed $9 ,000.00 including reimbursable
expenses unless modified according to Section 3.2 of this
agreement.
2.2 Reimbursable expenses as defined in Article VI.
ARTICLE JU
REVISING THE SCOPE OF WORK AND/OR PROFESSIONAL SERVICES:
3.1 All proposed changes in the Scope of Work and/or professional
services shall be submitted on a revised Contract Agreement.
3.2 The *NOT TO EXCEED VALUE* of the project may be changed in
relation to the expansion or diminution of the Scope of Work
and/or professional services by written agreement of Client.

APPROVAL OF SUBCONTRACTORS:
4 .1 Client shall approve in writing all individuals, firms,
partnerships, associations, corporations, and organizations
performing services on a subcontract basis.
4.2 Consultant shall submit his request for Client's approval of the
sub-contractors in writing.

REIMBURSABLE EXPENSES:
5 .1 Reimbursable expenses include all actual expenditures made by
Consultant in the interest of any project undertaken pursuant to
this Agreement and Addenda hereto.
A. Cost of collation, printing or copying drawings, specifi-
cations reports, xerography, photography and photographic
reproduction of drawings and documents.
B. Transportation costs, the use of personal automobiles @ .30
per mile, rental vehicles, and regularly scheduled commercial
airlines flights.
C. Food and lodging.
D. Long distance telephone and telegraph charges.
5 .2 Expenses enumerated in this Article shall be reimbursed in the net
amounts expended not to exceed $900.00 for Items 5.18, 5 .1C and
5 .1D.
ARTICLE M
PAYMENT TO THE CONSULTANT:
6.1 on the fifth day of each month Consultant shall present to the
Client an invoice covering the previous months professional
services performed and the reimbursable expenses incurred pursuant
to this Agreement and Addenda thereto. Such invoices shall be
paid by the Client within thirty (30) days. Invoice shall be
detailed and identifiable to the parts of the project completed.
A 1.5% charge may be imposed against accounts which are not paid
within 30 days of receipt of invoice.
6 .2 Records of the Consultant' s costs, relating to his Professional
Fee and Reimbursable Expenses, shall be kept and shall be
available to the Client or to the Client' s authorized represen-
tative.

TERMINATION OR SUSPENSION:
7 .1 Either Client or Consultant may terminate or suspend this
Agreement and/or contract on thirty (30) days notice in writing.
7 .2 If any legal action is necessary to enforce the terms of this
Agreement, the prevailing party shall be entitled to reasonable
attorney's fees in addition to any other relief to which that
party may be entitled. This provision shall be applicable to the
entire Agreement.

Agreement, the day and year first written above.

SCOPE OF WORK
Scopet

Collect and review the available maps, topography, aerial photos,
flood control data, airport flight path and related noise
information and any other relevant public works plans provided by
the City which impact the study site area.
2. Opportunitiep and ConstrAintAl
a. Compile, condense and, if appropriate, illustrate the
opportunities and constraints of the study area.
b. Illustrate the required characteristics and the preferred
characteristics of a quality public golf course.
C. Illustrate the required characteristics and the preferred
characteristics for a 20 court public tennis facility.
3 . Stud PlAnx-t
a. Prepare two alternative plans illustrating a golf course
routing layout and facilities layout with and without tennis.
b. Conduct study session with City.
4. Study Evaluation-t
a. Prepare a preliminary evaluation of each layout based on the
opportunities and constraints, and to identify together with
City review.
b. Synthesize evaluation to prepare selected alternative
including golf course routing and facilities layout.
C. Estimate projected cost of development and prospective
revenue sources.
d. Compare public vs. private operation of the facilities.
e. Identify the relationship of the plan to other agencies.
f. Identify potential roadblocks to the project and the
strategies to deal with them.

Review the above product with appropriate City entities as
directed.
Estimated time to complete:
Work Hours = 110 Hours
Calendar Time = 8 weeks from authorization
Estimated Budget: Not to exceed $9,000 including reimbursable
expenses
