Contractor will perform professional services upon the terms and for the payment all described herein. Such professional services shall result in an environmental impact report legally sufficient under the California Environmental Quality Act and the City of Redlands guidelines, which report shall be prepared and submitted in a manner consistent with accepted professional standards in the community. 2 . Contractor shall be an independent Contractor and not an employee, nor shall any of its employees or agents or subcontractors be an employee of City. 3 . Contractor shall, at its sole cost and expense, prepare a rough draft and a corrected draft Environmental Impact Report in accordance with the requirements of the California Environmental Quality dict, the procedures objectives and criteria for imple- menting the California Environmental Quality Act of the City of Redlands, and the practices and procedures of the City of Redlands Environmental Review Committee. B Contractor shall attend all public and Environmental Review Committee hearings as necessary. meetings with Staff person- nel to occur as required to complete the E.I.R. Meetings to be held at Redlands City Hall , 30 Cajon Street. C. Contractor shall provide 60 draft E. I.R. ' s, 15 Preliminary Final E.I.R. 's and 5 Final E. I.P's. 4 . The corrected draft Environmental impact Report shall satisfy the requirements of the sponsoring agency according to the above law and regulations and guidelines . Except as otherwise provided specifically in this contract, assistance of City staff to Contractor shall be limited to supplying of source documents when necessary on City premises. No compiling of data shall be done by City staff. 5 . The members of the Contractor ' s staff, and other parties whom Contractor will procure to contribute to the preparation of the Environmental Impact Report, and the nature of such contributions shall be set forth in this document. 6. Contractor shall provide at least one representative of Contractor to meet at City premises with, and consult with, City staff prior to the hearing of the Environmental Review Committee. Contractor shall also provide such a representative at any required hearing of the Environmental Review Committee at which time he shall be prepared to respond to questions raised pertaining to the Envi- ronmental Impact Report. 7 . All drafts and reports sent by Contractor to City shall be in a normal format for an Environmental Impact Report, double spaced and suitable for duplication on either offset or office copier method. The completed draft Report shall be reproduced on both sides of each page. 8 . On or before Contractor shall submit to City a rough draft of the Environmental impact Report with copies of same. City staff may require amendments, corrections and/or supplemental material , all pursuant to the requirements mentioned in Paragraph Four (4 ) above. 9 . within one week after receiving the rough draft back from the City staff, Contractor shall submit to City a corrected draft of the Environmental Impact Report with copies of same. Any alterations to the rough draft as determined by City staff shall be incorpor- ated into the corrected draft. 10 . If the draft Environmental impact Report shall have to be further altered before the Environmental Review Committee will approve same, Contractor shall make the alterations as required by the Environmental Review Committee. Alterations to the Environmental Impact Report arising from the Environmental Review Committee hearing may take the form of an addendum to the Report, or the alterations may be incorporated into the text of the Report. The a - Environmental Review Board shall determine the manner by which the alterations will be added to the Report. The Environmental Review Committee may, at its discretion, require further review of the Environmental Impact Report at a public hearing before a deter- minatibn on adequacy of the Report is made . Contractor shall deliver copies of this Preliminary Final Environmental Impact Reportwithin two weeks after the City delivers all comments received during the review and comment period. Contractor shall not be responsible for alterations or addenda requiring lengthy treatment or new research, when such alterations or addenda result from new information which could not have been anticipated at the time of contract initiation. An example of such unanticipated new information would be a redesign of the project after contract initiation. In this event, the City may elect to negotiate a new contract with Contractor or another party for completion of additional work required. However, Contractor shall be responsible for alterations or addenda to the Report for items which were anticipated at the time of contract initiation and for which additional comment was required during review of the Report. 12. As total consideration for performing all the duties of this doc- ument, for all costs , expenses and obligations incurred by Contractor , City shall pay Contractor a sum not to exceed $17,250.00 * This sum to be paid as follows: Contractor shall be paid $5,750.00 at the time the contract is signed. The second payment of $5,750.00 —shall be paid when the Environmental Review Committee accepts the draft Environ- mental Impact Report for public review. The third, and final payment of $5,750.00 ----shall be paid after the City Council certifies the E.T.R. and all corrections as requested by City Council, have been incorporated into the final E.T.R. and 5 copies of the document have been delivered to the Environmental Review Committee Secretary. 13 . Time is of the essence in completion of the duties of this document. The final E. I.R. shall be completed within _�_ months from the time the contract is signed. An extension of 90 days may be given by staff, upon showing of good cause. 14 . As its option the City may terminate the contract at any time by written notice to Contractor, whether or not Contractor is in de- fault. Upon such termination, Contractor shall deliver to City all documents, drafts, reports, materials and work of any nature pertaining to this document and in the possession of Contractor or under its control. In such event Contractor shall be paid for the work performed under contract to date of termination and for ter- mination costs. Payment for work completed under contract to date of termination shall be made strictly on the basis of the percent of work completed under the terms of this document. The percent r of work completed to date of termination shall be the percent of the total contract cum which will be paid to Contractor . The Environmental Review Committee shall determine the percent of work completed to date of termination. Contractor may be reimbursed for termination casts which shall not exceed ten percent (10%) of the amount paid to Contractor for percent of work completed to date of termination. The Environmental Review Committee shall determine the amount of termination costs to be paid. The total sum paid to Contractor in the event of contract termination cannot exceed the total amount of the contract as set forth in Paragraph 'twelve (12) . In the event of termination, the City may complete the Environmental Impact Report with its own staff or contract with another party to do the same, in any event using any and all materials existing at such time. 1 . All memoranda, reports, drafts, communications, or Environmental Impact Reports to be sent to City under the contract shall be sent to. Contractor shall indemnify, defend and hold harmless City, its officers, agents and employees from any and all claims, losses or legal actions arising from any and all of the actions of Con- tractor, its employees, agents or subcontractors pertaining to the contract. 17 . The contract described herein is not assiclnabl.e. 1 F, . The Environmental Impact Report prepared under the specifications of this Contract shall be either a Focused Environmental Impact Report or a Full Environmental Impact Report as required by the Environmental Review Committee. 19. For purposes of the contract, the City of Redlands Environmental Review Secretary shall be considered the Contract Administrator. There must be a written authorization from the City for any vari- ance from the terms of this contract. The program provides for assistance in completing the Plan's Initial Study and the preparation of a comprehensive Environmental Impact Report (EIR) . The EIR addresses all environmental issues as if they have potential for significant adverse impact assuming the City Council adopts and implements the proposed Specific Plan. The environmental documentation will be prepared in a manner that will meet the following objectives: 1. To provide environmental documentation that will fully comply with the California Environmental Quality Act (CEQA) and the CEQA Guidelines; 2 . To provide the Redlands City Council with a clear and concise documentation of the project's environmental consequences that must be considered as part of the decision; and 3 . To address all potential significant adverse environmental impacts and develop mitigation measures that will minimize such impacts to the greatest degree feasible. Tom Dodson & Associates' staff has reviewed the available data and understands the environmental issues associated with the proposed adoption of the Specific Plan. The documentation we prepare will meet the above objectives and provide the City with a sound decision making document as required by CEQA. Section II: Project Team Organization Tom Dodson & Associates will rely upon our in-house staff with selective utilization of qualified personnel from close associates that will contribute to the required documentation. Internal staff will include Tom Dodson, who will serve as Principal in charge of the project and primary author, Margaret Sutherland and Gary Bill who will serve as data analysts and coauthors. Associates that will provide input to this project, as needed, will include: 2 Ludwig Engineering circulation Gary Rasmussen & Associates Geotechnical Tierra Madre Consultants Biotic Resources San Bernardino County Museum Cultural Resources Ralph Wagner Hydrology Section III: Technical Approach and Scope of Work Preparation of the required environmental documentation has been divided into five discrete tasks which contain varying levels of subtasks that will be implemented to meet CEQA environmental requirements. These tasks are presented sequentially for review, but the actual work on individual tasks often overlaps during implementation. In its role as the City's contractor for this project, Tom Dodson & Associates assumes responsibility for the following effort: 1. Completion of the Initial Study and assistance with the Notice of Preparation for the proposed project. 2 . Program management and coordination leading to preparation of a Final EIR (a Master Plan EIR) that meets CEQA requirements and the City's decision making information requirements. 3 . Preparation of draft and final EIR's with the appropriate number of copies requested by San Bernardino County. 4 . Attendance at public meetings and hearings (defined in detail in Section IV) including presentations to decision- makers and others as requested by the City. As normally occurs during procedural processing, the City will be responsible for distributing appropriate notices (Notice of Preparation, Notice of Completion, and public hearing notices) . The City is expected to also undertake all mailing and circulation efforts required by State and local CEQA Guidelines. The text of the Southeast Specific Plan Master EIR will be written in a clear, concise manner geared to communicate with a lay audience. Graphics, tables, and supplementary material will be provided as appropriate to enhance this goal of communication. The City will be responsible for providing base maps that will be incorporated in the EIR. Among these maps to be provided will be a map illustrating both developed and undeveloped property within the Specific Plan area. The contents of this Master EIR will be comprehensive enough to be used by other responsible or interested agencies in their review of the project. Other agencies that may have high interest in the Specific Plan include the following: 3 1. San Bernardino County 2 . Caltrans This list is not intended to be exhaustive and will be expanded as appropriate during the review process. Task 1: Complete the Initial Study and Issue the Notice of Preparation With our understanding of the proposed project, we will assist the City in completing the procedural steps leading up to the preparation of the EIR. An Initial Study will be completed and the Notice of Preparation prepared and transmitted in cooperation with the City staff. Technical elaboration for each issue will be provided in the Initial Study, as appropriate. The Notice of Preparation will be transmitted to all pertinent reviewing agencies and parties in order to obtain comments from them on the issues of concern. Subtask la. In conjunction with the City staff the Initial Study checklist form will be completed and comments provided regarding the type of information that will be included in the document. Subtask 1b. Prepare the Notice of Preparation for City staff review and distribution to all parties. Subtask 1c. Compile the comments on the Notice of Preparation for the City and ensure that all substantive issues are addressed in the Master EIR. During this period the alternatives to be evaluated in the Master EIR will be defined in conjunction with the City staff. Task 2: Prepare a screencheck EIR Task 2 contains the specific work effort that will be carried out in preparing the EIR for the Specific Plan. The goal is to prepare a Master EIR for all environmental and human resources and public utility and service infrastructure systems. The general approach envisioned will be to project impacts to these resources and systems over the life of the Specific Plan. Conclusions regarding significance of potential impacts from implementing the Specific Plan will be provided. For the City this approach should result in a document that will allow more 4 effective and efficient processing of future specific projects within the Specific Plan area in the future when they are implemented. Subtask 2a Prepare the project description including: project location, history of development, project objectives, phasing (if any) , specific characteristics (land uses, development guidelines, objectives, etc. ) , and a discussion of the procedural approval process. Of key importance during this phase will be the comparison of existing land use designations and General Plan text with the proposed Specific Plan maps and text. These comparisons will be summarized in the EIR and appropriate text and maps included in the EIR and appendices. Subtask 2b Prepare the evaluation of environmental impacts which will focus on significant environmental impacts which cannot be avoided; cumulative impacts ; irreversible adverse impacts ; the relationship between short-term and long-term impacts; and growth inducing impacts. The detailed evaluation of Specific Plan alternative will be addressed under this task. The alternatives included will include at a minimum: the no project alternative (both the Plan area developed at its current level and continued development under the existing General Plan) , and other alternatives selected under Task 1. Note that the cost estimate provided as part of this proposal includes evaluating a maximum of five alternatives including the proposed project, the two "no project" alternatives and higher and lower density alternatives based on discussions with the City. Subtask 2c Prepare the detailed analysis sections of the EIR for all environmental issues normally contained in a comprehensive EIR. This will include the current status (baseline conditions) of Specific Plan area resources and infrastructure systems; the evaluation of impacts to these resources and systems that will result from implementing the Specific Plan; a discussion of mitigation measures available to reduce the significance of potential impacts and a discussion of residual, unavoidable adverse impacts after implementing mitigation measures, along with a determination of each impact's level of significance, where feasible. The topics to be discussed include the following: 1. Soil Resources and Constraints: Using the Valley Soil Survey and soil reports from similar soils within the City, the soils and soil characteristics within the Plan area will 5 be identified and portrayed. The proposed land uses and text policies regarding soils will be evaluated in the context of these soils and the existing plan designations. 2 . Geologic Resources and Hazards: Using existing data and interpretation by experts, the geologic resources and hazards of the Plan area will be defined. Land uses and text of the Plan will be evaluated in light of these resources and constraints and the potential impact to and from these resources will be provided. 3 . Hydrology: Drainage basins within the Plan area will be determined, possible recharge areas identified, and the storm runoff system mapped. Future development envisioned within the Plan will be evaluated for coverage of recharge areas, increases in runoff, and adequacy of the flood control system both within and downstream of the Plan area. The potential for uses allowed by the Plan to contaminate groundwater resources will be evaluated. 4 . Biotic Resources: A general survey of biotic resources within the area will be abstracted from the technical study provided by the City. Possible sensitive species and habitat will be identified. The loss of biotic habitat will be quantified and assessed for significance based on the proposed Plan. 5. Climate and Air Quality: Using the South Coast Air Quality Management District's air quality impact handbook the potential impact of the Specific Plan's land uses and text on regional and local air quality will be characterized. 6. Cultural Resources: Existing cultural resource data will be compiled and mapped. This will include historic as well as prehistoric information. The potential for cultural resources to occur in the Plan area will be characterized based on the nature of the undeveloped areas within the Plan boundaries. An evaluation of potential impacts to known and possible cultural resources will be provided. 7 . Population and Socioeconomics: The existing demographic and socioeconomic characteristics of the Plan area will be summarized. The potential changes in these two parameters will be described over time as the Plan is implemented. 8 . Land Use and Planning: A detailed comparison of the proposed plan, the General Plan, and existing land use relative to the existing population and socioeconomic setting will be provided. The environmental implications of the land uses, the text policies, and development criteria will be prepared. 6 9 . Circulation and Traffic: The existing roads and the proposed roads will be mapped and then qualitatively evaluated utilizing the circulation study to be provided by the City. Existing traffic will be compared to intersection capacities, i. e. Level of Service, on these area roads, and conclusions will be drawn regarding the consequences of developing out the Specific Plan. Growth pattern assumptions will be developed and confirmed with City staff prior to projecting future traffic. Funds have been set aside for consulting with a professional traffic engineer during the review. 10. Noise: Background noise levels where existing data are available. Using this background data and general data on noise levels generated from similar uses in other areas, an existing background setting will be developed. Noise levels associated with implementation of the Plan will be provided. Limited noise monitoring will be provided, if required. 11. Public Service and Utility Infrastructure Systems: For each one of the City's systems growth projection impacts will be evaluated and conclusions regarding the level of impact to the systems will be drawn. Data will be collected from City service and utility agencies, as well as outside agencies. A capacity analysis based on assumed future development rates within the Specific Plan area will be provided, if sufficient data is available. Subtask 2d Once all the document text is completed, the information will be compiled into a screencheck draft EIR. Three copies of this document will be submitted to the City for review and comment. Task 3 : Prepare the Draft EIR Upon receiving the City's comments on the screencheck EIR, the required modifications will be completed and the Draft EIR finalized. This document will be printed and delivered for distribution to the City. Subtask 3a Meet with the City staff and go over the incorporated modifications. Develop mutually acceptable text revisions at this meeting. Subtask 3b Complete the modifications as directed by the City. Additional analyses or greater depth of investigation requested beyond that identified in Task 2 above will be prepared in conformance with 7 the original scope of work. Requested changes outside this scope will be negotiated on a case-by-case basis. At no time will additional work proceed until specific authorization is received from the contracting officer. Subtask 3c Fifty copies of the Draft EIR will be photocopied and delivered to the City for distribution. We will assist the City in developing a comprehensive distribution list. Task 4. Respond to Draft EIR Comments and Prepare Final EIR Tom Dodson & Associates will prepare responses to written comments on the Draft EIR and to verbal comments received on the Draft at public meetings and hearings. A Final EIR document for distribution will be compiled and provided that includes these comments and responses. An addendum will be provided to the Draft or a whole new printing of a Final EIR will be undertaken if necessary. Subtask 4a If necessary, meet with the City staff to go over all comments received and develop responses that are mutually acceptable. Subtask 4b Complete the responses as agreed upon with the City. Additional analyses required to respond to substantive comments will be prepared in conformance with the original scope of work. Responses developed outside this scope will be negotiated on a case-by-case basis. Subtask 4c Fifty copies of an addendum or of a Final EIr will be photocopied and delivered to the City for distribution. Task 5: Attend Public Hearings on the EIR Tom Dodson & Associates will attend up to four hearings on the EIR for the fee indicated below. Attendance at additional hearings will be based on a fee of $50/hour. Specialists will attend hearings at the rate of $50 to $75 per hour depending on area of expertise. Section IV: Schedule and Fee The following proposed schedule is not based on a specific contract award date and authorization to proceed. It is based on 8 the number of days required to accomplish tasks once the contract is authorized. This is based on the following breakdown of costs per task: Task 1 $2, 000 Task 2 $12, 000 Task 3 $1,250 Task 4 $1, 500 Task 5 500 Total• $17,250 If additional copies of EIRs are requested, this fee will be raised by the increased printing cost. We are willing to negotiate the above fee if the City requests revisions or deletions to the above tasks. Otherwise, we believe the above fee is appropriate for the proposed project and the level of investigation that will be required to create the Master EIR for the Southeast Specific Plan. It is anticipated that original data generation and field investigations will be minimized. Additional field investigations that the City may desire shall be negotiated on a case-by-case basis. Terms It is requested that the following payment schedule be incorporated into any agreement between our firm and the City: One third of the contract price upon execution of the contract: one third upon deliver of the Draft EIR to the City for distribution; and one third upon delivery of the Final EIR or upon agreement between the City and Tom Dodson & Associates that all obligations have been fulfilled. As noted throughout this proposal, the above fee and schedule are contingent upon completion of all tasks as outlined in this 9 proposal. Should additional tasks, copies, meetings or other out of scope task revisions occur, it will be considered out of scope. We will not proceed with out of scope items until the City is satisfied that the task is actually out of scope and mutually acceptable reimbursement terms have been agreed upon. 10
