HomeMy WebLinkAboutContracts & Agreements_22-1976 AGREEMENT FOR MANAGEMENT STUDY THIS AGREEMENT made this 29 44 day of 5epf , 19 76 , by and between the CITY OF REDLANDS, a municipal corporation, hereinafter referred to as "CITY", and H. B. MAYNARD AND COMPANY, INC„ a California corporation, hereinafter referred to as "CONSULTANT", WITNESSETH THAT: WHEREAS, the City wishes to obtain the services of a consultant for a project known as the Management Study for the Utilities Division, and WHEREAS, the services to be rendered hereunder are special, unique, technical, and professional in nature, and WHEREAS, the consultant is qualified, ready, willing, and able to provide such services, NOW, THEREFORE, the City and the Consultant, in consideration of the mutual promises hereinafter set forth, hereby agree as follows: 1. That the Consultant shall perform all of the services required for the project in accordance with the special provisions and general terms and conditions attached hereto and by reference incorporated herein and made a part hereof, and 2 That the City shall pay the Consultant the sum of $10, 000. 00 as a full compensation for the performance of this agreement subject to the special provisions and the general terms and conditions attached hereto. PROJECT The following is the scope of work for the Management Study for the Utilities Division- A. Purpose 1 Review the effectiveness of the organizational structure for current and projected workload and service needs 2 Review and document the current and projected duties for the Division's management and supervisory positions. 3 Review & validate Division management's priority list for capital improvements to the water system for the next five years. 4 Review existing work control as it relates to productivity. 5. Review existing financial management tools. 6. Review general operating policies. 7 Analyze the total resource requirements for the Division. 8 Make recommendations for reaching the greatest possible level of efficiency at optimum costs. B. Resource Study 1. Analyze past, current and projected activities of the Division. 2. Analyze current size and productivity of personnel with re- commendations as to possible improvements in productivity. 3. Analyze the Division's Water and Sewer Master Plans as they relate to projected workload 4. Sort out projected workload requirements into categories 5. Analyze and evaluate the economics of using City construction crews versus contract crews, or a combination thereof C. Interim Review with City 1. Consultant to review findings and recommendations with a. City Manager b. Public Works Director c. City Council D. Final Report 1. The final report is to include, but not be limited to the following• a. A summary of findings, conclusions and recommendations. b. Discussions on all items under A. Purpose, and B Resource Study. c. A minimum of ten (10) drafts of the report to be provided for staff and City Council review. d A minimum of 25 copies of the final report to be submitted to the City of Redlands. Paragraph 2. PROGRESS AND PAYMENT. The parties hereto mutually agree that time is of the essence of this agreement, and Consultant hereby agrees to provide the final report within sixty (60) days after execution of this agreement The total fee to be paid by City to Consultant for all services performed pursuant to this agreement shall be Ten Thousand Dollars ($10, 000 ), payable as follows Upon Submission of the Final Report $ 5, 000 00 Upon Acceptance of the Final Report by City 5, 000. 00 Total $10, 000. 00 Paragraph 3 GENERAL TERMS AND CONDITIONS 1. The Final Report to be furnished by Consultant is subject to the approval of City, and the decision of City shall be final regarding the suitability and acceptability of the report. 2. City may terminate this agreement at any time upon ten (10) days written notice to Consultant. In such event, City shall pay Consultant a total fee in an amount which bears the same relationship to the total fee payable that the amount of work performed by Consultant prior to such termination bears to the total work to be performed by Consultant pursuant to this agreement 3. Consultant shall perform the services provided for herein in its own way as an independent contractor and in pursuit of its inde- pendent calling, and not as an employee of City, and it shall be under the control of City only as to the result to be accomplished, and not as to the means or manner by which such result is to be accomplished. 4 All participants will cooperate with Consultant in granting inter- views with their appropriate representatives and permitting review of the necessary documents, records, accounts and other papers.
