Set forth service to be rendered,amount to be paid,manner of payment, time for performance or completion, determination of satisfactory performance and cause for termination, other terms and conditions,and attach plans,specifications,and addenda,if any.) WHEREAS, the County and the cities of Redlands and Loma Linda mutually recognize the need for future improvements at the intersection of California Street and Redlands Boulevard and desire to cooperate in the design of such improvements, which design phase shall hereinafter be referred to as project; and WHEREAS, it has been estimated that traffic entering the intersection originates from the three jurisdictions on the ratios of fifty-two percent (52%) from the City of Redlands, thirty-six percent (36%) from the City of Loma Linda and twelve percent (12%) from the unincorporated areas of the County; and WHEREAS, a recently completed planning study to identify alternatives for improvement of the intersection was funded by the County with the under- standing that the cost of the study would be credited to the County's future share of project costs. NOW, THEREFORE, IT IS MUTUALLY AGREED AS FOLLOWS: COUNTY SHALL: 1 . Act as the Lead Agency in the design project. 2. In cooperation with Redlands and Loma Linda, select and enter into an engineering services contract with a consultant engineer to develop the design. 02-1231 1-000 Rev, 11180 Page. L ofl— . ^ . 3. Administer and initially fund the consultant contract. 4. Bear responsibility for twelve percent (12%) of the estimated $30,000 project cost. County's share shall be limited to $4v200 unless a greater amount is subsequently putburized by the County. 5. Maintain project cost records and periodically bill Redlands and Loma Linda for their proportionate share of the costs. REDLANDS SHALL: b. Bear responsibility for fifty-two percent (52%) of the project costs. Redlands' share obaII be limited to $18,200 unless a greater amount is subsequently authorized by the City. ?. No party to this Agreement nor officers nor employees thereof abaII be responsible for any damage or liability occurring by reason of anything dune or omitted to be done by the other parties to the Agreement under or in connection with any work, authority or jurisdiction not delegated to the parties under this Agreement. It is also agreed that, pursuant to Government Code Section 895.4, each party shall fully indemnify and bold the other parties harmless from any liability imposed for injury (as defined by Government Code Section 810.8) occurring by reason of anything done or moitted to be done under or in connection with any work authority of jurisdiction under this Agreement. In the event any action is commenced to enforce or interpret the terms or conditions of this agreement, the prevailing party shall, in addition to any other costs and relief, be entitled to reasonable attorney's fees. THIS AGREEMENT shall inure to the benefit of and be binding upon the successors and assigns of the parties involved. WALKER, Director Transportation/Flood Control/Airports SUBJECT: COUNTY/CITY OF REDLANDS/CITY OF LOMA LINDA COOPERATIVE AGREEMENT RE: CALIFORNIA STREET AT REDLANDS BOULEVARD RECOMMENDATION: Approve cooperative agreement between the County and the Cities of Redlands and Loma Linda for the design of improvements at the intersection of California Street at Redlands Boulevard. BACKGROUND: The County and the Cities of Redlands aad Loma Linda recently participated in a cooperative planning study to review alternatives for improvement of the subject intersection and now propose to jointly fund the design of improvements needed to increase traffic safety and capacity. The County is designated as the lead agency in the agreement and plans to contract for consultant services for the engineering work. The agreement has been executed by the Cities of Redlands and Loma Linda. REASON FOR RECOMMENDATION: The agreement is needed to set forth the respon- sibilities of the involved parties in the administration and funding of the design project. REVIEW BY OTHER DEPARTMENTS: On November 21 , 1986, the agreement was approved as to legal form by Deputy County Counsel Ed Robinson. On November 20, 1986, the agreement was found to be consistent with the County Affirmative Action policies by the Department Contract Compliance Officer. FINANCIAL DATA: The total cost of the proposed design project is estimated to be $30,000 and will be shared by the three agencies based on the relative amount of traffic reaching the intersection from each of the jurisdictions. The County's share of the cost shall be limited to $4,200 and will be funded from the Future Projects Line Item of the 1986-87 County Road Fund Budget. PRESENTER: MICHAEL G.
