TO THE MEMORANDUM OF UNDERSTANDING BETWEEN
THE CITY OF REDLANDS AND
REDLANDS ASSOCIATION OF MANAGEMENT EMPLOYEES
This Amendment No. 2 to the Memorandum of Understanding dated October 4,
2004 by and between the City of Redlands ("City") and the Redlands Association of
Management Employees ("RAME") is made and entered into this 4th day of April, 2006.
RECITALS
WHEREAS, it is the desire of the City and the RAME to amend their existing
Memorandum of Understanding dated October 5, 2004 to provide clarification regarding
severance benefits afforded management employees;
NOW, THEREFORE, in consideration of the mutual promises contained herein,
and for such other good and valuable consideration, the receipt of which is hereby
acknowledged,the City and the RAME agree as follows:
AGREEMENT
Section 1. Article 25 is hereby added to the Memorandum of Understanding
between the City and the RAME, dated October 5, 2004,to read as follows:
"ARTICLE 25 — SEVERANCE
RAME expressly acknowledges and agrees that employees serving in the position of City
Department Heads are "at-will" employees and that, in accordance with the City's
Municipal Code, the City Manager may exercise his or her authority to terminate an
employee serving in the position of a Department Head without cause.
Upon termination without cause, an employee serving in the position of a Department
Head shall receive the following severance package: (i) three (3) months salary; and (ii)
"Lifetime Medical," in lieu of the Department Head's sick leave bank and consistent with
Article 9 of this M.O.U., provided the Department Head has been employed with the City
for fifteen (15) years or more at the time of termination (collectively, the foregoing
payments are hereinafter referred to as the "Severance Package"). In the event an
employee serving in the position of a Department Head is terminated for cause, the
employee shall not be entitled to the Severance Package. "Cause" shall mean the
following:
(i) Conviction of a felony crime, or a misdemeanor crime of moral turpitude;
(ii) Malfeasance or non-performance of duties; or
(iii) Deliberate insubordination.
Except as otherwise provided for in this Article 25, upon termination without cause, an
employee serving in the position of a Department Head shall be entitled to receive all
benefits accrued by such employee as provided for in this M.O.U."
Section 2. All of the provisions of the Memorandum of Understanding between the City
and the R.AME dated October 5, 2004 shall remain in full force and effect.
IN WITNESS WHEROF, the parties have executed this Amendment to be effective as set
forth herein.

Field Rental Agreement - Los Gauchos Soccer Club - On motion of
Councilmember Gil, seconded by Councilmember Gilbreath, the City Council
unanimously approved a rental agreement with Los Gauchos Soccer Club for
use of the soccer field located at Crafton Park and authorized the Mayor to
execute, and the City Clerk to attest to, the document on behalf of the City.
MOU Amendment - RAME - On motion of Councilmember Gil, seconded
by Councilmember Gilbreath, the City Council unanimously approved an
amendment to the existing Memorandum of Understanding with the
Redlands Association of Management Employees and authorized the
Mayor to execute, and the Ciy Clerk to attest to, the document on behalf of
the City.
COMMUNICATIONS
Meeting Attendance -No reports forthcoming.
Appointment - SBVMWD - Council(nember Harrison moved to appoint
Councilmember Gallagher to the San Bernardino Valley Municipal Water
District Water Policy Advisory Commission. Motion seconded by
Councilmember Peppler and carried unanimously.
CLOSED SESSION
The City Council meeting recessed at 3:44 P.M. to a closed session to discuss
the following:
1. Conference with real property negotiator - Government Code

Property: Possible leasing of APNs 168-031-12, 168-041-21,
168-041-25, 168-041-31, 168-041-32, 168-041-49
and 168-041-53
