HomeMy WebLinkAboutContracts & Agreements_205-2019FIRST AMENDMENT TO AGREEMENT TO PERFORM PROFESSIONAL SERVICES This first amendment ("First Amendment") to the agreement for the preparation of an environmental site assessment at Alabama Street septage disposal ponds ("Agreement") dated October 30, 2018 ("Agreement"), by and between the City of Redlands, a municipal corporation ("City") and Rincon Consultants, Inc ("Consultant"), is made and entered into this 15th day of October, 2019 RECITALS WHEREAS, it is the desire of City and Consultant to amend Article 2 1 of their existing Agreement more particularly described m Exhibit "A," "Scope of Services" to include the additional services described therein, which is attached hereto by reference, and WHEREAS, it is the desire of City and Consultant to also amend Article 3 2 of their existing Agreement to change the name of the City's representative from former representative, Paul Toor to the current representative, Chris Boatman, and WHEREAS, it is further the desire of City and Consultant to amend their existing Agreement, Article 4 2 of their existing Agreement specifically the Initial Term of the Agreement, as defined in the Section entitled "Summary of Services and Implementation," from one (1) year from the Effective Date (October 30, 2018), to five (5) years from the Effective Date, and WHEREAS, it is the desire of City and Consultant to amend Article 5 1 of their existing Agreement to increase Consultant's present total compensation of Twenty Three Thousand Four Hundred Fifty Dollars ($23,450) to the amount of Thirty Four Thousand Three Hundred Fifteen Dollars ($34,315), NOW, THEREFORE, City and Consultant agree as follows AGREEMENT Section 1 The scope of work performed by Consultant pursuant to Exhibit "A" of the Agreement, entitled "Scope of Services," is hereby amended to include the work that is identified in Exhibit "1," which is attached hereto and incorporated herem by this reference Section 2 Section 3 2 of the Agreement, entitled "Responsibilities of City," is hereby amended to read as follows "3 2 City designates Chris Boatman, Interim Municipal Utilities and Engineering Director, as City's representative with respect to performance of the Services, and such person shall have the authonty to transmit mstructions, receives information, interpret and define City's policies and decisions with respect to performance of the Services " Section 3 Section 4 2 of the Agreement, entitled "Performance of Services," is hereby amended to read as follows 1 L Ica\djm\AgreementsWirst Amendment to Rincon Consultants.docx jn "4 2 The term of this Agreement shall be for a period of five (5) years commencing as of the Effective Date, unless terminated earlier as provided herein " Section 4 Section 5 1 of the Agreement, entitled "Payment to Consultant," is hereby amended to read as follows "5 1 The total compensation for Consultant's performance of the Services shall not exceed the amount of Thirty Four Thousand Three Hundred Fifteen Dollars ($34,315) City shall pay Consultant on a time and matenals basis up to the not to exceed amount, in accordance with Exhibit "B," entitled "Updated Cost Proposal " Exhibit "B" is attached hereto and incorporated herein by this reference " Section 5. Methane Gas Assessment To evaluate the presence of methane gas and other gases typically associated with decomposition of septic waste, the installation of three soil vapor probes per septage pond at the depth of 5 feet bgs in each of the aforementioned exploratory borings, for a total of 15 soil vapor probes All soil vapor proves installed will be screened in the field for methane using a 4 -gas meter Soil vapor probes will be installed usmg a Geoprobe direct push rig Soil vapor probes will be installed in accordance with the California Environmental Protection Agency/Depaitaient of Toxic Substance Control (DTSC) Active Soil Gas Investigations Advisory, July 2015 The use of this protocol ensures that the sampling procedures and analytical methods meet the stringent DTSC guidehnes During the sampling procedures, vacuum mtegnty of the sampling system is tested pnor to and after the soil gas sample is collected Leak -down testing is conducted to determine vacuum integrity During sampling, for safety purposes, the Consultant shall continuously monitor the site using a photoiomzation detector (PID) and a four -gas meter Additionally, per the Regional Water Quality Control Board's request, carcinogenic volatile organic compounds (VOCs) will be added to the list of analytes for samples collected from the soil vapor probes as part of the soil gas assessment for the septage ponds A mobile laboratory will be used to collect the soil gas samples and analyze onsite Field work will be extended from the ongmal estimate of one day to two days 2 Subtask 3c Fire Suppression Discharge To evaluate new waste discharge that may have occurred as a result of fire suppression, the Consultant shall collect soil samples from each of the soil vapor probe bonngs using the Geoprobe rig Soil samples will be collected from 0 5 feet and 5 feet bgs from the 15 boring locations completed for the Methane Gas Assessment Soil samples will be collected using either a Geoprobe or a hand auger and stored m glass jars provided by the analytical laboratory Each end of the sample will be covered with a Teflon sheet and a tight -fitting plastic cap Soil samples will be placed on ice pending delivery to a state -certified laboratory under chain -of -custody protocol Initially, the fifteen 0 5 -foot soil matrix samples will be analyzed for PFAAs, and the deeper samples will be held pending the results If it is determined that analysis of the deeper samples is warranted, the Consultant shall test a maximum of one per septage pond If further testing is warranted the Consultant shall discuss the additional cost with the City In addition, per the Regional Water Quality Control Board's request, a laboratory will be used that will analyze the samples for Perfluorinated Alkyl Acids (PFAAs) following the Department of Defense (DOD) protocols as part of the assessment of the effect of fire suppression foam on the septage ponds The drilling company will use additional levels of decontamination protocols 3 L IcaldlmlAgreementsW trst Amendment to Rincon Consultants.docx.jn EXHIBIT "B" UPDATED COST PROPOSAL Item Unit Cost per Unit Number of Units Subtotal Task 1 Pre field Activities Site Assessment Workplan Principal 1.
