This Agreement is made and entered into this 21 s t day of April. 1997,by and between the
City of Redlands. a municipal corporation("City") and Rand E. Roberts, an individual, ("Roberts").
RECITALS
WHEREAS, the City of Redlands and the various owners of the so-called "Zanja Hours"
have since 19216 entered into agreements to water;exchange irrigation and

WHEREAS. Roberts own three and one-third (3 1/3) minutes of the flow of the Mill Creek
Zanja; and
WHEREAS, Roberts wishes to receive water from the City's domestic'water system;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the City
of Redlands and Rand E. Roberts agree as follows:
AGREEMENT
I Roberts shall transfer and convey to City, by grant deed in the form attached hereto
as Exhibit "A." all irrigation water rights and entitlement derived from Robert's three and one-third
Q 1/3) minutes of the flow of the Mill Creek Zanja for delivery to a City water treatment facility.
In exchange, Roberts, or any subsequent owner in fee, will receive potable water in perpetuity
through the City's domestic water system in the amount of Eighty (80) water units ( I unit= 100
cubic feet)per two month billing cycle, delivered to 900 West State Street, Redlands, California.
2. Roberts shall comply with the provisions of the City of Redlands Municipal Code
regarding water usage and utility billing procedures, except that utility billing will be for the
customer service component of the bi-monthly fixed charge only, billed at the regular rate in place

at the time of delivery, and for any water in excess of the entitlement specified in Section I of this
Agreement, also to be billed at the rate in place at the time of delivery.
3. City agrees to furnish water under the conditions and in the amount indicated in
compliance with the City of Redlands Municipal Code.
4. In the event any action is commenced to enforce or interpret the terms or conditions
of this Agreement the prevailing party shall, in addition to any costs and other relief be entitled to
the recovery of its reasonable attorneys' fees.
5. This Agreement contains the entire agreement of the parties hereto as to the matters
contained herein.
IN WITNESS WHEREOF,the parties hereto have executed this Agreement on the dates set
forth opposite their respective signatures hereto.
