This agreement for the performance of compactor repair work ("Agreement") is made
and entered into this ')'d day of October, 2011 ("Effective Date") by and between the City of
Redlands, a municipal corporation of the State of California ("City") and Blane's Equipment
Repair, Inc. ("Contractor"), a California corporation. City and Contractor are sometimes
individually referred to herein as a"Party" and, together, as the "Parties."
In consideration of the mutual promises contained herein, the City of Redlands and
Blane's Equipment Repair, Inc. agree as follows:
AGREEMENT
1. Compactor Repair Work. City hereby authorizes Contractor to perform repair
work for City's 1987 Caterpillar 826 Compactor (City Vehicle # 892, VIN # 87X00550),
hereinafter called the "Compactor." The repair work is more specifically described in Exhibit
"A,attached hereto and incorporated herein by reference.
2. Cost. City shall pay Contractor, as total compensation for the repair work, an
amount not to exceed Ninety Eight Thousand Nine Hundred Fifty Seven and 38/100 Dollars
($98,957.38). An invoice shall be sent to City after the Compactor repair work has been
performed and the Compactor delivered to City. The invoice will be paid by City within thirty
(30) days of receipt.
3. Compactor Delivery. The repair work and delivery of the Compactor to City's
Landfill site shall be completed by Contractor within six (6) weeks from Effective Date of this
Agreement.
4. Warranty. Contractor hereby warrants the repair work for parts and workmanship
for a period of twelve (12) months from the date of City's acceptance of the Compactor. All
components of the Compactor shall be dyno tested to ensure the quality of the component before
the Compactor is delivered to the City. A field test is required before the Compactor will be
deemed acceptable by City.
5. Insurance.
5.1 Contractor's Insurance to be Primary All insurance required by this
Agreement shall be maintained by Contractor for the duration of the performance of the repair
work and shall be primary with respect to City and non-contributing to any insurance or self-
insurance maintained by City. Contractor shall provide City with Certificates of Insurance and
endorsements evidencing such insurance prior to commencement of the Services.
5.2 Comprehensive General Liability Insurance. Contractor shall secure and
maintain in force throughout the duration of the Agreement comprehensive general liability
insurance with carriers acceptable to City. Minimum coverage of one million dollars

($1,000,000) per occurrence and two million dollars ($2,000,000) aggregate for public liability,
property damage and personal injury is required. City shall be named as an additional insured
and the insurance policy shall include a provision prohibiting cancellation of said policy except
upon thirty (30) days prior written notice to City. Such insurance shall be primary and non-
contributing to any insurance or self-insurance maintained by City. Certificates of insurance and
endorsements shall be delivered to City prior to commencement of the repair work.
5.3 Business Auto Liability Insurance. Contractor shall have business auto
liability coverage, with minimum limits of one million ($1,000,000) per occurrence, combined
single limit for bodily injury liability and property damage liability. This coverage shall include
all Contractor owned vehicles used on the project, hired and non-owned vehicles, and employee
non-cityship vehicles. City shall be named as an additional insured and a certificate of
insurance shall be delivered to City prior to commencement of the repair-work.
5.4 Hold Harmless and Indemnification. Contractor shall indemnify, hold
harmless and defend City and its elected officials, agents, and employees from and against any
and all claims, losses or liability, including attorney's fees, arising from injury or death to
persons or damage to property occasioned by any act, omission or failure of Contractor, its
officer, agents and employees in performing the repair work required by this Agreement.
6. Waiver. Waiver by City of any breach or defect of this Agreement or of any term,

covenant or condition herein contained shall not be deemed to be a waiver of any subsequent or
other breach of the same or any other term, covenant or condition.
7. Attorneys' Fees and Costs. In the event any action is commenced to enforce or
interpret any of the terms or conditions of this Agreement the prevailing Party shall, in addition
to costs and any other relief, be entitled to recovery of its reasonable attorneys' fees, including
fees for use of in-house counsel by a Party.
8. Notices. Any and all notices or demands shall be in writing. They shall be served
either personally or sent by United States mail, and shall be deemed to have been given when
personally served or when deposited in the United States mail, certified or registered, with
postage prepaid and properly addressed. For the purposes hereof, the addresses of the Parties
(until notice of a change thereof given as provided in this Paragraph) shall be as follows:

9. Binding on Successors. This Agreement shall be binding upon and inure to the
benefit of the successors-in-interest of the Parties.

10. Time of Essence. Time is of the essence of each provision of this Agreement.
11. Integrated Agreement. This Agreement contains the entire agreement of the
Parties with respect to the subject matter hereof, and shall not be amended or modified except by
a written agreement approved by the Parties.
