This first amendment ("First Amendment") to the agreement for the provision of
professional engineering services for supervisory control and data acquisition (SCADA) design
and integration ("Agreement") dated December 18, 2018 ("Agreement"), by and between the City
of Redlands, a municipal corporation ("City"), and Tesco Controls, Inc ("Consultant"), is made
and entered into this 3rd day of December, 2019
RECITALS
WHEREAS, it is the desire of City and Consultant to amend Article 2 1 of their existing
Agreement more particularly described in Exhibit "A," "Scope of Services" to include "Additional
Scope of Services," which is attached hereto by reference, and
WHEREAS, it is the desire of City and Consultant to amend Article 3 2 of their existing
Agreement to correct the name of the City's representative from former representative, Paul Toor
to the current representative, Chris Boatman, and
WHEREAS, it is the desire of City and Consultant to amend Article 5 1 of their existing
Agreement to increase Consultant's present total compensation of Three Hundred Three Thousand
Four Hundred Thirty Four Dollars ($303,434) to the amount of Four Hundred Sixteen Thousand
Eighty Nine Dollars ($416,089),
NOW, THEREFORE, City and Consultant agree as follows
AGREEMENT
Section 1 The scope of work performed by Consultant pursuant to Exhibit "A" of the
Agreement, titled "Scope of Services," is hereby amended to include the work that is identified in
Exhibit "1," which is attached hereto and incorporated herein by this reference
Section 2 Article 3 of the Agreement, titled "Responsibilities of City," is hereby
amended to read as follows
"3 2 City designates Chris Boatman, Municipal Utilities and Engineering Interim
Director, as City's representative with respect to performance of the Services, and such person
shall have the authority to transmit instructions, receives information, interpret and define City's
policies and decisions with respect to performance of the Services "
Section 3 Article 5 of the Agreement, titled "Payment to Consultant," is hereby
amended to read as follows
"5 1 The total compensation for Consultant's performance of the Services shall not
exceed the amount of Four Hundred Sixteen Thousand Eighty Nine Dollars ($416,089) City shall
pay Consultant on a time and materials basis up to the not to exceed amount, in accordance with

Exhibit "C" titled "Updated Cost Proposal," attached hereto and incorporated herein by reference "
Exhibit "2" is attached hereto and incorporated herein by this reference
Section 4 All other provisions of the Agreement shall remain unchanged by this First
Amendment and in effect

as of December 3, 2019

Through the course of the current ongoing design phase, scope additions and changes have been
requested by City which adds to the scope of the original specifications defined in agreement
Therefore, the scope of the current job has expanded to account for these necessary changes and
all of these items have been reflected in the first amendment. The additions include new
instrumentation, equipment, and input and output points that need to be updated within the design
plans and specifications being developed by Consultant Below for a listing of each site additions
