Dear Accounts Payable Manager:
The undersigned company(the "Client")has entered into a Financing Agreement with Wells Fargo Bank,N.A.("Wells
Fargo")pursuant to which the Client has assigned to Wells Fargo the full amount of all accounts now or hereafter owing
to the Client by your company(collectively,the"Accounts"). From and after the date of this letter,remittances for all
Accounts shall be made payable only to Wells Fargo Bank,N.A.and only in accordance with the following instructions:

authorizes you to rely on this letter in making all remittances in respect of the Accounts solely to Wel is Fargo in
accordance with the above referenced instructions. Pursuant to the Uniform Commercial Code,payment made in respect
of an Account to any parry other than Wells Fargo will not discharge your liability for such Account.
Kindly execute this letter and return a copy to Wells Fargo to confirm your agreement not to assert against Wells Fargo
any offsets,defenses or other claims that your company may have with respect to any of the Accounts. You may return a
fully executed copy of this letter to Wells Fargo by emailing a PDF file tojustin.v.harris@wellsfargo.com or by faxing a
copy to 866-370-6452. Please keep a copy of this letter for your records.
If there are questions regarding the Accounts or their assignment to Wells Fargo,please call the Relationship Manager
listed below at Wells Fargo. This Notice of Assignment of Accounts and the instructions contained herein remain in full
force and effect until you are notified by Wells Fargo in writing to the contrary.
